MINUTES MONTEREY PENINSULA REGIONAL WATER AUTHORITY (MPRWA) CITY OF MONTEREY Friday, December 11, 2020 10:30 AM MONTEREY, CALIFORNIA Directors Present: Roberson, Carbone, Kerr, Oglesby, Peake, Potter Absent: None Staff City of Monterey staff: City Attorney, City Manager, Assistant City Present: Manager, Senior Accountant, Finance Director, City Clerk, Accounting Specialist CALL TO ORDER President Roberson called the meeting to order at 10:34 a.m. ROLL CALL City of Monterey City Clerk Klein called the roll with all Directors present. PLEDGE OF ALLEGIANCE President Roberson led the Pledge. REPORTS FROM BOARD DIRECTORS AND STAFF None made. CONSENT AGENDA President Roberson opened public comments and received none. Approval of Minutes from September 28, 2020 Action: Approved 2. Receive and Approve Audit Action: Received and approved the FY 2019-2020 and Partial FY 2020-2021 audits Patricia Kaufman, contracted auditor with McGilloway, Ray, Brown & Kaufman, gave a brief presentation. No public comment was received on the matter. On a motion by Director Potter, seconded by Director Carbone, and carried by the following roll call vote, the MPRWA received and approved the FY 2019-2020 and Partial FY 2020-2021 audits: AYES: 6 DIRECTORS: Roberson, Carbone, Kerr, Oglesby, Peake, Potter NOES: 0 DIRECTORS: (None) ABSENT: 0 DIRECTORS: (None) ABSTAIN: 0 DIRECTORS: (None) RECUSED: 0 DIRECTORS: (None) 4. Approve Termination of JPA Agreement Action: Adopted Resolution 2020-01, as amended City of Monterey City Clerk Klein gave a brief presentation and answered Directors' questions. She recommended an amendment to remove the language "the Directors of the MPRWA are authorized to execute a document terminating the Agreement and terminating MPRWA on the unanimous consent of the Members" from the resolution, based on guidance received that the MPRWA's resolution and Member Cities' resolutions were sufficient to document the termination of the JPA Agreement. No public comment was received on the matter. On a motion by Mayor Roberson, seconded by Director Kerr, and carried by the following roll call vote, the MPRWA adopted Resolution 2020-01 as amended: AYES: 6 DIRECTORS: Roberson, Carbone, Kerr, Oglesby, Peake, Potter NOES: 0 DIRECTORS: (None) ABSENT: 0 DIRECTORS: (None) ABSTAIN: 0 DIRECTORS: (None) RECUSED: 0 DIRECTORS: (None) 5. Authorize Disbursements to Member Cities Action: Adopted Resolution 2020-02 City of Monterey City Clerk Klein gave a brief presentation. On question, City of Monterey City Attorney Davi stated that Monterey County had never joined the MPRWA JPA and that the JPA Agreement requires distribution to members. On question, auditor Patricia Kaufman (McGilloway, Ray, Brown & Kaufman) confirmed that County funds were not included in the moneys proposed for distribution to the Member Cities, based on the County's not having made contributions to the Authority in a number of years. Public comment was not received on the matter.
