Central Vermont Public Safety Authority Central Vermont Chamber of Commerce Building February 5, 2015 Meeting Minutes – Draft Directors present: John Hannigan and Michael Smith representing Barre City; Dona Bate and Tom Golonka representing Montpelier; Alexandra Pastor, at large director. Directors absent: Kim Cheney and Doug Hoyt, at large directors. Others attending: Michael Charbonneau; David Delcore, Times Argus reporter; David Rubalcaba; Bob Sager, Board Treasurer; Azaliah tautfest; Zachery tillinghast. The Meeting was called to order by Tom at 6:35pm A motion to accept the agenda as presented with one addition was made by Dona, seconded by Alexandra. Motion passed. A motion to accept the minutes from both the January 8th and the January 15th meetings was made by Dona, seconded by Alexandra. Motion passed. The Board had a fairly lengthy discussion regarding the search for an executive director. This discussion included: where to look for an executive director; the essential skills desired for that position; and the work that needed to be done before the Board was ready to advertise the position. The board agreed to set up a subcommittee – comprising John, Alexandra, and Doug - to carry out these tasks. A motion was made to set up an executive search subcommittee (to create an advertisement and write a job description for the executive director position) by Dona, seconded by Michael. Motion passed. The Board considered professional liability insurance, required by the charter. Tom presented a form that could be used to solicit quotes from various insurers. Tom agreed to fill out the form and send it out for quotes. The Board discussed attending both Montpelier and Barre City Council meetings to formally present the Central Vermont Public Safety Authority’s budget which is to appear on each of the respective Cities’ March ballots. Representatives from the PSA will attend the February 17th (Barre City) and February 18th (Montpelier) Council meetings to present the budget and answer any questions that may arise. . The Board discussed the Board Secretary and decided that Michael would assume that position. A motion was made to make Michael the official Secretary of the Board by Dona, seconded by John. Motion passed. Tom thanked Bob for his service in that position. Motion to adjourn was made by Dona, seconded by John. Motion passed. Meeting adjourned at 7:40 pm.
