Central Vermont Public Safety Authority Central Vermont Chamber of Commerce Building July 16, 2015 Meeting Minutes – Draft Directors present: Kim Cheney, Doug Hoyt and, Alexandra Pastor, at-large directors; Martin Prevost and Michael Smith, representing Barre City and; Dona Bate and Tom Golonka, representing the City of Montpelier. Others attending: Paco Aumand, CVPSA Executive Director; David Delcore, Times Argus reporter; Bob Sager, Board Treasurer. Tom called the meeting to order at 6:30pm. A motion to approve the Agenda, as presented, was made by Kim, seconded by Martin. Motion passed. A motion to approve the minutes from the June 18th meeting, as presented, was made by Martin, seconded by Dona. Motion passed. The Board had a discussion regarding website development. The discussion included: how much to spend; what content would be included; the website as a part of building an organization; what would a potential website look like and; obtaining domain names. A motion to authorize the Communications Committee to spend up to $1000 to procure a website was made by Dona, seconded by Michael. Motion passed with Kim voting against. After more discussion, a motion to reconsider the website vote was made by Martin, seconded by Tom. Motion passed. A new motion to authorize the Communications Committee to spend up to $250 to acquire a domain name (or names) and come back to the Board with a plan for developing a website was made by Kim, seconded by Dona. Motion passed with Dona voting against. The Board had a discussion regarding membership in the League of Cities and Towns as well as insurance through the League. Costs are: VLCT membership - $715; property casualty/professional liability insurance -$1250; workman’s compensation insurance - $210. All figures are on an annual basis. A motion to both join the Vermont League of Cities and Towns and, purchase both property and casualty/professional liability and workman’s compensation insurance through the League, authorizing Tom to execute the contract on behalf of the Central Vermont Public Safety Authority, was made by Kim, seconded by Dona. Motion passed. The Board had an extensive discussion regarding the business/action plan presented by Paco with special attention paid to the establishment of Board committees. The following committees were proposed: Rules – to look at board policies, possible charter changes etc. Communications – create visibility for the organization, package message, identify recipients. Budget – create the financial plan for the Authority’s activities. Technical Advisory – implement technology, use outside participants, possible IT subcommittee. Executive – comprised of current Board officers. A motion to establish the following Board committees: Rules, Budget, Technical Advisory and, Executive was made by Dona, seconded by Kim. Motion passed. A motion to appoint Bob Sager to the already established Communications Committee was made by Dona, seconded by Alexandra. Motion passed. Without objection Tom adjourned the meeting at 8:00pm.
