The Special Meeting of the Common Council of the City of Morgantown was held via Webex on
Tuesday, November 4, 2020, at 6:02 p.m.
To protect public health during the COVID-19 pandemic, personal attendance at the meeting was

PRESENT: Via Webex Mayor Ron Dulaney, Deputy Mayor Rachel Fetty, Council Members Jenny Selin,
Dave Harshbarger, and Barry Wendell. Bill Kawecki, and Zackery Cruze were absent.
The meeting was called to order by Mayor Dulaney.
EXECUTIVE SESSION: Pursuant to West Virginia Code Section 6-9a-4(b)(2)(a) to discuss
personnel matters in considering new appointments for Boards and Commissions. Motion by
Councilor Harshbarger, second by Councilor Wendell, to go into executive session. Motion carried

The City of Morgantown hereby ordains that Section 103.03 of the City Code is amended
as follows:
103.03 WARDS DESIGNATED AND DESCRIBED.
(a) First Ward. Beginning at the intersection of S. High Street and Prairie Avenue thence and
proceeding along Prairie Avenue in a southeasterly direction to Wilson Avenue, thence and
proceeding southwesterly with Wilson Avenue and southeasterly with Jefferson Street to Jackson
Avenue, thence continuing on Jefferson Street to the intersection of Logan and King Streets, thence

JOINT COLLABORATION AGREEMENT
This Joint Collaboration Agreement (“Agreement”) is entered into this ___ day of
August 2020 by and between the MONONGALIA COUNTY DEVELOPMENT
AUTHORITY (“MCDA”), THE CITY OF MORGANTOWN (“City”), the MONONGALIA
COUNTY COMMISSION (“County”) and WEST VIRGINIA UNIVERSITY (“WVU”), and all
the parties being collectively referred to as the (“Group”).
Whereas MCDA has presented the other parties an opportunity to collaborate
together on acquisition and redevelopment of a large area within the City of Morgantown
that is in desperate need of redevelopment.
Whereas although the Parties are separately established, and their actions driven
by and governed by their individual charges, mission statements and enabling legislation,
working together on this project will greater overall benefit to the community, the Parties
and the surrounding area than any one of the Parties acting alone.
Whereas the redevelopment of this area that all Parties support and devote
resources towards will allow better access to and a more efficient use of finite local
resources and together will allow the Parties to attract other regional, state and private
resources for the Project.
Whereas working collaboratively will allow the Parties to leverage their resources,
reduce or eliminate duplication and provide a much-needed revitalization of a blighted
area.
Whereas CMC Company, LLC (“Developer”) has entered into a Purchase and Sale
Agreement (“Purchase Contract”) with EAST END VILLAGE RENTALS, LLC, a West
Virginia limited liability company, (“East End”), JEWELMAN, LLC, a West Virginia limited
liability company, (“Jewelman”), JKL RENTALS, LLC, a West Virginia limited liability
company, herein (“JKL”), JAMES GIULIANI, individually, (“James”) KAREN GIULIANI,
individually (“Karen”), LAURA M. GIULIANI, individually (“Laura”). and JAMES
ALEXANDER GIULIANI, individually (“Alex”). East End, Jewelman, JKL, James, Karen,
Laura and Alex are herein collectively referred to as (the “Sellers”), for the purchase of
approximately 9.5 acers located in the Woodburn area of the City (“Property”).
Whereas the future development of the Property could potentially be a
development of eleven to fourteen acres.
Whereas the MCDA has taken the lead in negotiations regarding the possible
participation by the Group in the acquisition and future development of the Property.
Whereas the MCDA has up to this point acted as the lead for the Group regarding
the negotiation of the Group’s participation in the acquisition and development of the
Property.

Whereas the original anticipated participation was to provide interest carry for a
portion of the Property acquisition for a period of two (2) years.
Whereas it appears that the Group will need to increase the time period for the
carry form two years to three years.
Whereas the originally agreed to and committed participation by each of the
members of the group will need to be increased to consummate the acquisition and
development of the Property.
Whereas the MCDA, City, County and WVU desire to memorialize their
participation in the Group and the obligations of the Group as the project moves forward.
WHEREFORE, the Group agrees and enters into this Participation Agreement
upon the following terms and conditions.
1. The Parties intend to provide for the process by which the Parties shall engage
in the collaboration activities for participation in the redevelopment of the Property.
2. The MCDA shall continue to be the spokesperson and main contact with the
Developer as the Developer moves forward with the acquisition and development of the
Property and the Group’s participation therein. The MCDA shall provide monthly updates
to the Group regarding the status of the acquisition and the redevelopment of the
Property.
3. The Parties shall, simultaneously with the execution of the Development
Participation Agreement, form a working group comprised of a representative of each of
the Parties to this Agreement to facilitate not only this collaboration agreement but the
activities and participation under the Development Participation Agreement.
4. The MCDA will, on behalf of the Group and in the name of the MCDA, enter
into Development Participation Agreement with the Developer on behalf of the Group
for the Groups participation in the development as approved from time to time by the
Group.
5. The MCDA shall negotiate in good faith the Development Participation
Agreement on behalf of the Group with the final Development Participation Agreement
being approved by the Group prior to the MCDA executing and committing to the
Development Participation Agreement. The MCDA will include in the Development
Participation Agreement specific guild lines for the participation of the MCDA on behalf of
the Group with CMC. Such Development Participation Agreement shall include but not
be limited to the right to take over the Development if the Developer abandons or plans
to abandon the development; to obtain full reimbursement for all money paid out by the
Group in the event the Developer chooses to take the MCDA out of the development at
any time.

6. The MCDA shall provide periodic updates no less than quarterly to the Group
regarding the progress of the development and the performance under the Development
Participation Agreement.
7. The MCDA shall not take on and expanded role or increased financial
commitment to the development without the written consent and agreement of the Group.
8. City has previously committed to fund up to forty percent (40%) of the initial
participation in the Group up to an original maximum amount of Ninety-Six Thousand
Dollars ($96,000.00) over a period of two years. As a result of the final Purchase
Agreement, the City’s participation cap will be increased to a maximum amount of One
Hundred Eighty Thousand Dollars ($180,000.00) over the next three (3) years. The City
participation shall be paid at a rate of Sixty Thousand Dollars ($60,000.00) per year for
the three-year participation agreement.
9. WVU has previously committed to fund up to forty percent (40%) of the initial
participation in the Group up to an original maximum amount of Ninety-Six Thousand
Dollars ($96,000.00) over a period of two years. As a result of the final Purchase
Agreement, the WVU’s participation cap will be increased to a maximum amount of One
Hundred Eighty Thousand Dollars ($180,000.00) over the next three (3) years. WVU’s
participation shall be paid at a rate of Sixty Thousand Dollars ($60,000.00) per year for the
three-year participation agreement.
10. County has previously committed to fund up to twenty percent (20%) of the
initial participation in the Group up to an original maximum amount of Forty-Eight
Thousand Dollars ($48,000.00) over a period of two years. As a result of the final
Purchase Agreement, the County’s participation cap will be increased to a maximum
amount of Ninety Thousand Dollars ($90,000.00) over the next three (3) years. The
County participation shall be paid at a rate of Thirty Thousand Dollars ($30,000.00) per
year for the three-year participation agreement.
11. In the event the MCDA is given an opportunity to further participate in the
development of the project, the MCDA shall bring such option back to the group for approval
and commitment to the additional commitment to or participation in the project. Any such
additional commitment and or participation in the development shall require the written
agreement of Group prior to any additional commitment or participation.
12. In the event that the financial commitment of the Group is repaid or otherwise
recouped by the MCDA, then and in that event, any recovery shall be shared and or
repaid in the same participation percentages as the original commitment of the Group.
Any repayment other than full repayment shall required the written agreement of the
Group.
13. The Group enters into this Agreement for the purposes of providing initial
funding and the potential for additional participation in any development of the Property.

14. The Group recognizes and agrees that all financial obligations of the parties
under this Agreement are subject to availability of funds allocated for the purpose by the
governing body or other authority of each public entity. If there is a lapse of funds
allocated for the purposes designated in this Agreement, the party whose funds have
become unavailable shall be relieved of the obligation to pay. No provision of this
Agreement shall be read or interpreted to obligate public funds beyond those available in
a current budget year. Each party agrees to use its best efforts to ensure funds are
allocated for the purposes specified in this Agreement.
15. This agreement shall be binding on and inure to the benefit of the parties
successors and assigns.
16. This agreement shall be governed by and interpreted in accordance with the
laws of the State of West Virginia. The Parties agree to the exclusive jurisdiction and
venue of the Circuit Court of Monongalia County West Virginia.

A RESOLUTION APPROVING AND AUTHORIZING THE SUBMITTAL TO THE U.S. DEPARTMENT
OF HOUSING AND URBAN DEVELOPMENT (HUD) OF THE SUBSTANTIAL AMENDMENT TO THE
FY 2020 COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG) ANNUAL ACTION PLAN
WHEREAS, under Title I of the Housing and Community Development Act of 1974, as amended, the
Secretary of the U.S. Department of Housing and Urban Development is authorized to extend financial
assistance to communities in the prevention or elimination of slums or urban blight, or activities which
will benefit low- and moderate-income persons, or which address an urgent community development
need; and
WHEREAS, the City of Morgantown, West Virginia is a recipient of grant funds under the Community
Development Block Grant (CDBG) Program and Community Development Block Grant - Coronavirus
(CDBG-CV) Program administered by the U.S. Department of Housing and Urban Development; and
WHEREAS, the City of Morgantown had previously approved the budget and Annual Action Plan for
Fiscal Year 2020, which proposed how entitlement grant funds would be expended to address the
housing and community development needs identified in the City’s FY 2019 – 2023 Five-Year
Consolidated Plan; and
WHEREAS, through the March 27, 2020 passage of the Coronavirus Aid, Relief, and Economic Security
(CARES) Act, Public Law 116-136, the City of Morgantown will receive an allocation of CDBG-CV
Round #1 funds in the amount of $251,333 and $207,243 in CDBG-CV Round # 3 funds; and
WHEREAS, the City of Morgantown has to amend its FY 2020 Annual Action Plan to be able to include
the CDBG-CV funds in its FY 2020 Annual Action Plan; and
WHEREAS, HUD permits grant recipients to revise and amend its previous budgets and Annual Action
Plans; and
WHEREAS, in accordance with the Federal Regulations governing the CDBG Program, certain changes
and revisions to an Annual Action Plan may be considered a substantial amendment as outlined in the
City of Morgantown’s Citizen Participation Plan; and
WHEREAS, it has been determined that the proposed changes and revisions to the FY 2020 CDBG
Program is a substantial amendment and the City’s Citizen Participation Plan has been followed; and
WHEREAS, a draft of the FY 2020 Annual Action Plan Substantial Amendment was on public display
from November 9, 2020 through November 17, 2020 and the City held a public hearing on November
16, 2020 concerning said amendment, and the comments of various agencies, groups, and citizens were
taken into consideration in the preparation of the final document.
NOW, THEREFORE, the City of Morgantown by adoption of this Resolution on this 18th day of November
2020, authorizes the execution of:

VENTURE OUTFITTERS AT THE WALNUT STREET LANDING
Project Objective:
Enhance the health and wellbeing of the Morgantown Community along with our visitors and
tourists through a bike and boat rental program based out of Hazel Ruby McQuain Park which
takes advantage of the Monongahela and Deckers Creek waterways as well as the Mon/Caperton
Rail/Trails.
Scope:
The proposed program would entail an hourly and single day rental of various bicycle, kayak,
stand up paddle board and canoe equipment, as well as supportive educational and recreational
programming.
The program is envisioned as a 3-season operation with the opportunity for limited winter rentals
and programming. Operational hours and days would adjust seasonally to accommodate demand
as well as special events such as concerts and festivals. Hours of operation would focus on
afternoon/evening during the weekday and morning-evening on the weekends.

Information:
A. Budget Calendar Presentation
Included in your packet is a tentative budget calendar. This is for your information
and no action is required. Special considerations have been made to allow for
council to provide input prior to starting the budgeting process to ensure strategic
initiatives are taken into consideration.
We are allowing for two budgeting meetings with Department Heads to ensure a
thorough budgeting process, since we will have a new City Manager, and many
of our Department Heads are relatively new to their positions, or acting in an
interim role.
We also created a budget workshop for council before the final draft is presented
at a Committee of the Whole meeting. This will allow council to fully understand
all aspects of the budget, where emphasis is given, and to feel comfortable when
having to review and approve the presented budgets.
Many of these aspects are different than the process in years past. I hope you
see that an emphasis has been put into transparency, council involvement, and
fiscal stability as we head into the budgeting season for FY 2022.
