MINUTES REGULAR MEETING BOARD OF MAYOR AND BURGESSES JUNE 4, 2013 1. Mayor Robert A. Mezzo called the regular meeting to order at 7:00 p.m. with the following in attendance: BURGESSES: PRESS: T. K. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses approve the minutes of the special meetings of May 13, 2013, May 16, 2013 and May 20, 2013. Each member received copies for review. 4. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the monthly reports of May. Each member received copies for review. 5. Motion by Burgess to recess to Executive Session at p.m. for discussion on the following: Property Negotiations (GDC Property) inviting in ____________________. The board did not recess to Executive Session. 6. Public Comment Residents had questions on the following: Do we have a Blight Officer? How did each member of the board vote for the Youth Services Budget? Why wasn’t the NYS Director position added to the budget? When is the borough going to repair the bottom of Aetna Place? Burgess Comments – Open Topic Burgess Ernsky apologized for not being able to march in the Memorial Day Parade. Deputy Mayor Rossi thanked Principal Hunt and the teaching staff at Hillside School for inviting her to their Memorial Day ceremony. Thanked the Veterans Council for holding a wonderful parade and meaningful event before the parade began. She congratulated the students who graduated from Adult Education. They are a great group of hard working individuals. Burgess Burns thanked the Mayor for attending the parade and for his speech on Memorial Day. He also thanked the veterans and everyone who marched. Burgess Scully thanked everyone who came out to the parade. He thanked the Veterans groups for organizing the parade and the Knights of Columbus and the Catholic War Vets for the ceremony before the parade. Burgess Scully congratulated Burgess San Angelo on his new position and wished him well. There will be a POW MIA Vigil on Saturday, June 15th 8 a.m. to 6 p.m. He and Burgess Burns will be sitting in a cage that day. Burgess Jackson said the Veterans Council held a great Memorial Day Parade. She thanked the reporters for coming to Cross Street School when a live wolf visited the students. She wished Wayne McAllister the best of luck on his retirement. 8. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Neth that the Board of Mayor and Burgesses add to the agenda a motion to act upon a favorable report from the Planning Commission pursuant to Section 8-24 of the General Statutes. 9. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize Mayor Mezzo to execute all contracts and related documents for the proposed Temporary Access and Construction Easement and Maintenance Agreement with Paul and Tracey Kelly for 363 Union City Road based on a favorable report from the Planning Commission pursuant to Section 8-24 of the General Statutes in a form approved by the Borough Attorney. 10. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Neth that the Board of Mayor and Burgesses add to the agenda a motion authorizing Mayor Mezzo to appoint a regular member to the Arts Commission. 11. Mayor Mezzo appointed Jennifer Mazzeo, 111 Park Avenue, Naugatuck, CT 06770 as a regular member of the Arts Commission, filling the unexpired term of M. Teator, term to expire April 1, 2014. 12. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize Mayor Mezzo to execute all contracts and related documents for “Additional Monitoring Services Associated with Abatement Activities during 2013 through 2015 School Vacation for the Naugatuck High School Renovate to New Project” to TRC in the amount of $159,077.70 as recommended by the Naugatuck High School Building Committee. 35. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the bid and authorize Mayor Mezzo to execute all contracts and related documents for the “Replacement of Maple Hill Elementary School Roof” to Silktown Roofing, 27 Pleasant Street, Manchester, CT 06040 in the amount of $974,000.00 as recommended by Naugatuck Board of Education Facilities Engineer Michael Lynch. 36. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize the Preparation of Schematics and Drawings for the Maple Hill Elementary School Roof Replacement Project as recommended by the Building Committee for the Maple Hill Elementary School Roof Replacement Project. 37. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize Superintendent of Schools Dr. John Tindall-Gibson to submit a grant application for the Maple Hill Elementary School Roof Replacement Project.  -8- Minutes – Board of Mayor and Burgesses Regular Meeting – June 4, 2013 38. Motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses approve the following resolution authorizing the issuance of refunding bonds for payment of the outstanding principal of, interest and any call premium on certain of the borough’s general obligation bonds and costs related thereto; as if read: RESOLVED, (a) That the Borough of Naugatuck (the “Borough”) issue its refunding bonds, in an amount not to exceed SIX MILLION SIX HUNDRED THOUSAND DOLLARS ($6,600,000) (the “Refunding Bonds”), the proceeds of which are hereby appropriated: (1) to fund one or more escrows, and to apply the balance held in such escrows, together with the investment earnings thereon, to the payment in whole or in part, as to be determined by the Mayor and Treasurer, of the outstanding principal of and interest and any call premium on certain of the maturities of the Borough’s Taxable General Obligation Pension Bonds, Issue of 2003 (the “Prior Bonds”), including the payment of interest accrued on the Prior Bonds to the date of payment and (2) to pay costs of issuance of the Refunding Bonds authorized hereby, including, but not limited to, legal fees, consultants’ fees, trustee or escrow agent fees, credit enhancement fees, underwriters’ or purchaser fees, interest and other financing costs and other costs related to the payment of the Prior Bonds described above. The Refunding Bonds shall be issued pursuant to Section 7-370c and Section 7-374c of the General Statutes of Connecticut, as amended, and any other enabling acts (the “Act”). The Refunding Bonds shall be general obligations of the Borough secured by the irrevocable pledge of the full faith and credit of the Borough. (b) That the Mayor and the Treasurer shall sign the Refunding Bonds by their manual or facsimile signatures. The Mayor and the Treasurer are authorized to determine which of the Prior Bonds are to be redeemed and the amount, date, interest rates, interest mode maturities, redemption provisions, form and other details of the Refunding Bonds; to designate one or more banks or trust companies to be certifying bank, registrar, transfer agent and paying agent for the Refunding Bonds and escrow agent with respect to the refunding escrow or escrows to be funded with proceeds of the Refunding Bonds; to provide for the keeping of a record of the Refunding Bonds; to sell the Refunding Bonds at public or private sale or by direct placement; to deliver the Refunding Bonds; and to perform all other acts which are necessary or appropriate to issue the Refunding Bonds. (c) That the Mayor and the Treasurer are authorized to call irrevocably for redemption such of the maturities of the Prior Bonds, as they shall determine to refund from the proceeds of the Refunding Bonds and other moneys as they may determine to make available for this purpose and to defease such Prior Bonds by executing and delivering an escrow agreement in such form and upon such terms as they shall approve, such approval to be conclusively evidenced by their execution thereof.  -9- Minutes – Board of Mayor and Burgesses Regular Meeting – June 4, 2013 (d) The interest on the Refunding Bonds, under the Internal Revenue Code of 1986, as amended, is includable in the gross income of the holder or holders of the Refunding Bonds. It is hereby determined that the issuance of such taxable Refunding Bonds is in the public interest. (e) That the Mayor is authorized to make representations and enter into written agreements for the benefit of holders of the Refunding Bonds to provide secondary market disclosure information, which agreements may include such terms as he deems advisable or appropriate in order to comply with applicable laws or rules pertaining to the sale or purchase of such Refunding Bonds. (f) That the Mayor is hereby authorized if he determines it is in the Borough’s best interest, to acquire, on behalf of the Borough, bond insurance or other forms of credit enhancement guaranteeing the Refunding Bonds on such terms as the Mayor determines to be appropriate, such terms to include, but not be limited to, those relating to fees, premiums and other costs and expenses incurred in connection with such credit enhancement, the terms of payment of such expenses and costs and such other undertakings as the issuer of the credit enhancement shall require; and the Mayor and the Treasurer, if they determine that it is appropriate, are authorized, on the Borough’s behalf, to grant security to the issuer of the credit enhancement to secure the Borough’s obligations arising under the credit enhancement, including the establishment of a reserve from the proceeds of the Refunding Bonds. (g) That the Mayor, the Treasurer, the Controller and other proper officers of the Borough, or any one of them, are authorized to take all other action which is necessary or desirable to enable the Borough to effectuate the refunding of all or a portion of the Prior Bonds and to issue Refunding Bonds authorized hereby for such purposes, including, but not limited to, the entrance into agreements on behalf of the Borough with underwriters, purchaser, trustees, escrow agents, bond insurers, and others to facilitate the issuance of the Refunding Bonds, the escrow of the proceeds thereof and investment earnings thereon, the payment of the Prior Bonds in whole or in part. (h) The Mayor, the Treasurer and the Controller shall take all actions necessary to comply with the terms of the Act including making the necessary submissions to the Office of Policy and Management and the Office of the Treasurer of the State of Connecticut and, after the issuance of the Refunding Bonds, the Borough shall comply with all of the requirements of the Act including but not limited to the minimum funding standards for the Borough’s pension plans. Burgess Comments/Sub-Committee Reports Burgess Burns received complaints the lights were on Rotary Field at 1a.m.  -13- Minutes – Board of Mayor and Burgesses Regular Meeting – June 4, 2013 Deputy Mayor Rossi thanked Marianna Hanley for her service on the Arts Commission. The Fire Department responded to 118 incidents in May. The SPAN Committee is talking about a mission statement and awaiting the report from Blum Shapiro. Burgess Neth said the Naugatuck High School Building Committee is meeting every month now. The site work is the main part of the project. Very shortly we will be losing one of the most dedicated people that have been involved with the Borough of Naugatuck. He is going to be extremely difficult to replace. We will never get a more dedicated employee than Wayne McAllister. Burgess Neth thanked Wayne for his service and his friendship. Burgess San Angelo said Wayne McAllister is a friend to all of us. It’s been nice to always have someone as a go to person if he needed help. His contribution to this town has been incredible. Burgess San Angelo appreciates Wayne’s service and personally thanked him for everything. He wished him all the best. Mayor Mezzo said there will be a special Board of Mayor and Burgesses meeting and a Tri-Board meeting next Wednesday to discuss the interview committee for the controller/school business manager position. 43. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Jackson that the Board of Mayor and Burgesses add to the agenda a motion approving the use of surplus funds. 44. Motion by Deputy Mayor Rossi and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the use of surplus funds in the Five Year Capital Project Account to fund the payment of $974,000 for the Maple Hill School Roof Replacement.
