Nevada Regional Medical Center SPECIAL WORK SESSION: BOARD GOVERNANCE March 8, 2024 ~ Mezzanine Members Present: Cindy Thompson, Bob Beaver, Seth Barrett, Mandy Barnes, Mike Brown, Aimee Meyer, Dr. Moore (departed 12pm), Jayne Novak, Geoff Stewart, Jason Anglin Members Absent: None Others Present (Internal): Holly Bush, CQO; Christi Keating, CNO; Jason McCormick; Jennifer Eaton, EA Others Present (External): None Topic Discussion Action & Follow-Up Call to Order Mrs. Thompson called the special work session to order at 11:06 a.m. and noted that a quorum was present. No conflicts of interest were disclosed. Governance Mr. McCormick explained the current environment at NRMC and with rural healthcare in general. Informational. Policy Review Shared the 4 Rules of Leadership: - Team endeavor - Great teams don’t just happen - It takes a system to work together - System achieves leadership Reviewed board governance policies/procedures. The following policies were reviewed: 1) (101) Global executive constraint 2) (102) Treatment of patients 3) (103) Treatment of staff Will send out remaining policies via email for review/suggestions. At that time, will review & finalize again prior to approval. Adjournment The special work session was adjourned at 1:00 p.m. upon a motion made by Mike Brown and second by Geoff Stewart.
