NORMAN REGIONAL HOSPITAL AUTHORITY Board Study Session December 19, 2022 MINUTES The Norman Regional Hospital Authority met in a Board Study Session, Monday, December 19, 2022 at 12:00pm in the Conference Rooms at Norman Regional 9. The meeting notification was posted on the NRHS and Norman/City Websites and at the entrance of Norman Regional Hospital on Tuesday, December 13, 2022. Members Present: Doug Cubberley, Chairman Dr. Muhammad Anwar Kevin Pipes Jerome (Jerry) Weber, Ph.D. Joan Greenleaf James Chappell Members Absent: Mary Womack Dr. Diane Chambers Paula Roberts Others Present: Richie Splitt, President and CEO Dr. Aaron Boyd, Chief Medical Officer Ken Hopkins, CFO John Manfredo, COO Elaine Purvis, VP, Chief Strategy Officer Brittni McGill, VP, CNO Meegan Carter, VP Population Health & Wellness Kara Cornell, Administrative Fellow Larry Harden, Administrative Director, Risk & Compliance Recorder: Richie Splitt, President & CEO I. Call to Order Mr. Cubberley called to order the December 19, 2022 Board Study Session at 12:01pm. II. Board Resolution Mr. Cubberley brought forward the vote for the Board Resolution in support of an Affiliation Agreement and Joint Venture between Norman Regional Health System (NRHS) and OU Health Stephenson Cancer Center (OUSCC). ACTION TAKEN: Dr. Weber made a motion to approve the Resolution for Affiliation with OU Health Radiation Oncology Joint Venture as presented. Ms. Greenleaf seconded, and the Resolution NRHA Board Study Session Minutes 2 December 19, 2022 passed unanimously with aye votes from Mr. Cubberley, Dr. Weber, Mr. Chappel, Dr. Anwar, Ms. Greenleaf and Mr. Pipes. III. Post Pandemic Realities & the Restart of Industry Transformation (Kaufman Hall) Mr. Anu Singh, Managing Director and Duke Larson, Associate, Kaufman Hall shared a presentation on the Current State of Health Systems’ Financial Performances and Operational Dynamics. Additionally, Mr. Singh and Mr. Larson presented information on Future Requirements for Success by Hospitals. Attendees conversed about the financial impact of COVID-19 on one of America’s foundational institutions – hospitals and health systems. Consideration was given to best practices for health systems to achieve their full potential in service to others. Generally speaking, NRHS must 1) continue evaluating our market focus, service offerings and relationships; 2) connect strategy with financial plans; 3) effectively allocate scarce capital resources; and 4) understand the patient/consumer. Time was spent examining innovative and strategic partnerships similar to the proposed partnership between NRHS and OUSCC. IV. Adjournment ACTION TAKEN: Mr. Chappel made a motion to adjourn the Board Study Session at 2:06pm. Dr. Weber seconded, and the motion passed unanimously with aye votes from Mr. Cubberley, Dr. Weber, Mr. Chappel, Dr. Anwar, Ms. Greenleaf and Mr. Pipes.
