MINUTES OF THE JOINT ETHICS COMMITTEE OF THE BOARDS OF DIRECTORS OF CONNECTICUT MUNICIPAL ELECTRIC ENERGY COOPERATIVE and CONNECTICUT TRANSMISSION MUNICIPAL ELECTRIC ENERGY COOPERATIVE December 6, 2017 The Joint Ethics Committee of the Board of Directors of Connecticut Municipal Electric Energy Cooperative (“CMEEC”) and Connecticut Transmission Municipal Electric Energy Cooperative (“CTMEEC”) met at the CMEEC offices on Wednesday, December 6, 2017. Committee Chairman Jeffrey Godley called the meeting to order at 10:26 a.m. The following Committee Members participated: Groton Utilities – Jeffrey Godley, Keith Hedrick Jewett City – Kenneth Sullivan (via telephone) The following individuals from CMEEC management participated: Robin Kipnis, CMEEC, General Counsel Scott Whittier, CMEEC, Director Enabling Services The following invited guest participated: Robert Fricchione, The Human Resource Consortium, LLC Mr. Whittier recorded. The purpose of the meeting was to discuss the draft report prepared by The Human Resources Consortium which is exempt from disclosure as provided in Conn. Gen. Stat. sec. 1-210(e)(1. Motion was made by Committee Member Hedrick, Seconded by Committee Member Sullivan to move the discussion into Executive Session. Vote passed unanimously. The reason for going into Executive Session to discuss the development of a CMEEC ethics policy and practice). The Committee came out of Executive Session at 11:15 a.m. Chairman Godley read the draft charter of the Ethics Committee for the special committee and to discuss the process for developing CMEEC’s Ethics Policy. Motion was made by Committee Member Hedrick, Seconded by Committee Member Sullivan to adjourn the meeting. There being no further business to come before this Committee, the meeting was adjourned at 12:07 p.m.
