SUBJECT TO BOARD APPROVAL MINUTES OF THE SPECIAL MEETING OF THE BOARD OF DIRECTORS OF CONNECTICUT MUNICIPAL ELECTRIC ENERGY COOPERATIVE October 30, 2019 The October Special Meeting of the Board of Directors of Connecticut Municipal Electric Energy Cooperative (“CMEEC”) was held on Wednesday, October 30, 2019 at the Courtyard by Marriott Orange/New Haven, 136 Marsh Hill Road, Orange, CT at 9:00 a.m. The meeting was legally noticed in compliance with Connecticut State Statutes and all proceedings and actions hereafter recorded occurred during the publicly open portions of the meeting. The following Member Representatives / Alternate Member Representatives / Municipal Representatives participated: Groton Utilities: Ronald Gaudet, Jeffrey Godley, Esquire, Keith Hedrick Groton Municipal Representative: Mark Oefinger Norwich Public Utilities: Chris LaRose, Robert Staley Norwich Municipal Representative: David Eggleston Bozrah Light & Power: Scott Barber (via telephone), Richard Tanger (via telephone), Ralph Winslow South Norwalk Electric & Water: David Westmoreland South Norwalk Electric & Water Municipal Representative: Dawn DelGreco Third Taxing District: Kevin Barber, Debora Goldstein Third Taxing District Municipal Representative: Pete Johnson Jewett City Department of Public Utilities: Louis Demicco (via telephone), Kenneth Sullivan (via telephone) Jewett City Municipal Representative: George Kennedy, Esquire (via telephone) The following CMEEC Staff Participated: Michael Lane, CMEEC Interim CEO and CFO Robin Kipnis, Esquire, CMEEC General Counsel Justin Connell, CMEEC Director of Sustainability and Customer Engagement Michael Cyr, CMEEC Director of Portfolio Management Michael Rall, CMEEC Director of Asset Management Scott Whittier, CMEEC Director of Enabling Services Ms. Kipnis recorded. -1- Member Representative Ronald Gaudet, Vice Chair of the CMEEC Board of Directors, in the stead of Chair Kenneth Sullivan who was participating by telephone, called the meeting to order at 9:10 a.m. For the record, Vice Chair Gaudet noted that today’s meeting is being held via telephone and in person at the Courtyard by Marriott Orange/New Haven, 136 Marsh Hill Road, Orange, CT. Standard Agenda Items A Public Attendee Comment Period No public comment was made. B Conduct Voting Roster / Roll Call Ms. Kipnis conducted roll call identifying the formal voting persons at today’s meeting. Vice Chair Gaudet confirmed a quorum was present. C Approve Minutes of the CMEEC Regular October 24, 2019 Board of Directors’ Meeting Vice Chair Gaudet entertained a motion to table the approval of the Minutes of the CMEEC Regular October 24, 2019 Board of Directors’ Meeting. A motion was made by Member Representative Debora Goldstein, seconded by Member Representative Jeffrey Godley to table the approval of the Minutes of the CMEEC Regular October 24, 2019 Board of Directors’ Meeting. Motion passed unanimously. 19-10-06 Specific Agenda Items D Board of Directors Governance Training Michael Lane, CMEEC Interim CEO and CFO, introduced today’s facilitator, Tim Blodgett of Hometown Connections, Inc. Mr. Blodgett walked the Board through the handout. Discussion ensued. There being no further business to come before this Board, Vice Chair Gaudet entertained a motion to adjourn. A motion was made by Member Representative Goldstein, seconded by Vice Chair Gaudet to adjourn the meeting. Motion passed unanimously. 19-10-07 The meeting was adjourned at 3:33 p.m. -2-
