MINUTES OF THE
REGULAR HYBRID MEETING OF THE
GOVERNANCE COMMITTEE
OF THE JOINT BOARD OF DIRECTORS OF
CONNECTICUT MUNICIPAL ELECTRIC ENERGY COOPERATIVE
AND
CONNECTICUT TRANSMISSION MUNICIPAL ELECTRIC ENERGY COOPERATIVE
October 9, 2025
A Regular Hybrid Meeting of the Governance Committee of the Joint Board of Directors of
Connecticut Municipal Electric Energy Cooperative (“CMEEC”) and Connecticut Transmission
Municipal Electric Energy Cooperative (“CTMEEC” dba Transco) was held in person at 30 Stott
Avenue, Norwich, CT and via Zoom on Thursday, October 9, 2025 at 10:00 a.m.
The meeting was legally noticed in compliance with Connecticut General Statutes and all
proceedings and actions hereafter occurred during the publicly open portions of the meeting.
The following Committee Members participated via Zoom:
East Norwalk, Third Taxing District: Michele Sweeney
Groton Utilities: Ronald Gaudet
Groton Municipal Representative: Mark Oefinger
Jewett City Department of Public Utilities: Louis Demicco
Jewett City Municipal Representative: George Kennedy (left at 10:24 a.m.)

South Norwalk Electric & Water: Alan Huth, David Westmoreland
The following Non-Voting Members participated via Zoom:

Ms. Gaudet recorded.
Committee Chair Alan Huth called the meeting to order at 10:00 a.m. noting for the record that
today’s meeting is being held in person at 30 Stott Avenue, Norwich, CT and via Zoom. He
reminded participants to keep their devices on mute unless speaking to eliminate background
noise and to state their names when speaking for clarity of the record.

No public comment was made.
B Roll Call
Ms. Gaudet conducted roll call. Committee Chair Huth confirmed a quorum of the
Committee was present.
C Approve the Minutes of the June 12, 2025 Regular Hybrid Meeting of the Joint
Governance Committee
A motion was made by Committee Member Oefinger, seconded by Committee
Member Staley to Approve the Minutes of the June 12, 2025 Regular Hybrid
Meeting of the Joint Governance Committee.
Motion passed unanimously.
D Review Proposed 2026 Board and Committee Meeting Schedule
Committee Chair Huth introduced the Proposed 2026 Board and Committee Meeting
Schedules and encouraged feedback from the Committee.
Following a productive discussion, the Committee agreed that staff should revise the
Proposed 2026 Committee Meeting Schedule and to make a reasonable effort to prioritize
Thursday meetings – either in the mornings or in the afternoons – to better align with
Members’ availability. The Committee further agreed that the proposed number of
meetings is appropriate and that scheduling multiple meetings on the same day is
acceptable.
Committee Chair Huth suggested that staff prepare and circulate an updated Proposed
2026 Committee Meeting Schedule for Committee review prior to the Annual Meeting of
the Joint Board of Directors on November 20, 2025, and that further Committee
discussion of the Schedule prior to Board approval is not necessary unless requested upon
Committee review of the revised proposal.
E Review Board Interest Survey Results and Develop Slate of Board Officers and
Committee Members
Committee Chair Huth presented the results of the Board Interest Survey and the
resulting draft 2026 Slate of Board Officers and Committee Members to the Committee.
Discussion followed.
After confirming that the incumbent Chair, Vice Chair, and Secretary are willing to serve
in their officer roles again in 2026, the Committee agreed to recommend their
reappointment for an additional one-year term. In light of Committee Member LaRose’s
upcoming retirement, the Committee also agreed to recommend Committee Member
Gaudet for the role of CMEEC & CTMEEC Treasurer. Additionally, the Committee
agreed to revise the draft 2026 Slate of Board Officers and Committee Members to
expand membership on each of the four standing committees as requested during the
meeting.
In response to inquiries from Committee Members Westmoreland and Staley, Mr.
Meisinger confirmed that, based on recent discussions held during the Ad Hoc Charter
Review Committee meetings, the Legislative & Governmental Affairs Committee and the
Alternate Member Representative positions are expected to be dissolved effective
January 1, 2026. As a result, neither is included in the draft 2026 Slate presented today.
Committee Chair Huth explained that the draft 2026 Slate of Board Officers and
Committee Members will be updated to reflect today’s discussion prior to its presentation
to the Joint Board of Directors at its Annual Meeting on November 20, 2025.
F New Business
Mr. Meisinger reflected on the Committee’s goal of updating the CMEEC Strategic Plan
and shared that efforts on the Plan are expected to begin after the Ad Hoc Charter Review
Committee completes its work in 2026, as its outcomes will help inform the strategic
direction of the organization.
G Adjourn
A motion was made by Committee Member Gaudet, seconded by Committee
Member LaRose to adjourn.
Motion passed unanimously.
The meeting was adjourned at 10:36 a.m.
