NORWICH ICE RINK AUTHORITY MINUTES FROM MEETING HELD July 17, 2014 Authority Attendance: Pete Desaulniers, Cheryl Ritacco, Mike Goldblatt, JoAnn Beguhl, Mark Bettencourt, Gary Makowicki Guests: Shannon FitzGerald, Tony Madeira, Kim McGee Meeting was called to order by Pete Desaulniers at 7:00 pm, a quorum was present. Review of Minutes: Minutes from June 19, 2014 were submitted, Cheryl Ritacco made a motion to accept the minutes, and Gary Makowicki seconded the motion, which passed unanimously. There were no public comments Correspondence: Correspondence that was received will be discussed in Rink Management contract update. New Business Prime Electric Invoice: JoAnn Beguhl made a motion to approve the Prime Electric invoice for disconnecting the rental chiller; Mark Bettencourt seconded the motion which passed unanimously. Receiving and approving inventory list presented for the pro shop: Mike Goldblatt made a motion to accept the pro shop inventory audit report; Cheryl Ritacco seconded the motion which passed unanimously. Old Business Rink Management contract update: Mark Bettencourt made a motion that the Authority accepts the resolution stating;  NOW THEREFORE BE IT RESOLVED BY THE NORWICH ICE ARENA AUTHORITY that its Chairman, Francois “Pete” Desaulniers, on behalf of the Norwich Ice Arena Authority, be and hereby is authorized and directed to enter into and execute said Management Services Agreement, to deliver duplicate original copies of the Management Services Agreement, to the Norwich RoseGarden Ice Associates, LLC and the City of Norwich, and to enter into, execute, and deliver such other correspondence or documents as may be necessary to put such Management Services Agreement into effect. Allowing Pete Desaulniers as Chairman to sign on behalf of the Rink Authority, Mike Goldblatt seconded the motion, which passed unanimously. Cheryl Ritacco made a motion to accept the Resolution stating; NOW THEREFORE BE IT RESOLVED BY THE NORWICH ICE ARENA AUTHORITY that its Chairman, Francois “Pete” Desaulniers, on behalf of the Norwich Ice Arena Authority, be and hereby is authorized and directed to enter into an Assignment and Assumption Agreement in a form satisfactory to him and the Norwich RoseGarden Ice Associates, LLC, and subject to the consent of the current Director of Operations, Douglas W. Roberts, Jr., assigning all of the rights and obligations of the Norwich Ice Arena Authority under said Employee Agreement to the Norwich RoseGarden Ice Associates, LLC which shall assume all rights and obligations of the Norwich Ice Arena Authority thereunder. Giving Pete authorization to sign and enter into the agreement with Norwich RoseGarden Ice Associates, LLC, on behalf of the Rink Authority. Mike Goldblatt seconded the motion and it passed unanimously. With a motion by Mark Bettencourt and seconded by Cheryl Ritacco, the meeting was adjourned at 7:17pm.
