As a result, Troon will take over operations of the Ocean Shores Golf Course on May 1, 2023. To ensure that Troon can operate the Ocean Shores Golf Course starting on May 1, 2023, the City needs to purchase the equipment and inventory currently at the golf course. The current lessee and Troon have performed valuations of the equipment and inventory. On April 26, 2023, the City and current lessee negotiated the valuations and agreed on the purchase price of $412,250.56, plus applicable taxes and fees (estimated at $50,000). The agreement states the City will pay the purchase price in two installments. The first one totaling $200,000 is due on May 15, 2023 and the remaining amount of $212,250.56 is due by January 5, 2024. The City’s Capital Improvement Fund (301) has sufficient fund balance to pay both installments on the equipment and inventory, plus applicable taxes and fees. Page 6 of 23  GOLF COURSE EQUIPMENT PURCHASE AND SALES AGREEMENT THIS PURCHASE AND SALES AGREEMENT is made this ____ day of _____________, 2023, between OCEAN SHORES GOLF COURSE, INC., a Washington corporation (“Seller”) and the CITY OF OCEAN SHORES, a Washington municipal corporation (“Purchaser”) who are sometimes referred to herein individually as “Party” and collectively as “Parties.” WHEREAS, Seller desires to sell the equipment used in the operation of the Ocean Shores Golf Course (the “Equipment”); and WHEREAS, Purchaser desires to purchase the Equipment, it is, therefore, agreed: 1. Sale of Equipment Seller shall sell to Purchaser, and Purchaser shall purchase from Seller, free from all liabilities and encumbrances, the Equipment and personal property set forth on Exhibit A, attached hereto. 2. Price The purchase price for the Equipment is $412,250.56. (“Purchase Price”). The purchase price is calculated as follows: Equipment - $414,715.00 Pro Shop Inventory - $80,697.52 Food and Beverage Inventory - $2,500.00 Less Memberships – ($45,144.33) Less Book Money Issued – ($40,517.63) 3. Payment of the Purchase Price Purchaser shall pay the Purchase Price in two installments via checks issued by the City of Ocean Shores. The first installment of $200,000 is due by May 15, 2023. The remaining installment of $212,250.56 is due by January 5, 2024. No interest shall be paid on the installment amounts. 4. Taxes Purchaser shall pay all use or sales taxes arising out of the transfer of the Equipment of this sale. Purchaser will not be responsible for any tax of any kind related to any period before the Date of Possession. Seller shall contact the Grays Harbor County Assessor to have the Personal Property Tax Statement transferred to Purchaser’s name as of the Date of Possession. The Parties shall prorate the personal property tax due. 5. Representations of Seller Seller hereby represents, warrants and agrees it has marketable title to the Equipment, free of all encumbrances, liens, security agreements, equities, options, claims Page 1 of 5 2. Upon consummation of the transaction Purchaser will be vested with good and marketable title to all the Assets free and clear of any encumbrances, liens, security agreements, equities, options, claims or charges, or restrictions of any kind. 6. Condition of Assets Exhibit A is a true and accurate list of the major items of equipment and personal property conveyed pursuant to this Agreement. To the best of Seller’s knowledge, the equipment and personal property are in a state of good maintenance, operating condition and repair, normal wear and tear excepted. Other than the warranties contained within this Agreement, Purchaser takes the Assets “as is”. Purchaser has inspected and is familiar with the physical condition of all equipment, and except for the warranties set forth in this Agreement, accepts those Assets “as-is”. Seller shall provide any warranties which may be in place from any equipment manufacturer. 7. Title to Assets At Closing, Seller shall provide Purchaser a Bill of Sale for all the Assets enumerated in Exhibit A; a copy of which is attached hereto as Exhibit B. 8. Closing Closing is the date on which all actions necessary to deliver title to the Equipment are completed (including execution of this Agreement and related documents) and the purchase price is delivered to Seller. Closing will be on April 29, 2023. 9. Date of Possession The date Purchaser assumes possession of the Equipment is the “Date of Possession”. 10. Attorney Fees. If a party to this Agreement files an action in any court or other forum (including in or in connection with any bankruptcy proceeding) to enforce compliance with any term of this Agreement or to allege a breach thereof against the other party, the prevailing party in that action shall be entitled to recover all reasonable attorneys’ fees, costs and any necessary disbursements incurred therein, including, without limitation, expert witness fees, deposition costs, court clerk fees, service fees, and printing costs, in addition to any other relief to which the party may be entitled at trial or upon appeal. 11. Governing Law The laws of the State of Washington shall govern the validity of this Agreement, the construction of its terms, and the interpretation of the rights and duties of the parties. 12.
