MAYOR’S REPORT Mayor Wright thanked everyone for attending the Homecoming Parade, and made note of the Odessa Marching Band Invitational scheduled for Saturday, October 16, 2021. Mayor Wright reminded everyone of the scheduled power outage, which will take place Saturday night into early Sunday morning. This should be the final scheduled outage. Evergy has indicated this will conclude the maintenance work and updates they had planned for the substation. ALDERMEN REPORTS ⮚ Alderman Barner thanked Peggy Eoff, City Clerk, for her years of service to the City of Odessa. Alderman Barner expressed his concern with the drainage tunnel at Chestnut Park. He is concerned that kids are playing in the tunnels. He questioned how liable the City is if a child gets hurt in the tunnel. He would like staff to look into placing barricades at the entrance of the tunnels. Alderman Barner continues to have concern with yard waste pick up. He stated that calls made to Republic Services are not being returned. He did state that progress is being made in trash and recycle pick up. ⮚ Alderman Lockhart stated that he has seen improvement in the trash service. He thanked Peggy Eoff, City Clerk for her years of service to the City of Odessa. ⮚ Alderman Finn – Absent ⮚ Alderwoman Starr thanked Peggy Eoff, City Clerk for her years of service to the City of Odessa, and hopes she enjoys her retirement. ⮚ Alderman Stevens thanked Peggy Eoff, City Clerk for her years of service to the City of Odessa. ⮚ Alderman Cramer thanked Mayor Wright and his fellow Alderman for their vote of confidence in his newly appointed position as Alderman Ward III. PUBLIC COMMENTS Jerry Bryant 205 E. Chestnut Street Odessa, MO 64076 Colton Henry 500 S. Street Odessa, MO 64076 Mr. Bryant and Mr. Henry were present to speak on the closure of the Odessa Reservoir during the Missouri duck hunting season. They would like the lake to be completely closed thru the entire season due to liability and safety reasons. Mr. Bryant stated that people could possibly be injured if the lake is not completely closed. He stated that there are times when there are issues with the locked gates. OLD BUSINESS No old business. NEW BUSINESS Recognition Mayor Wright presented Peggy Eoff, City Clerk with a plaque for her leadership, dedication, and service to the City of Odessa, from March 2003 to October 2021. Peggy, you will be greatly missed. Oath of Office Peggy Eoff, City Clerk led the Oath of Office, and swore in Karen Findora as the newly appointed City Clerk for the City of Odessa. Oath of Office Karen Findora, City Clerk led the Affirmation of Oath of Office to Shawn Cramer, Alderman Ward III. Alderman Cramer was sworn into office on September 21, 2021, after being appointed to fill the unexpired term of Alderman Ray Harves. Citizen Request Lake Use – Duck Hunting Season Mayor Wright stated that the City received a request to close the Odessa Reservoir during the Missouri waterfowl hunting season, which runs Saturday, November 6, 2021 to Sunday, February 6, 2022. The request was submitted by Jerry Bryant, Colton Henry, Zack Danner, and Larry Danner. Discussion: Alderwoman Starr stated that for safety purposes she would approve of the closure. Alderman Barner stated that he had 24 constituents contact him to voice their opinion on the closure of the lake. Of those, 75% were of the opinion that it needs to be kept as is. Alderman Barner questioned if the lake could be completely closed for one or two months instead of three. Alderman Barner stated that the fishing, walking, and sledding provides people an active outdoor activity, and he doesn’t want to remove that for the winter months. After no further comment, and with a lack of a motion, Mayor Wright noted that it will be left as is. Bill No. 2021-30 (1st reading) – New Stop Sign Location Mayor Wright read the proposed ordinance amending Chapter 46 (Traffic and Vehicles), Appendix A. (Traffic Schedules), and Section 46A-2 – Schedule II (Stop Intersections) of the code of ordinances. Third St. and Chestnut stop signs. Motion was made by Alderman Stevens, seconded by Alderman Barner, to approve Bill No. 2021-30 upon its first reading. Discussion: Alderman Lockhart stated that this is a speeding issue and questioned how many tickets have been written for that area. Leland Liese, Assistant Chief stated that he currently doesn’t have those numbers, but can produce them at the next meeting. Mayor Wright stated that he had received several calls from residents for the speeding that is taking place in that area. The stop signs were added a couple of weeks ago to help reduce speeding by shortening the distance between stop signs. Feedback from the residents in the area and the school district is that this action has helped slow drivers down. It was noted that the previous action of expanding the school zone has also been effective. Alderman Lockhart stated that he doesn’t want to see stop signs posted all over town. Let it be known that no extra money is being spent to post the signs. Mayor Wright stated that the signs were put up on a temporary basis to see if they would help or hinder the process, and it has helped. Nici Wilson, City Administrator, clarified with this just being a study, the stop sign schedule was not changed and there were no tickets issued during the traffic study. If the ordinance is approved it would then add the stop sign to the traffic schedule. Motion carried 5-0. Bill No. 2021-30 (2nd reading) – New Stop Sign Location Mayor Wright read the proposed ordinance amending Chapter 46 (Traffic and Vehicles), Appendix A. ACTION: Allow Mayor to enter into a Maintenance Agreement with Blue Valley Public Safety, Inc. for repair, maintenance, service of five (5) existing storm sirens. BACKGROUND: BVPS, Inc has prepared a maintenance agreement regarding repair, maintenance and service of five (5) existing storm sirens for the period to begin December 1, 2021, through November 30, 2022. Our current maintenance agreement will expire on November 30, 2021. Our storm siren system consists of one (1) siren that was purchased and installed in 2013, one (1) siren that was purchased and installed in 2014 and three (3) sirens that were purchased and installed in 2019. None of our sirens are currently under warranty. Preventative maintenance and monthly testing is conducted, but without a warranty it is advised to have a maintenance agreement in place to repair and service the system. Note: There are four (4) additional “air raid” style neighborhood sirens that are obsolete and not needed as they are within the coverage area of the five newer sirens. Parts for these antiquated sirens are not available. When these sirens fail beyond normal repair that our City staff can complete, they will be dismantled and removed. The City of Odessa entered a maintenance contract with BVPS, Inc. last year to cover the five (5) storm sirens within our coverage map. This year’s agreement did see a small increase of $114.00 total. City Administrator Nici Wilson, Finance Director Shawna Davis, and I have reviewed this agreement. FINANCIAL CONSIDERATIONS: The total for the 2021/2022 maintenance agreement with BVPS, Inc. is $4,050.00 (an increase of $114.00 from the previous year). In consideration of the mutual agreements herein contained, BLUE VALLEY and the CUSTOMER agree as as follows: 1. Subject to the terms and provisions of the Agreement, BLUE VALLEY hereby agrees to maintain and service for equipment (the “EQUIPMENT”) described on the reverse side of this Agreement beginning and ending on the dates indicated. 2. CUSTOMER hereby agrees to pay BLUE VALLEY the total of monthly charge(s) set forth on the reverse side for the one-year term of this Agreement. In addition, CUSTOMER shall pay for any sales, use, excise or other taxes, if any, which may be imposed upon the furnishing of parts, components or service pursuant to this Agreement. 3. The services to be performed by BLUE VALLEY hereunder shall consist of repair or replacement of the EQUIPMENT and parts and components thereof which have malfunctioned or become inoperative in normal wear and usage. This Agreement does not extend to repair or replacement of the EQUIPMENT or parts or components thereof which have malfunctioned or become inoperative for any other reason, including, but not limited to, misuse, abuse, vehicular accident, fire, natural disaster, explosion or other casualty, or modification or alteration by any party other than BLUE VALLEY. 4. BLUE VALLEY’S obligation to service the EQUIPMENT pursuant to this Agreement shall consist of its obligation of repair or replacement hereinabove set forth. In the event of any breach of such obligation by BLUE VALLEY, CUSTOMER’S sole remedy shall be to terminate this Agreement and receive from BLUE VALLEY the lesser of: (i) the actual and reasonable cost of such repair or replacement by another party; or (ii) the monthly charges theretofore paid by CUSTOMER in respect of such of the EQUIPMENT for which breach is claimed by CUSTOMER. In no event shall BLUE VALLEY be responsible for consequential damages or other damages, such as, but not limited to, loss of profits, cost of purchasing or renting replacement equipment, or loss of use of the EQUIPMENT or vehicles in which the EQUIPMENT shall be installed. This limitation on the liability of BLUE VALLEY shall not extend to any claim for damages arising out of injury to person or property directly and proximately caused by the Equipment. 5. BLUE VALLEY shall be under no obligation to provide services at any site other than the site, designated pursuant to this Agreement. In the event that BLUE VALLEY should nonetheless perform service at any other site at the request of CUSTOMER, then CUSTOMER shall be responsible for providing a safe and suitable working site, and shall be responsible for all additional costs and expenses incurred by BLUE VALLEY in performing services at such site, including, but not limited to, transportation costs, temporary equipment rentals, employee overtime, and additional labor costs resulting from utilization of local union workmen to conform with any agreements or other requirements affecting such work site. 6. Any item of the EQUIPMENT which is not new or which has not been subject to a Maintenance service agreement with BLUE VALLEY immediately prior to this Agreement shall be inspected by BLUE VALLEY at CUSTOMER’S request and restored to operative condition at the expense of CUSTOMER. In the event BLUE VALLEY is unable to restore the EQUIPMENT to operative condition, then effective upon the date of notice of such fact to CUSTOMER, this Agreement shall be terminated as to such EQUIPMENT and the charges hereunder equitably reduced. Such termination shall have no effect as to any other EQUIPMENT hereinabove specified, and in addition, CUSTOMER shall pay its reasonable charges for parts and labor expended in its attempt to restore such EQUIPMENT to operative condition. 7. BLUE VALLEY warrants that parts, components and services furnished pursuant to this Agreement shall be commercially free from defects of material and workmanship at the time EQUIPMENT is returned to CUSTOMER. Any claim for breach of this warranty shall be ineffective unless written notice thereof shall be given to BLUE VALLEY within the period of one year from the date hereof. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES OF MERCHANTABILITY, FITNESS FOR PURPOSE AND OF ANY OTHER TYPE, WHETHER EXPRESS OR IMPLIED. 8. BLUE VALLEY shall use reasonable diligence to perform its obligations hereunder on a commercially timely basis but subject to delays or failures resulting from fire, war, labor disputes, acts of God, governmental regulations, commercial shortages, component or material unavailability, and other causes beyond its reasonable control. Performance by BLUE VALLEY is further conditioned upon complete information or instructions being furnished by CUSTOMER regarding inoperative or malfunctioning conditions of the EQUIPMENT and possible causes thereof. 9. This Agreement may terminate by either party hereto in whole or in part as to less than all items of the EQUIPMENT upon giving to other party sixty (60) days advance written notice of its intent to terminate; except that (i) BLUE VALLEY shall complete all services herein required of it with respect to EQUIPMENT therefore delivered to BLUE VALLEY and shall return same to CUSTOMER; (ii) CUSTOMER shall pay for all charges or other costs accruing prior to the effective date of termination or with respect to EQUIPMENT thereafter returned to CUSTOMER by BLUE VALLEY; and (iii) BLUE VALLEY shall return to CUSTOMER all payments made by CUSTOMER applicable to terminated maintenance service to have been rendered by BLUE VALLEY subsequent to the effective date of termination. 11. This Agreement constitutes the only agreement between BLUE VALLEY and CUSTOMER respecting the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral. This Agreement may not be amended or modified except in writing signed by BLUE VALLEY and CUSTOMER. Neither party may assign any rights hereunder without the prior written consent of the other. This Agreement shall be solely for the benefit of BLUE VALLEY and CUSTOMER and no other party shall have any rights hereunder. 12. *SPECIAL PROVISIONS _____96_____ Hours response time.
