Council President Schaer announced amendment to Agenda Item #23 RESOLUTION REJECTING BIDS FOR EMERGENCY TRAFFIC SIGNAL REPAIRS Passaic City Council Minutes: May 7, 2024 Approved: September 16, 2024 PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC MAYOR’S UPDATE • Mayor Hector C. Lora began by discussing the city's recent Asphalt Art event on April 27th. He stated that over 100 volunteers joined with Easy Ride for a fun- filled volunteer paint day to create a mural at the intersection of Columbia Avenue and Monroe. The winner of the mural design was Angelica Tarro Vargas, who was awarded $3,000. The mayor said this was one of the first murals the city is seeking to do to enhance pedestrian and vehicular safety. • The mayor then praised the work of City Clerk Weatherly Frias and her staff for the city's first passport clinic. He said over 100 residents were able to get passport services without appointments, just in time before summer travel. The mayor announced a second passport clinic will be held on May 11th from 9am-12pm. • Upcoming city events mentioned include the Family Bike Ride on May 19th at 11:30am at Veterans Memorial Third Ward Park, and the Cinco de Mayo event where Deputy Mayor Juan Dudon and Councilwoman Melo represented the city. • The mayor provided updates on several city infrastructure projects: • The Colonel Johnson Park green acres project was recommended for a $2.15 million grant from the NJDEP (New Jersey Department of Environmental Protection). • The city is creating new ADA (Americans with Disabilities Act) ramps on streets like 3rd, Jefferson, Hoover, Van Hauen, Passaic, Montgomery, and Monroe. • On Market Street and 125 South Street, the city is working on a new riverwalk project funded through the UEZ (Urban Enterprise Zone). • The city's pothole repair and paving efforts have addressed over 85 potholes in areas like Dwaz Line, Main Ave, Birch's Place, 154 Main Ave, Howard, Henry, Barber Ave, Gurley near Brook Ave, Park Ave, Spring, 10th, South, River Drive, Myrtle, Elliott, Hughes Place, Albion, Randolph, Paulson, Westminster, Park, Stewart, and Tennyson. • The mayor took a moment to personally thank the police department, fire department, and emergency responders for their support during the recent loss of a police officer Lora who was a close relative of the mayor. The Council opens every public meeting for comments of the public. However, in accordance with N.J.S.A. 10:4-12 “nothing in this Act shall be construed to limit the discretion of a public body to permit, prohibit or regulate the active participation at any meeting,” Therefore, the City Council will not entertain any comments from persons who communicate obscene material, make statements which are considered bias intimidation in which any person attempts to intimidate any individual or group because of race, color, religion, handicap, sexual orientation, or ethnicity or makes personally offensive or abusive, defamatory or profane comments, comments intending to harass or speak any offensive or abusive language. The person who makes these statements will relinquish their allotted five minutes for public discussion. Raised concern about the lack of shade in city parks, specifically mentioning Tennyson Park. Suggested installing overhangs or planting more trees to provide shade and protect children from excessive sun exposure, which could lead to health issues like skin cancer. Requested the city’s response on potential solutions to increase shaded areas in parks. CITY OF PASSAIC RESOLUTION NO. 24-05-106 RESOLUTION AWARDING CONTRACT THROUGH NEGOTIATIONS CONSULTING SERVICES FOR FOOD ACCESS AND SECURITY ACTION PLAN WHEREAS, the City of Passaic solicited proposals for Consulting Services for the Food Access and Security Action Plan; and WHEREAS, the City of Passaic is utilizing the NJ Economic Development Agency’s Food Security Grant to create a comprehensive market analysis to assess the most Page 13 of 39 Passaic City Council Minutes: May 7, 2024 Approved: September 16, 2024 PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC effective use of the property at 220 Passaic Street, to enhance food security in the Eastside area; and WHEREAS, proposals were due on March 15, 2024, but no proposals were received for this project; and WHEREAS, proposals were re-bid on April 3, 2024, but no proposals were received for this project; and WHEREAS, N.J.S.A. 40A;11-5 (3)(a) provides that when no bids/proposals have been received on both occasions in response to the advertisement, any contract over the bid threshold may be negotiated and awarded by Resolution of the governing body; and WHEREAS, the Director of Purchasing has made a reasonable effort to determine that the same goods and services, at a price lower than the negotiated price, are not available from any agency or authority of the United States, the State of New Jersey, the County of Passaic or any local municipality; and WHEREAS, the terms, conditions, restrictions, and specifications outlined in the negotiated contract are not substantially different from those which were the subject of the original proposal document; and WHEREAS, on Friday, April 12, 2024 negotiations were conducted by Doris Dudek, Director of Purchasing; and WHEREAS, the negotiations resulted in the following prices: Colliers Engineering & Design $ 125,000.00 WHEREAS, the City of Passaic wishes to enter into a contract with Colliers Engineering & Design for Consulting Services For Food Access and Security Action Plan in the amount of $ 125,000.00. (hereinafter referred to as the “Act”), a local unit may enter into an Agreement for shared services with another local unit to provide and/or receive any service that the units participating in the Agreement are empowered to provide and/or receive within their own jurisdiction; WHEREAS, the Agreement for shared services must comply with the requirements of N.J.S.A. 40A:65-7 and specify the services to be performed under the Agreement, the procedures for payment of said services and the assignment and allocation of responsibilities for meeting the standards between and among the parties for said services; WHEREAS, when temperatures drop below 35 degrees Fahrenheit, and conditions pose a threat to individual who are homeless, at risk of being homeless and/or whose homes are unable to provide a heating source, the Passaic County Office of Emergency Management coordinates with municipalities within the County of Passaic (the “County”) to initiate and communicate an alert to the general public that shelter arrangements and/or warming stations are being prepared (such actions collectively, “Code Blue”); and WHEREAS, to facilitate the effective implementation of Code Blue, and to better protect at-risk residents of the County andj the City of Passaic (the “City”) the County and City wish to enter into a shared services agreement (the “Agreement”) regarding the shared responsibility and levels of participation that the County and the City have with respect to assisting individuals in need during Code Blue alerts; and WHEREAS, the attached Shared Services Agreement covers the period of November 1, 2023 through March 31, Page 26 of 39 Passaic City Council Minutes: May 7, 2024 Approved: September 16, 2024 PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC 2024 in exchange for the original sum of thirty five thousand dollars ($35,000.00); and WHEREAS, Passaic County amended their original grant award by Resolution R-24-201 to add an additional fourteen thousand dollars ($14,000.00), authorizing a grant award increase from $35,000 to $49,000 to provide Code Blue services to residents. CITY OF PASSAIC RESOLUTION NO. 24-05-119 RESOLUTION AUTHORIZING A SHARED SERVICE AGREEMENT WITH PASSAIC BOARD OF EDUCATION FOR USE OF SCHOOL AND CITY FACILITIES 2024-2025 WHEREAS, City of Passaic and Passaic Board of Education wish to enter into the attached Shared Services Agreement for the shared use of Board of Education facilities and City of Passaic fields and facilities pursuant to N.J.S.A. 40A:65-1, et seq.; and WHEREAS, under such Shared Service Agreement, the City of Passaic and Board of Education shall provide each other with a list, semi-annually, of the facilities and fields to be used and dates and times requested and agree that their use of each other’s facilities shall not interfere or conflict with that other party’s use of its own facilities; and WHEREAS, under such Shared Service Agreement, the City of Passaic and Board of Education agree to waive any fees and forms for the use of each other’s fields and facilities; and Page 29 of 39 Passaic City Council Minutes: May 7, 2024 Approved: September 16, 2024 PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WHEREAS, under such Shared Service Agreement, the City of Passaic and Board of Education shall mutually indemnify and hold harmless each other and shall also obtain the appropriate liability coverage naming each other as an additional insured for the use of each other’s fields and facilities; and WHEREAS, the term of the Shared Service Agreement shall commence on July 1, 2024 and expire on June 30, 2025. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Passaic that the City of Passaic is hereby authorized to enter into the attached Shared Services Agreement with the Passaic Board of Education for the shared use of Board of Education facilities and City of Passaic fields and facilities and subject to the terms and conditions thereof; and BE IT FURTHER RESOLVED that the Mayor and City Clerk are hereby authorized to execute the Shared Services Agreement attached hereto; and BE IT FURTHER RESOLVED that copies of this Resolution and a copy of the executed Shared Services Agreement shall be forwarded to Passaic Board of Education to commence the Shared Services Agreement; and BE IT FURTHER RESOLVED that a copy of this Resolution and a copy of the executed Shared Services Agreement shall be forwarded to the Division of Local Government Services pursuant to N.J.S.A. 40A:65-4 by the City Clerk. No down payment is required pursuant to N.J.S.A. 40A:2-11(c). Section 2. In order to finance the cost of the improvement or purpose not covered by the application of the down payment, negotiable bonds are hereby authorized to be issued in the principal amount of $3,700,000 pursuant to the Local Bond Law. In anticipation of the issuance of bonds, negotiable bond anticipation notes are hereby authorized to be issued pursuant to and within the limitations prescribed by the Local Bond Law. Section 3. (a) The improvements or purposes hereby authorized for which bonds or notes are to be issued are for the planning, design, construction and outfitting of a new parking garage facility on Passaic Street in the City (as described in greater detail in the plans and specifications on file in the City offices), the purchase and installation of various equipment and fixtures relating to the operation of said parking garage facility, improvements and repairs to adjacent/nearby sidewalks and curbs, the purchase and installation of electric vehicle charging stations, and all work and materials necessary therefor or incidental thereto for all of the aforementioned items. (b) The estimated maximum amount of bonds or notes to be issued for the improvement or purpose is as stated in Section 2 of this bond ordinance. (c) The estimated cost of the improvement or purpose is equal to the amount of the appropriation stated in Section 1 of this bond ordinance Section 4. All bond anticipation notes issued hereunder shall mature at such times as may be determined by the Chief Financial Officer; provided that no bond anticipation note shall mature later than one year from its date. The bond anticipation notes shall bear interest at such rate or rates and be in such form as may be Page 35 of 39 Passaic City Council Minutes: May 7, 2024 Approved: September 16, 2024 PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC determined by the Chief Financial Officer. The Chief Financial Officer shall determine all matters in connection with the bond anticipation notes issued pursuant to this bond ordinance, and the Chief Financial Officer’s signature upon the bond anticipation notes shall be conclusive evidence as to all such determinations. All bond anticipation notes issued hereunder may be renewed from time to time subject to the provisions of the Local Bond Law. The Chief Financial Officer is hereby authorized to sell a part, or all, of the bond anticipation notes from time to time at public or private sale, and to deliver them to the purchasers thereof upon receipt of payment of the purchase price plus accrued interest, if any, from their dates to the dates of delivery thereof. The Chief Financial Officer is directed to report in writing to the governing body at the meeting next succeeding the date when any sale of bond anticipation notes issued pursuant to this bond ordinance is made. Such report must include the amount, the description, the interest rate and the maturity schedule of the bond anticipation notes sold, the price obtained and the name of the purchaser. Section 5. The capital budget of the City is hereby amended to conform with the provisions of this bond ordinance to the extent of any inconsistency herewith. Section 6. The following additional matters are hereby determined, declared, recited and stated: (a) The improvement or purpose described in Section 3 of this bond ordinance is not a current expense. It is an improvement or purpose that the City may lawfully undertake as a general improvement, and no part of the cost thereof has been or shall be specially assessed on property specially benefited thereby. (b) The period of usefulness of the improvement or purpose described in Section 3 of this bond ordinance, computed on the basis of the amount of obligations authorized for the improvement or purpose and the reasonable life thereof within the limitations of the Local Bond Law, is 20 years. (d) The Supplemental Debt Statement required by the Local Bond Law has been duly prepared and filed in the office of the Clerk, and submitted to the office of the Director of the Division of Local Government Services in the Department of Community Affairs of the State of New Jersey. Such statement shows that the gross debt of the City is increased by $3,700,000 (the amount of the authorization of the obligations provided for in this bond ordinance). The obligations authorized herein will be within all debt limitations prescribed by the Local Bond Law. Section 7. The full faith and credit of the City are hereby pledged to the punctual payment of the principal of and the interest on the obligations authorized by this bond ordinance. The obligations shall be direct, unlimited obligations of the City, and the City shall be obligated to levy ad valorem taxes upon all the taxable real property within the City for the payment of the obligations and the interest thereon without limitation of rate or amount. Section 8. This bond ordinance constitutes a declaration of official intent under Treasury Regulation Section 1.150-2. The City reasonably expects to pay expenditures with respect to the improvements described in Section 3 hereof prior to the date that the City incurs debt obligations under this bond ordinance. The City reasonably expects to reimburse such expenditures with the proceeds of debt to be incurred by the City under this Bond Ordinance. The maximum principal amount of obligations expected to be issued for payment of the costs of the Improvements is $3,700,000. Section 9. This bond ordinance shall take effect 20 days after the first publication thereof after final adoption, as provided by the Local Bond Law.
