TOWN OF PITTSBORO BOARD OF COMMISSIONERS AUGUST 8, 2022 REGULAR MEETING MINUTES PAGE 1 OF 4 TOWN OF PITTSBORO The Pittsboro Board of Commissioners met in Regular Session on Monday, August 8, 2022, at 7:00pm in the meeting room at the Chatham County Agriculture and Conference Center with Mayor Cindy Perry presiding . The meeting was called to order at 7:00 pm. Mayor Perry requested a moment of silence with the recitation of the Pledge of Allegiance following led by Commissioner Farrell. ELECTED TOWN OFFICIALS PRESENT: Mayor Cindy S. Perry, Mayor Pro Tern Pamela Baldwin, Commissioner John Bonitz, Commissioner Jay Farrell , Commissioner Kyle Shipp, and Commissioner James Vose. TOWN STAFF PRESENT: Town Manager Chris Kennedy, Town Attorney Paul S. Messick, Chief of Police Shorty Johnson , Downtown Development Director Theresa Thompson , Public Information Officer/Emergency Management Coordinator Colby Sawyer, Parks & Recreation Director Katy Keller, Project Manager Molly Boyle, Director of Engineering Kent Jackson and Waterplant Superintendent Cory Saulsbury. ADOPTION OF THE AGENDA Mayor Perry called for a motion to either approve or modify the agenda as proposed . Commissioner Shipp made a motion to approve the Regular Agenda, seconded by Commissioner Farrell. Vote: Aye-5 Nay-0 Motion carried unanimously. CLOSED SESSION Mayor Pro Tem Baldwin made a motion to enter Closed Session pursuant to N.C.G.S. § 143-318.11. (a)(3) and N.C.G.S. § 143-318.11. (a)(6), seconded by Commissioner Bonitz. Vote: Aye-5 Nay-0 Motion carried unanimously. Mayor Pro Tem Baldwin made a motion to exit Closed Session pursuant to N.C.G.S. § 143-318.11. (a)(3) and N.C.G.S. § 143-318.11. (a)(6), seconded by Commissioner Bonitz. Vote: Aye-5 Nay-0 Motion carried unanimously. CITIZEN MATTERS 1. Interim Manager Updates Town Manager Chris Kennedy shared updates on the GAC project which is delayed due to weather related issues. The proposed GAC system launch date is August 10, 2022 . TOWN OF PITTSBORO BOARD OF COMMISSIONERS AUGUST 8, 2022 REGULAR MEETING MINUTES PAGE 2 OF 4 Kennedy shared that several Town Hall employees are out sick with COVID and have closed Town Hall until staffing returns and hope to reopen on Monday August 15th. Wooten is continuing to work on the progress of the Sanford Force Main Project with another update to be presented within two weeks . Kennedy shared NCDOT will conduct a Roadway Presentation regarding Mega site in Moncure on August 16th from 4-7pm at the Ag Center and again on August 18th at 6pm via Zoom . The Town of Pittsboro Downtown Vision Forum will be on August 16th from 6-8pm at the Ag Center. The Governor will be lifting the State of Emergency status on August 15th . Kennedy shared there was a last-minute grammatical edit to minutes on the Consent Agenda for this meeting. 2. Mayor and Commissioner Updates and Concerns Mayor and Board members gave updates on the committees and boards on which they serve. 3. Public Comment None. CONSENT AGENDA Mayor Perry called for action on the Consent Agenda. The Consent Agenda contained the following items: 1. Minutes of July 25, 2022 Regular Meeting of the Board of Commissioners 2. SUB-2022-02-Del Webb Preliminary Plat 3. A-2022-04-Del Webb Annexation 4. Downtown Office Space Lease Assignment Agreement with Chatham Park Investors 5. Resolution for Infrastructure Acceptance-Right-of-Way/Public Improvements-Vine Parkway 6. Resolution for Infrastructure Acceptance-Right-of-Way/Public Improvements-The Vineyards at Chatham Park (Cottage Way, Vine Parkway, Edgefield Street) 7. Pittsboro Advisory Board Vacancies and Other Related Appointments 8. Legislation Tracking & Policy Updates for the Board of Commissioners 9. Board of Commissioners Future Agenda Item "Look Ahead" Tentative Schedule Commissioner Bonitz made a motion to move items #2 and item #7 to Old Business and then made a motion to approve the Consent Agenda, seconded by Commissioner Vose. Vote: Aye-5 Nay-0 Motion carried unanimously. PUBLIC HEARINGS 1. None. 2 TOWN OF PITTSBORO BOARD OF COMMISSIONERS AUGUST 8, 2022 REGULAR MEETING MINUTES PAGE 3 OF 4 OLD BUSINESS 1. SUB-2022-02-Del Webb Preliminary Plat Project Manager Molly Boyle gave an overview of the proposed preliminary plat project. Bryant Inge, Nick Antrelli, Chris Raughley and Kevin Dean were available for questions and discussion with the Board. Commissioner Shipp made a motion to approve SUB-2022-02 Del Webb Preliminary Plat, seconded by Commissioner Farrell. Vote: Aye-5 Nay-0 Motion carried unanimously. 2. Pittsboro Advisory Board Vacancies and Other Related Appointments Commissioner Shipp was not prepared to discuss at this meeting time. Commissioner Farrell would like to nominate Shannon Brady for the ETJ alternate position is Charity Mize was willing to accept a non-alternate position . Town Manager Kennedy stated that Chatham County Board would need to approve and ET J position and would be willing to submit. Mayor Perry would like to amend the Agenda to add two items to New Business that were discussed in Closed Session. The first item is the Settlement and Release with respect to litigation which occurred regarding Eagles Enterprises LLC and Eagles Management Corporation discussed under N.C.G.S. § 143-318.11. (a)(3) and the second item is a personnel issue under N.C.G.S. § 143-318.11. (a)(6). Commissioner Shipp made a motion to amend the Agenda to add Settlement and Release and personnel issue to New Business #1 and #2, seconded by Commissioner Bonitz. Vote: Aye-5 Nay-0 Motion carried unanimously. NEW BUSINESS 1. Settlement Agreement and Mutual Release between Eagles Enterprise LLC and Eagles Management Corporation vs. Town of Pittsboro Mayor Pro Tem Baldwin made a motion to accept the fees of five-thousand dollars payable to Attorneys of Eagles and allow Town Manager to execute the release agreement to close out the lawsuit, seconded by Commissioner Bonitz. Vote: Aye-5 Nay-0 Motion carried unanimously. 2. Letter of Resignation of Town Manager Chris Kennedy Commissioner Shipp made a motion for discussion and acceptance of the resignation by Town Manager Chris Kennedy, seconded by Commissioner Bonitz. 3 TOWN OF PITTSBORO BOARD OF COMMISSIONERS AUGUST 8, 2022 REGULAR MEETING MINUTES PAGE 4 OF 4 Commissioner Bonitz appreciated and respected Mr. Kennedys reason and admire and appreciate the efforts. Mayor Perry shared that the Board in closed Session was unanimous in its great admiration of the work done in the last two years by the Manager and it is not a dissatisfaction and it not anything except based on personal needs of balancing life's skills and tasks. Commissioner Farrell thanked Town Manager Kennedy again. Mayor Pro Tern Baldwin thanks Town Manager Kennedy for all that he has done for the Town of Pittsboro. Vote: Aye-5 Nay-0 Motion carried unanimously with great admiration. MISCELLANEOUS 1. Town of Pittsboro-City of Sanford Water & Wastewater Utility Merger Update Town Manger Chris Kennedy reviewed the latest information and concerns pertaining to the Town of Pittsboro and City of Sanford Water and Wastewater Utility Merger concerning utility rates, capacity, debt service and debt ratios , assets and depreciation . FINAL BOARD COMMENTS Commissioner Shipp questioned moving the meeting times and/or utilizing work sessions . Commissioner Bonitz asked to defer any changes until fall or winter.
