Consent Agenda items 1. A RESOLUTION AUTHORIZING THE EXECUTION OF AN AGRICULTURAL LEASE 28 AGREEMENT BETWEEN THE CITY OF PULLMAN AND RICHARD DRUFFEL AND SONS. In February 2015, a ten (10) year agricultural lease agreement between the City of Pullman and Richard Druffel and Sons (Lessee) was finalized through Resolution R- 16-15. The agreement allowed the Lessee to use eight (8) acres of land adjacent to the City Cemetery for agricultural purposes only and pay the City of Pullman $80 per acre, for a total of $640 per year. In September 2022, the City of Pullman removed approximately three acres of farm ground from production in preparation for expanding the cemetery grounds for additional grave sites. In March 2023, the City Surveyor surveyed the original eight (8) acres of land that were part of the agreement and determined 3.81 acres of the original eight (8) remain as farmable land. With the change in acreage, Resolution R-27-23 amended the original lease and called for the Lessee to pay $80 per acre, for a total of $304.80. Earlier this year, the cemetery expansion project was accepted as complete and the silt fence that separated the construction area and farmland was removed. Removal of the fence reestablished a property line for that could be surveyed to determine a new acreage of farmable land. City Surveyor, Edward Ranck-Copher completed this work and recorded the attached Cemetery Farm Lease Description and Exhibit, which determined there are 3.60 acres of farmland remaining on City Cemetery property. The Lessee has agreed to a new ten (10) year agricultural lease and pay the City of Pullman $100 per acre, for a total of $360 per year. Also of note, each year, the City of Pullman Maintenance and Operation division uses the southeast corner of the cemetery property for the disposal of leaves that are picked up each fall as part of the annual leaf collection program. Over time, as the leaf pile has been moved and leveled out, it has slowly removed some acreage from production that was part of the original 2015 agricultural agreement, and this area was taken into consideration during the recent survey. R-XX-25 A RESOLUTION AUTHORIZING THE EXECUTION OF AN AGRICULTURAL LEASE AGREEMENT BETWEEN THE CITY OF PULLMAN AND RICHARD DRUFFEL AND SONS. WHEREAS, the City Council for the city of Pullman has before it an agreement between the city of Pullman, a municipal corporation of the state of Washington, and Richard Druffel and Sons, a Washington general partnership, entitled Agricultural Lease which is attached hereto and marked as Exhibit "A"; and, WHEREAS, this Council believes it to be in the best interests of the city of Pullman to authorize the execution of said Agreement; now, therefore, IT IS HEREBY RESOLVED that the Mayor and the Finance Director be and they are hereby authorized and directed to execute the agreement for said services and to deliver an executed copy thereof to Richard Druffel and Sons. IT IS FURTHER RESOLVED that the Mayor and Finance Director are each hereby authorized and directed to take such further action as may be appropriate in order to affect the purpose of this Resolution and the Agreement authorized thereby. The term of this Lease shall be for a period of ten ( 1 O) years, beginning on December 1, 2025, and ending on November 30, 2035, unless sooner terminated as herein provided. Lessee shall be entitled to possession as of the commencement of the term. III. Lessee agrees to use the Premises for agricultural purposes only. Lessee shall cultivate the Premises according to generally accepted agricultural practices, and perform all work on the Premises in a first-class, farmer-like manner. Lessee is responsible for furnishing all tools, equipment, seed and expenses necessary to carry out the provisions of this Lease and Tenant's work on the Premises. IV. The Lessee covenants and agrees to pay rent for each acre of the Premises, of which there are 3.60 acres. Lessee shall pay $100 per acre, which totals $360 each year. Lessee shall make the said annual rental payment to Lessor not later than the 15 day of December of each year. Failure to pay the annual rent payment when due shall entitle the Lessor to re-enter and take possession of the Premises upon giving Lessee ten (1 O) days written advance notice of intent to do so if said monetary default has not been remedied within said 1 O-day period. However, Lessor may extend the time period to correct the default if, in its sole discretion, due diligence is shown by Lessee in curing the default. V. The Lessee agrees to perform all the work and labor related to the raising, producing, harvesting and delivering of the crops on the Premises, and in the fulfillment of the terms and conditions of this Lease. In the event the Lessee fails or neglects to perform its obligations as set forth in this section at the time and in the manner herein stated, it shall be lawful for the Lessor to re-enter the Premises, remove all persons therefrom and complete the terms and conditions of this Lease. Any reasonable compensation therefor, and the expenses thereof, shall be a preferred charge and lien on Lessee. VI. The Lessee shall not make or suffer any waste on the Premises. VII. The Lessee shall not assign this Lease, or sublet the Premises or any part thereof, without the written consent of the Lessor. At the expiration of this Lease, the Lessee agrees to surrender peaceable possession of the Premises, in good condition, to the Lessor. VIII. The Lesser, as well as agents and employees of Lesson reserves the right to enter the Premises at any time during the term of the Lease to (i) consult with the Lessee; (ii) make inspections on the Premises; and (iii) after notice of termination of the Lease is given, to perform work thereon or cause work to be done. IX. The Lessee is responsible for noxious weed control and management of the Premises during the term of the Lease. The Lessee shall cut and destroy or chemically spray all Page 31 of 36 noxious weeds growing on the Premises. Lessee shall comply strictly with the laws of the State of Washington regarding noxious weeds. X. Lessee shall comply with all federal, state and local laws, ordinances, regulations and orders that are applicable to its use of the Premises. In particular, Lessee shall conduct its business in a manner consistent with all applicable environmental codes, regulations and statutes, and shall bear sole responsibility for any violations thereof. Lessee shall be solely responsible for securing any permits or approvals necessary for its use of the Premises. In the event of any prohibited release of materials to the environment, Lessee shall indemnify Lessor for any costs of environmental cleanup and restoration, as well as any penalties, fines, judgments or other costs incurred by Lessor as a result of such release. XI. Lessee shall indemnify, hold harmless and defend Lesser, and its officers, directors, employees, and agents, from and against any and all losses, damages, liabilities, claims, actions, penalties, fines, costs or expenses, of whatever kind, including attorneys' fees, which arise out of or are due to any acts, errors or omissions of Lessee or Lessee' s employees, agents and representatives in the use of the Premises. XII. This Lease may be terminated by either party giving written notice to the other party by not later than September 1 that this Lease will be terminated as of the pending October 1. By depositing the notice in the United States mail, in an envelope properly addressed to the address indicated above with postage fully prepaid thereon and mailed certified, return receipt requested. In the event said notice is mailed, it shall be deemed delivered two (2) days following the deposit thereof in the United States mail. Page 32 of 36 XIII. The parties hereto acknowledge that no representations or conditions or agreements varying or adding to this Lease have been made either orally or in writing. No modification, addition, or change to this Lease shall be made or shall be effective unless reduced to writing and signed by both parties. Any actions of the agents of Lessor must be either authorized or ratified by the City Council for the City of Pullman before such actions of those agents can be binding. XIV. Nothing in this Lease shall be deemed or construed to create a joint venture or partnership between the parties. XV. This Lease is binding upon and inures to the benefit of the heirs, assigns, and successors in interest of the parties hereto. The preceding sentence shall not be construed as consent by Lessor to any assignment hereof or to any sublease of the Premises. The Lessee warrants and affirms that it has authority to enter into and execute this Lease.
