Printed and posted: 03/15 2016  DRAFT COPY MINUTES OF THE BOARD OF TRUSTEES Tuesday February 16, 2016, REGULAR MEETING AT 4:00 p.m. CALL TO ORDER The regular meeting of the Board of Trustees was called to order by Vice Chair Bill Siders at 4:01 p.m. ROLL CALL The regular meeting of the Board of Trustees convened with members Rey Berrones, Bill Siders, Lorie Mitteer, Miranda Howe, Donovan Fulkerson, Priscilla Ornelas and Jessica Parham being present. A quorum was established. Members absent: Peggy Krantz, Jamie Barnes, Nanette Schumacher, and DeAngela Velasquez Staff present: Laurie Rufe, Interim Director; Olga McGuire, Membership/Events Coordinator; Sara Woodbury, Curator of Collections and Exhibitions; and Cindy Torrez, Executive Director, RMAC Foundation. Guests present: Larry Connolly, citizen. APPROVAL OF AGENDA Member Berrones motioned to approve the agenda as presented. Member Howe was the second. A voice vote was unanimous and the motion passed. APPROVAL OF MINUTES January 19, 2016 Board of Trustees Meeting Member Howe motioned to approve the minutes of the January 19 meeting. Member Ornelas was the second. A voice vote was unanimous and the motion passed. APPROVAL OF MINUTES January 23, 2016 Strategic Planning Retreat Meeting Member Berrones motioned to approve the minutes of the January 23, 2016 Strategic Planning Retreat meeting. Member Mitteer was the second. A voice vote was unanimous and the motion passed. NEW BUSINESS ― Discussion Strategic Plan Review: Interim Director Laurie Rufe reviewed handouts, What We are Best At, and Break out Discussion from Strategic Planning retreat among board members with no further discussion. Interim Director Rufe advised board members of the development of a Strategic Plan by the City’s planning department. Interim Director Rufe stated she is working with the City to help customize their plan toward RMAC’s and linking it to museum goals. Interim Director Rufe reminded the board members of four goals already discussed at the Strategic Planning Retreat: 1. Improve board and staff performance 2. Improve Goddard Planetarium’s public image, and program effectiveness. 3. Make Museum more visible through way-finding and aesthetic improvements 4. Update Marketing Plan, to increase, enhance and focus on marketing issues. Interim Director Rufe shared her plans to create a marketing committee with members Bill Siders, Rey Berrones, and Pricilla Ornelas. Acquisition ― Action Item Discussion and Vote on two Object(s) to be added to the RMAC Collection: Acquisitions were presented as an action item by Sara Woodbury, Curator of Collections and Exhibitions. 1. Ms. Woodbury proposed a painting, Untitled, by Eugene Newman from the Estate of Barbara Erdman. A paper image was circulated to each Board member for viewing while Ms. Woodbury presented a brief history of the artist, Eugene Newman. Ms. Woodbury stated the piece would be a worthwhile addition to RMAC collection based on its quality and condition. Ms. Woodbury advised the board RMAC has two other Eugene Newman works in the collection, a painting and a monotype. 2. Ms. Woodbury introduced the second piece, an egg tempera painting by Peter Hurd titled “Stella. Painted in the 1960s, the painting is of a landscape in the San Patricio area with a young girl standing in front of a house. The painting was bequeathed to RMAC by Frances Jennings. Ms. Woodbury pointed out some flaking in the model’s neck area, hair, the sky, and around the trees. Ms. Woodbury advised the board members this was not uncommon in Peter Hurd’s work as he often painted with unconventional materials. Ms. Woodbury suggested this piece underscores the relationship between Peter Hurd, the Roswell Museum, and the art community of Roswell. COMMITTEE VOTE: 1. Member Howe motioned to accept donation of the painting Untitled, by Eugene Newman. Member Parham was the second. A voice vote was unanimous and the motion passed. 2. Member Howe motioned to accept: the tempera painting entitled “Stella” by Peter Hurd. Member Mitteer was the second. A voice vote was unanimous and the motion passed and signature obtained by all members. Exhibit Loan Request ― Discussion Item Interim Director Rufe stated it was decided by the Curatorial Committee to deny the request from the Tate Modern in London to borrow the Georgia O’Keefe painting, Ram’s Skull with Brown Leaves. DRAFT COPY CHAIR’S REMARKS None MEMBERSHIP AND ATTENDANCE REPORTS: For the Month of January 2016 Olga McGuire, Membership Coordinator, reported that attendance for the month was recorded at 1735 total visitors including classes, Planetarium, meetings, and tours. Membership renewals and new members figures were presented 685 active members, 10 new members for month of January and upcoming April 8, 2016 Volunteer Appreciation Luncheon event. DIRECTORS REPORT Interim Director Laurie Rufe provided a report on updated status of the Curator of Education, Executive Director, and Planetarium searches, and Program and Events information. OLD BUSINESS No Old business Foundation Report Ms. Torrez provided the Board members with a detailed handout which included a brief report of Foundation total income, administrative expenses and Museum requests. Ms. Torrez invited all members to join the Foundation committee for planning of the 2016 Kentucky Derby event. Ms. Torrez stated the Foundation has started planning on different fundraising events for 2017, suggesting this would probably be the last Kentucky Derby event. ADJOURN Member Mitteer motioned to adjourn. Member Fulkerson was the second. A voice vote was unanimous and the motion passed. Staff Curator of Education Search: We have hired Amanda Nicholson as our new Curator of Education. Amanda starts on April 8. She holds a MA in Museum Studies from Syracuse University and a BS in Art Education from SUNY. Planetarium Coordinator Search: Jeremy Howe has been hired as the new Planetarium Coordinator and began work on February 16. John Hare, who services the planetarium equipment, was here on March 1-3 to perform maintenance and also train Jeremy and Bill Siders on use of the Spitz star ball. John will also be sending us information on a digital conversion that might be very cost effective. More information coming on that subject. Executive Director Search: Waters & Company is currently vetting applicants and will be here on Thursday, March 24 to review 11 semi-finalists with the committee. The search committee consists of Jonathan Phillips, Laurie Rufe, Sara Woodbury, Laureta Huit, Peggy Krantz, Cindy Torrez, and Kendra Price. 2. Program/Events Updates Our Spring Classes begin the 1st week of April. A Star Studded Spring Break occurs on March 29 & 30 with a two-day workshop featuring a planetarium program and hands-on art experience related to ancient zodiac charts, constellations in the night sky, collaged star chart creations. For grades 1-7. Instructors: Jeremy Howe, Bill Siders, Elaine Howe, Miranda Howe. Exhibition: Billy Schenck’s West: A Retrospective open on Friday, April 1. Due to unforeseen circumstances (a medical situation), we are cancelling the opening reception and the lecture that have been posted on the Spring Events card. This is unfortunate and we wish Mr. Schenck well. Event: Volunteer Appreciation Luncheon is scheduled on Friday, April 8, 12 noon. Join us as we honor our valuable volunteer family with a luncheon and Volunteer of the Year awards. Honorees include Ivan Hall, Joyce Hutchings, Ronee Lucas, Rudell Quinn, Bill Siders, and Juanita Whitaker. Program: Second Saturday: Saturday, April 9, May 14, and June 11. Sponsored by the Roswell Museum and Art Center Foundation. April 9: Sunday Doyle and Mary Alice Balderama will guide students in a museum search for mechanical items that inspire poetry to create a short zine using image transfers, printmaking, and illustration.  May 14: Aria Finch and Sue Wink will present a class in creative animals made from air-dryed, self-hardening clay and found objects. June 11: Nancy Fleming, expert costume creator extraordinaire, will help you get a head start on your Alien Costume Contest entry. 3. Financial The City has gone into a Fiscal Management Contingency Plan due to a decrease in gross receipts earnings over the last few reporting periods. January was down by $500,000 and the City is more than $1.4 million down. Therefore, each department was asked to cut 3% from their budgets. Our budget of $1,092,332 reflected a total reduction of $32,770, a loss of $33,636 in capital funding for relighting galleries, and the freezing of a part-time security positon that is vacant. The bride and roofing projects are unaffected, and the City has also funded the replacement of derelict sidewalks at the Planetarium entrance. We began fiscal 2017 planning on March 16 and it will be a lean year from all estimates. 4. Phone Apps for the Aston We entered into an agreement with New Mexico Highlands University to embark on a project to develop I Phone and Android apps for approximately 10-15 objects in the Aston Collection. Internet hubs and beacons will trigger information (text and image) about these objects. The cost is $3,672 for three people to develop the app. Production will start in June. The app will be launched in October at the Art Block Party and Chalk Art Festival. The RMAC Foundation is funding this project. Roswell Museum and Art Center Foundation Executive Director’s Report Cindy Torrez March 21, 2016 Financial Status The Foundation received a partial bequest from the Judy Harris Estate and the donation from Don & Sally Anderson to cover half the Planetarium Coordinators salary over the next two years. Grants The Foundation received $1,000 community sponsorship of the Second Saturday program from the Roswell Woman’s Club Fundraising 2016 Kentucky Derby Fundraising Event, May 7, 2016 Event begins 2:30 Post time 4:24 – Prizes awarded, Silent auction closes and final raffle tickets drawn after the race. 200 tickets will be sold for $100 each. The ticket will admit two to the event and one entry into the raffle, last ticket drawn wins cash prize. Prizes: $2,500 Cash $500 gift certificate – J & L Jewelers Car Detail (value $200) – Desert Sun Motors Wine/Paint Party for up to 20 people – Peggy Krantz Art & Main Street Arts Club table and chairs – All About Spas * Additional prizes are pending confirmation Programming/Projects The RMAC Foundation approved a proposed budget of $5,277 for the phone app to enhance the Rogers & Mary Ellen Aston Exhibition.
