A. CALL TO ORDER Board Chair Liakos called the meeting of the Board of Trustees to order at 4:00 p.m. B. ROLL CALL The meeting of the Board of Trustees convened with members Cymantha Liakos, Bill Siders, Lorrina Segovia, Valli West, Jessica Parham, Priscilla Ornelas, Donovan Fulkerson, Kay Cargill Jenkins, Kyle Bayless and Tim Hartwick being present via GoTo Meeting. A quorum was established with member Baker being absent. Staff present: Caroline Brooks, Executive Director, Wendy Cook, Public Programs Manager, and Cindy Torrez, RMAC Foundation Executive Director. Community members present: Peggy Krantz. C. APPROVAL OF AGENDA Member Jenkins motioned to approve the agenda. Member West seconded. A voice vote was 10-0 and the motion passed with member Baker being absent. D. APPROVAL OF April 19, 2021 MINUTES Member West motioned to approve the minutes for the April 19, 2021 meeting. Member Siders seconded. . A voice vote was 10-0 and the motion passed with member Baker being absent. E. Discussion and consider approval of acquisition of the Gunter collection. Member Segovia motioned to approve the acquisition of the Gunter collection. Member Parham seconded. A voice vote was 10-0 and the motion passed with member Baker being absent. F. Nomination of BOT officers Board Chair Liakos opened the floor for nominations of new BOT Chair and Vice-Chair officers. No new nominations were made and both Chair Liakos and Vice-Chair Siders agreed to remain in their current officer roles. Member West motioned to approve Cymantha Liakos for another year term as Chair. Member Parham seconded. A voice vote was 10-0 and the motion passed with member Baker being absent. Member West motioned to approve Bill Siders for another year term as Vice-Chair. Member Parham seconded. A voice vote was 10-0 and the motion passed with member Baker being absent. G. Review and consider approval of BOT working groups. Board Chair Liakos gave a brief overview of the Acquisitions, Membership and Strategic Planning working groups, but asked that approval of needed groups be tabled until in-person meetings resume. Member West motioned to table working group approvals until the June BOT meeting. Member Siders seconded. A voice vote was 10-0 and the motion passed with member Baker being absent. INFORMATION ONLY H. Introduction of new BOT members and confirmation of term renewals Director Brooks asked new BOT members appointed by the mayor to introduce themselves. Tim Hartwick and Kyle Bayless both greeted the group. Director Brooks shared that members Lorrina Segovia and Anne Baker were renewed for second BOT terms by the city council. Member Jessica Parham was not renewed as she will be joining the RMAC staff as the Museum Educator as of June 4th, 2021. BOT members will discuss nominations for the vacant position at the June BOT meeting. I. DIRECTORS REPORT: See attached J. RMAC FOUNDATION REPORT RMAC Foundation Director Torrez shared that their audit had been completed and went well. The foundation has signed a one year contract with the online platform “one-cause” to support virtual fundraising and ticket sales. Foundation revenue is down and foundation board members are in discussion to hold a fall fundraising event. K. CHAIR’S REMARKS AND BOARD ANNOUNCEMENTS Member Parham thanked RMAC staff for their virtual programming during the pandemic. L. PUBLIC COMMENT None M.
