ROSWELL MUSEUM MINUTES OF THE BOARD OF TRUSTEES MEETING Monday, March 20, 2023 at 4:00 p.m. Roswell, NM 88201 REGULAR MEETING AT 4:00 p.m. Notice of this meeting was given to the public in compliance with Sections 10-15-1 through 10-15-4, NMSA 1978 and Resolution 23-01. For the Record: Meeting is being streamed live for the public through GoToMeeting. There was no public on GoTo Meeting. A. CALL TO ORDER Board Chair Liakos called the meeting of the Board of Trustees to order at 4:04 p.m. B. ROLL CALL The meeting of the Board of Trustees convened with members Cymantha Liakos, Valli West, Kay Cargill Jenkins, Lorrina Segovia, Donovan Fulkerson, Kate Huebner, Tim Hartwick and Anne Baker being present. A quorum was established with members, Elisa Begueria, Kyle Bayless, and Pricilla Ornelas being absent. Staff present: Caroline Brooks, Executive Director, Cloe Medrano, Registrar, & Aaron Wilder, Curator of Collections and Exhibitions. Community members present: Cindy Torrez, Director RMAC Foundation ACTION ITEMS C. APPROVAL OF AGENDA Member Banker motioned to approve the agenda. Member West was the second. A voice vote was as follows: Cymantha Liakos-yes, Valli West-yes, Kay Cargill Jenkins-yes, Lorrina Segovia-yes, Donovan Fulkerson-yes, Tim Hartwick- yes, Anne Baker-yes, Kate Huebner -yes, and the motion passed 08-0, with, Kyle Bayless, Elisa Begueria, and Pricilla Ornelas being absent. D. Approval of the February 27, 2023 meeting minutes Member Banker motioned to approve February 27, 2023 meeting minutes. Member Segovia was the second. A voice vote was as follows: Cymantha Liakos-yes, Valli West-yes, Kay Cargill Jenkins-yes, Lorrina Segovia-yes, Donovan Fulkerson-yes, Tim Hartwick-yes, Anne Baker-yes, Kate Huebner -yes, and the motion passed 08-0, with, Kyle Bayless, Elisa Begueria, and Pricilla Ornelas being absent. FOR THE RECORD: Mayor Jennings arrived at 4:10 p.m. E. Discussion and consideration of approval of donation by Ray Graham of 146 artworks by regional artists Member Jenkins motioned to approve the donation by Ray Graham of 146 artworks by regional artists. Member Baker was the second. A voice vote was as follows: Cymantha Liakos-yes, Valli West-yes, Kay Cargill Jenkins-yes, Lorrina Segovia-yes, Donovan Fulkerson-yes, Tim Hartwick-yes, Anne Baker-yes, Kate Huebner -yes, and the motion passed 08- 0, with, Kyle Bayless, Elisa Begueria, and Pricilla Ornelas being absent. INFORMATION ONLY ITEMS F. Renovation Status Update Director Brooks informed the board, the museum is out to bid for the new flooring. Further, on April 6th, Brooks will present to the Finance Committee about the flooring renovation. G. Recognition of Outgoing Board Members Director Brooks thanked Cymantha Liakos, Donovan Fulkerson, and Pricilla Ornelas for their 8 + years of services on the board. H. Officer Election Reminder Director Brooks reminded the board nomination are needed for President and Vice President at April board meeting. I. Registrar Report on Advocacy Day and National Archives Grant Project Registrar Medrano recapped attending the American Alliance of Museums Advocacy Day in Washington, DC, in February. While there, she attended Congressional meetings on Capitol Hill and met with representatives, including Melanie Stansbury, Gabe Vasquez, Teresa Leger Fernandez, Ben Ray Luján, and Martin Trevor Heinrich’s staff. As a group, AAM is advocating in support of securing $65.5 million for FY2024 funding for the Office of Museum Services (OMS) within the Institute of Museum and Library Services (IMLS). AAM is also advocating for the Support Charitable Giving Incentives Bill, which allows for increasing tax deductions for charitable donations such as artwork. J. April Annual Meeting Reminder Director Brooks reminded the board April meeting will start at 3pm and it will be a two hour meeting. K. Director’s Report Director Brooks noted the museum Public Programming Position and the Assistant Registrar continues to be frozen. The RAiR Exhibition featuring Victor Yanez-Lazcano titled Conjugations of Dream, opens Friday, March 17. The film Minari will be presented on March 23 at 7 pm as the final film segment in the Spring Film Series. An HVAC unit is in need of replacement in the Museum’s auditorium. A unit is on order for the planetarium. L. RMAC Foundation Report The 2023 fundraiser will be September 23th, instead of the 16th. The event is a Breakfast at Tiffany theme occurring mid- morning. Unlike past fundraiser, this event has a lower number of tickets being available, capping the capacity at 100 people. The next fundraiser is scheduled for spring 2024 and will be back to the normal capacity size. M. Chair’s Remarks and Board Announcements None. N. Public Comment None. O.
