CALL TO ORDER Board Chair West called the meeting of the Board of Trustees to order at 4:03 p.m. B. ROLL CALL The meeting of the Board of Trustees convened with members Lorrina Segovia, Jane Avery Gray, Nina Leacock, Valli West, Anne Baker, and Kay Cargill Jenkins being present. Board Vacancy Director Brooks informed the board member Kyle Bayless has stepped down from the board due to health reason. Application are open for people who are interested in being on the board of trustees. J. Flooring Renovation Updates Director Brooks informed the board the flooring has started in the Horgan Gallery. K. Strategic Plan and Collections Management Plan Updates Director Brooks informed the board at the September board meeting, they will be reviewing the strategic plan. L. Director’s Report Director Brooks informed the board the museum has stayed at over 500 memberships, which has not occurred since pre-covid. Alex Boeschenstein’s RAiR exhibition, Visionary Rumor, opened. His gallery talk and reception will be held on August 25. For the exhibition, Boeschenstein draws from what he terms the “Southwest uncanny” to investigate the crisscrossing of historical narratives and lore in the Southwest from UFO sightings and space research to weapons testing and abandoned airfields. The first Museum Day Roswell will take place on Saturday, September 16 from 10 am to 5 pm in collaboration with all 6 other museums in the community. The event aims to encourage visitation to area museums with free admission, tours, drawings, a passport activity and other venue-specific activities including a flight simulator at the Walker Aviation Museum. Richardson Ave. Roswell, New Mexico 88201 BY‐LAWS of the Roswell Museum and Art Center ARTICLE I MISSION AND OPERATING NAME AND MISSION Section 12: Mission The ROSWELL MUSEUM AND ART CENTER preserves and promotes the art and history of the American Southwest and bordering regions for the enrichment of present and future generations. The ROSWELL MUSEUM AND ART CENTER inspires discovery, creativity, and cultural understanding of the art and history of the American Southwest and beyond. Section 12: Operating Name The name of the organization shall be the ROSWELL MUSEUM AND ART CENTER (the Museumdba and hereinafter referred to as the Roswell Museum), a non‐profit institution chartered as a department of the City of Roswell in the State of New Mexico. Section 2: Mission The ROSWELL MUSEUM AND ART CENTER inspires discovery, creativity, and cultural understanding of the art and history of the American Southwest and beyond. ARTICLE II THE INSTITUTION Section 1: Philosophy To achieve its mission, the Roswell Museum preserves and interprets its collections of historical, regional, modern, and contemporary art, as well as its collections relating to the history of the American West and the history of rocket science as evidenced in the work of Dr. Robert H. Goddard. To achieve its mission, the Roswell Museum AND ART CENTER preserves and interprets its collections of historical, regional, modern, and contemporary art; an extensive international print collection; the history of the American West; and the history of rocket science as evidence in the work of Dr. Robert H. Goddard. The Museum cares for and interprets its collections and produces related exhibitions, education programs, and publications that expand understanding and appreciation of these unique community resources. In all cases, recognition is given to the importance and influence of place upon history, cultural change, and art as it connects human experience with the past, present, and future. 1 Section 2: Values The core values of the Roswell Museum AND ART CENTER are: Access, Connectedness, Discovery, Diversity, History, Relevance, Sense of Place, and Stewardship. Section 3: Scope of Collections The Roswell Museum AND ART CENTER’s collections include: a. Historic and contemporary fine art dating from the 16th century to the present with a focus on works created by artists of the American Southwest; b. Historic and cultural materials of the American West and Southwest related to prehistoric occupationIndigenous peoples, Spanish conquest, and Euro‐American settlement; and c. History of technology materials related to the development of liquid‐propellant rocketry by Dr. Robert H. Goddard, 1930‐1941. ARTICLE III PUBLIC MEMBERSHIP Section 1: Purpose The purpose of the Membership Program shall be to provide a broad base of community support to the Roswell Museum AND ART CENTER. Section 2: Classes and Qualifications The Roswell Museum AND ART CENTER shall have non‐voting levels of membership determined by the amount of annual dues paid. The non‐voting membership dues amounts shall be established by the Board of Trustees. Any individual, corporation, partnership, sole proprietorship, or other entity desiring to support the purposes of the Museum may become a Member by paying membership dues. Section 3: Transfer of Membership Membership in the Roswell Museum AND ART CENTER is not transferable or assignable. ARTICLE IV CITY OF ROSWELL Section 1: Authority The Roswell Museum AND ART CENTER, as a department of the City of Roswell, shall function in adherence to the statutes and codes observed by the City. Ultimate authority in departmental operations shall rest with the City Council, Mayor of Roswell, the City Manager, and their agents and designees. Any action taken by the Board of Trustees may be annulled by action of the City Council by a majority vote of the City Council. The Board of Trustees will comply with the requirements of the Roswell Municipal Code generally applicable to Boards and Committees and with all portions of the Roswell Municipal Code specifically made applicable to the Roswell Museum and Art Center as per Ordinances 15‐07 and 2‐97. ARTICLE V 2  BOARD OF TRUSTEES APPOINTMENTS Section 1: Authority The Board of Trustees (the Board) is an advisory board drawn from the community, nominated from within this body, formally appointed by the Mayor of Roswell and confirmed by City Council. A critical responsibility of the Board derives from its relationship with the Museum’s Director in carrying out the mission, vision, and goals of the Museum. The authority of the Board is to: a. Recommend to the City Council, its agents and designees, the appointment of new members to the Board of Trustees; b. Recommend to the City Council, it agents and designees, the removal of members from the Board of Trustees; c. Work to develop the general policies that support the purpose of the Museum; d. Provide for the continuous self‐evaluation and renewal of the Board; e. Evaluate and amend the By‐laws when necessary, or at least every five years; f. Develop, in concert with the Director and Museum staff, the Museum’s Strategic Plan; g. Work with the Museum staff to develop an Annual Report to the City of Roswell on or before June 30th of each year; and, h. In concert with the City of Roswell, the Board of Trustees participates in the search and appointment of the Museum’s Director. Section 2: Number, Qualifications, Tenure, and Compensation a. The number of trustees shall be eleven (11), all of whom shall reside in Chaves County and at least seven (7) of whom shall reside in the City of Roswell. Members will be appointed to fill a specific membership position, which shall be assigned a permanent number and a corresponding term. Positions shall be numbered to coincide with staggered terms. b. Unless prohibited by the term limits in paragraph “d.” below, a member whose term has expired holds office until such member’s successor is duly appointed and qualified. The period during which a member holds over does not alter the term of the member’s successor. c. Trustees shall not be regularly employed full‐time employees of the City of Roswell or of the Museum, nor shall they be members of the immediate family of any elected City official. Trustees are encouraged to be Public Members of the Museum. A member may not be appointed by the City to serve on more than one board at the same time. This does not apply to members of the City Council, City staff or ex officio, ad hoc, or select committee members. The City of Roswell shall appoint a City Councilor as liaison to the Board. Officers of the City, not appointed as regular members, may be appointed as ex officio non‐voting members. In the broadest sense, Trustees are representatives of the Roswell community that support the Museum’s mission and promote its goals and continued growth. d. Trustees shall serve staggered terms of four years, each beginning on April 1 and expiring at the end of four years on March 31, that expire in odd numbered years. No member shall be appointed by the City to serve on the Board for more than two consecutive four‐year terms, or more than a total of ten consecutive years, inclusive of an appointment to complete a single unexpired term of another member. A member who is ineligible for re‐appointment to the Board by the foregoing term limit does not hold over until a successor is appointedtment. A member who is ineligible for re‐appointment by the foregoing term limit becomes 3  eligible for reappointment to the same board for a term beginning two years after said member’s last term expired. e. Members of the Board serve without compensation. f. The Mayor, with the advice and consent of the City Council, shall appoint all Board members. Board members shall select their own chair. Each member appointed to the Board by the City shall be given a notice of appointment letter, which shall state the appointment, date of expiration, and shall bear the signature of the Mayor. All appointments shall clearly state that such appointment is made subject to all the provisions outlined in Ordinance 15‐07, Section 2‐97. Section 3: Officers The officers of the Roswell Museum AND ART CENTER Board of Trustees shall be: Chair and Vice Chair. The Board shall elect from among themselves the preceding officers. Chair: The Chair shall preside over all meetings, may serve as the chairman of all working groups, and appoint members to said working groups. The Chair may, at his/her discretion, appoint working group chairs. The authority of the Chair is equal to that of what may be referred to as the “President” of the Museum’s Board of Trustees in City Codes, including, but not limited to, Roswell City Code Sec. 2‐109(b) which states that the “president of the board” may accept gifts and donations on behalf of the Museum. Vice Chair: In the absence of the Chair or in the event of the Chair’s inability or refusal to act, the Vice Chair shall perform the duties of the Chair and when acting shall have all the powers of and be subject to all restrictions of the Chair. The Vice Chair shall perform such other duties as may be assigned by the Chair of the Board. The officers of the Board of Trustees shall be elected to a one (1) year term or until a successor has been duly elected. Officers shall be elected at the Annual Meeting of the Board in April. Any individual who fills an unexpired term as an officer shall remain eligible to serve an elected one (1) year term. A vacancy of the Vice Chair position because of resignation, removal, or otherwise may be filled as an appointment from the Chair for the remainder of the vacated officer’s term. Section 4: Working Groups Working Groups may be established by the Board to work on specific tasks, such as nominations, acquisitions, education, public membership, and long‐range planning. The working groups will be formed by volunteers or appointees of the Board, fewer than a quorum, as well as Museum staff and other community members with an assigned purpose and term limit. Section 5: Attendance and Removal of Board Members a. Attendance is required at all Board meetings. b. If a member appointed by the City fails to attend 75 percent of the meetings, including work sessions, in any 12‐month period, beginning April 1 through March 31, or is absent from three consecutive meetings, membership may be terminated automatically by the Board. c. If a Board member vacates office by nonattendance at official meetings, the chair shall give written notice to the Mayor. A replacement member shall then be appointed. If the board member who has vacated by nonattendance is the Chair, the removal process shall be conducted by the Vice Chair, or if the Vice Chair is unable to participate, by any other Board member. d. Any Board member may be removed by the Mayor with the concurrence of the Board in addition to any other method in this section. 4  e. Any member of the Board of Trustees may be removed by the City Council by a majority vote and his/her successor appointed as in other cases of vacancies. f. Any member who is removed cannot reapply for membership for one year. ARTICLE VI MEETINGS Section 1: Regular Meetings: a. Meetings of the Board of Trustees shall be held regularly at such date and time as the Board may prescribe in compliance with the New Mexico Open Meetings Act. Meetings shall be located at the Museum or other designated building accessible to the public. b. A majority of the Board members shall constitute a quorum for the transacting of business. c. The Annual Meeting of the Board of Trustees shall be held in April at which time the Board shall elect its officers. d. Meetings shall be conducted under the latest edition of Robert’s Rules of Order, or rules and regulations governing proceedings as may be adopted by the Board and approved by the Mayor and City Council. The approved rules and regulations must be filed with the City Clerk. Once filed, the adopted rules and regulations shall supersede the latest edition of Robert’s Rules of Order. Section 2: Notice of Meetings Notice of meetings shall be provided for public announcement and posting at City Hall not less than 72 hours prior to the meeting date. Section 3: Special Meetings Special meetings of the Board of Trustees may be called by the Chair or a quorum of the Board (six members). Notice of each special meeting shall be sent to all Board members in compliance with the New Mexico Open Meetings Act. Section 4: Quorum Six (6) members of the Board shall constitute a quorum, and no action of the Board shall be valid and binding except when taken at a regular or special meeting at which a quorum is present. The act of the majority of the Board at a meeting at which a quorum is present shall be the act of the full Board, except where otherwise provided by law. ARTICLE VII THE MUSEUM DIRECTOR Section 1: The Museum Director The Museum Director is an employee of the City of Roswell and is selected by the City Manager or appointed representative. The Museum Director shall be the administrative officer of the Museum. The Director reports to the Board of Trustees on matters involving policy revision and action, and serves as a consultant to the Board. The Director shall serve as an ex officio, non‐voting member of the Board of Trustees, and may be a member of and attend working group meetings, although attendance shall not be obligatory. ARTICLE VIII 5  FISCAL AND OPERATING YEAR Section 1: Fiscal and Operating Year The fiscal and operating year shall be July 1 through June 30. ARTICLE IX AMENDMENTS TO BY‐LAWS Section 1: Amendments to By‐laws These By‐laws may be altered, amended, or repealed, and new By‐laws may be adopted by an eight‐member, two‐ thirds majority vote by the Board of Trustees, if at least seven (7) days prior to such meeting, written notice is given of intention to alter, amend, repeal, or adopt new By‐laws at such meeting. Notice shall include a copy of current By‐laws and proposed changes. The larger Museum Flooring Replacement Project exhibition will be on display from October 7, that will update and repair flooring in public 2023 to April 7, 2024. An opening reception and spaces to improve air quality, accessibility, artist talk will be held October 6 from 5:30 to 7 maintenance, and appearance. The project is pm.
