Royal Oak Civic Foundation Board of Trustees Approved minutes of meeting on September 9, 2020 Legacy groups definition: City functions supported in the past by the ROOTS fund: Animal shelter, library, nature society, parks & recreation, seniors, commission for the arts, historical commission (Starr House), public safety. 1. Welcome Chairman McGannon called the meeting to order at 3:04 p.m. and called the roll. 2 Attendance Trustees present: Sharlan Douglas, Alex Fike, Thomas McGannon, Peter Provenzano Also present: Executive Director Julie Lyons-Bricker, Royal Oak City Manager Paul Brake and Royal Oak staff attorney Mark Liss. 3. Public comment There was no public comment. 4. Approve past minutes. Motion by Povenzano, seconded by Fike; approved unanimously 5. Financials As submitted. 6. Approve agenda Motion to approve the agenda by Douglas, seconded by Fike; approved unanimously. 7. Director’s report As filed. Added: Website is nearly ready to go live. 8. City attorney’s office We need an opinion letter from the Kitch Law Firm to the auditors saying how the foundation should be classified within the city’s financial records system. 9. Memorandum of Understanding with the City of Royal Oak Motion by Provenzano, seconded by Fike that the city attorney’s office ask Kitch Law Firm for an opinion letter as to whether the foundation should be a special revenue fund or an agency fund within the city’s financial records systems; approved unanimously. 10. Postponed kickoff event We will produce a video announcement. Douglas will write a script and coordinate participants. 11. Policies Job description – was approved in June Gift acceptance – Approved in July. Third party events – McGannon and Fike will bring document for review at the November meeting. Internal financial controls (signing and spending authorities) - Fike recorded comments and will send a revised draft for approval at the next meeting. Investments – We will consider this when we have investments. The Kitch firm had offered other prospective policies that Lyons-Bricker will submit with the October meeting agenda for consideration. 12. Upcoming meetings Foundation will continue monthly Zoom meetings on the second Wednesday of the month at 3 p.m. There may be a DDA meeting on October 14 in which case the foundation will meet on the 15th at 3. 13. Next meeting agenda Unfinished business: Policies, kickoff event, memorandum of understanding, annual meeting date, vision statement New business: Website Modify standard future agendas to add payables as item 6. Adjournment Motion by Provenzano, seconded by Fike; approved unanimously.

Royal Oak Civic Foundation 203 South Troy Street Royal Oak, MI 48067 www.romi.gov NOTICE OF CIVIC FOUNDATION MEETING The Royal Oak Civic Foundation will hold a meeting at 3:00p.m. Wednesday, September 9,2020 On April 1, 2020, Governor Whitmer issued Executive Order 2020-33, which declared both a state of emergency and a state of disaster across the State of Michigan due to the spread of the novel coronavirus (COVID-19). COVID-19 is a new strain of coronavirus that had not been previously identified in humans, can spread easily from person to person, and can result in serious illness or death. To mitigate the spread of COVID-19, to protect the public health, and provide essential protections to vulnerable Michiganders, it is crucial that all Michiganders take steps to limit in-person contact. The critical mitigation measures include social distancing and limiting the number of people interacting at public gatherings. Therefore, the September 9, 2020 Royal Oak Civic Foundation Meeting will be held electronically, in compliance with the Open Meetings Act and Executive Order 2020-154, as issued by Governor Whitmer on July 17, 2020. Members of the public can watch or listen to the meeting on: https://www.romi.gov/523/Live-Stream-and-Video-on-Demand Members of the public may participate in the meeting electronically by providing public comment on any civic foundation-related matter, whether on the agenda or not, by leaving a recorded comment at 248-246-3411 between the hours of 1:00p.m. and 2:00p.m. on Wednesday, September 9, 2020. Recorded comments will be played for the civic foundation during the public comment portion of the agenda.
