Almy ABSENT: Trustee Matt Barnett (2-1) The Sand Springs Municipal Authority met in regular session on July 25, 2022, in the Council Chambers of the Sand Springs Municipal Building pursuant to the regular meeting notice and agenda filed with the City Clerk’s office and posted at 10:30 a.m. on July 21, 2022, on the display board located at the front entrance of the Sand Springs Municipal Building (City Hall), 100 East Broadway Street, Sand Springs, Oklahoma 74063. 1. Call to Order Chairman Spoon called the meeting to order at the noted time of 7:00 p.m. 2. Roll Call Chairman Spoon called for an individual roll call with members replying in the following manner: Trustee Jackson, here; Trustee Barnett, no response; Trustee Burdge, here; Chairman Spoon, here; Vice Chairman Wilson, here; Trustee Riley, here; Trustee Worrell, here. It was noted for the record that Trustee Barnett was absent from said meeting. MUNICIPAL AUTHORITY MINUTES JULY 25, 2022 PAGE 2 3. Consent Agenda (A-E) Chairman Spoon informed Trustees that all matters listed under Consent Agenda to be considered by Trustees are to be routine and will be enacted by one motion. Consent Agenda items are vetted through various committees prior to consideration by Trustees. Chairman Spoon noted that questions or clarification on the Consent Agenda item may be addressed prior to taking action. Chairman Spoon requested if Trustees had questions or needed clarification on the Consent Agenda item or whether any item needed to be considered separately. There being none, Chairman Spoon called for a motion regarding Consent Agenda Items No. 3A through 3E. A motion was made by Vice Chairman Wilson and seconded by Trustee Burdge to approve Consent Agenda Items No. 3A through 3E: A) The minutes of the June 27, 2022, regular Municipal Authority meeting. B) Perpetual Flood Protection Levee Easement with Tulsa County Drainage District No. 12 to allow an easement in an area in which the levee already exists and confirm the existing structure as it relates to 8620 W. 21st St. S., Sand Springs, Oklahoma. C) Tum-Key Emergency Repair Rehabilitation of the 200 H.P., 3.18 MGD Pump and Motor No. 2 by Ruhrpumpen, Inc. at the estimated rehabilitation cost of $87,328.00 (Sand Springs 60% is $52,396.80) as it relates to the Skiatook Raw Water Conveyance System. D) Change Order No. 3 to the contract for Emergency Repairs 2019 with T-G Excavating, Inc. in the amount of $13,268.16 (Sand Springs 60% is $7,960.90) as it relates to the Fiscal Year 2023 Emergency Repair contract for the Skiatook Raw Water Conveyance System. E) Acceptance of the Skiatook Raw Water Conveyance System One-Way Surge Tank as constructed by Circle P. Welding, Inc. Details: In accordance with Oklahoma Statutes Title 25, Chapter 8, Section 311-A1, all public bodies shall give notice in writing by December 15, of each calendar year of the schedule showing the date, time, and place of the regularly scheduled meetings of such public bodies for the following calendar year. The Airport Policy Documents were in need of updates to reflect recent changes at the airport, ensure compatibility with other City-wide policies, processes, and current practices. The SSPA Airport Policy Documents updates include : 1) Airport Development Standards, which establishes standards related to the development of buildings and other facilities at the airport. This effort will include integration of other local development standards where applicable, and 2) Airport Minimum Standards for Commercial Operators, which establishes minimum standards related to the development and operation of commercial businesses at the airport, and 3) Airport Rules and Regulations, which establishes general conduct, safety, and security standards for all persons utilizing the airport. Various rates and fees are also included here. EXECUTIVE SUMMARY: The Sand Springs - Pogue Airport Advisory Board members reviewed the updates to the Airport Policy Documents at the July 14, 2022 regularly scheduled meeting and recommended approval. The Public Works Advisory Committee reviewed this item on August 16, 2022. City Attorney has reviewed the proposed updates/revision to Airport documents and Resolution No. 23-08 and M23-01. Attachment: SSPA Airport Policy Documents updates SSMA Resolution 23-08 and M23-01 SAND SPRINGS MUNICIPAL AUTHORITY TRUST SAND SPRINGS, OKLAHOMA RESOLUTION NOS. 23-08 and M23-01 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAND SPRINGS, OKLAHOMA, and TRUSTEES OF THE SAND SPRINGS MUNICIPAL AUTHORITY, STATE OF OKLAHOMA, ADOPTING THE 2022 VERSION OF THE SAND SPRINGS- POGUE AIRPORT POLICY DOCUMENTS WHEREAS, the Sand Springs Airport Advisory Board, has made it a priority to seek out the most innovative and forward thinking plan for the Sand Springs – Pogue Municipal Airport; and WHEREAS, the Sand Springs Airport Advisory Board has accepted input from its employees, Trustees, citizens and consulting professionals; and WHEREAS, the Sand Springs Airport Advisory Board has made changes and updates to the 2022 Airport Policy Documents to include Airport Development Standards, Airport Minimum Standards for Commercial Operations and Airport Rules and Regulations; and WHEREAS, the City of Sand Springs and the Sand Springs Municipal Trust Authority have jurisdiction over the facilities and operations of the airport. All references and approvals made in regard to the City, regardless of form within the 2022 Airport Policy Documents to include Airport Development Standards, Airport Minimum Standards for Commercial Operations and Airport Rules and Regulations shall be considered to serve both entities. NOW, THEREFORE, BE IT RESOLVED BY THE SAND SPRINGS MUNICIPAL AUTHORITY TRUST, AS FOLLOWS: That the Sand Springs Sand Springs Municipal Authority Trust approves of and adopts as policy the 2022 Sand Springs-Pogue Airport Policy Documents Dated this 22nd day of August, 2022. Weatherford, City/Authority Attorney AUG 22 2022 CC & MA Consent Yes Kelly Lamberson Resolution Nos 23-09 and M23-02 Sales Tax Agreement Renewals M-3D N/A Approval Approve Resolution Numbers 23-09 and M23-02, approving the annual renewal of existing sales tax agreements between the City and SSMA that are required for bond financing. As a part of the existing bond financing that has been used by the Sand Springs Municipal Authority (Revenue bonds for the Wastewater Plant, Public Works Facility, and other Public Works Improvements, and Revenue bonds for Public Safety), the City and the Municipal Authority entered into the five attached Sales Tax Agreements that provide additional security for the payment of the bond, basically pledging City sales tax if needed to repay the debt. The agreements require annual renewal and the approval of the joint resolution simply renews those existing agreements. RESOLUTION NO. 23-09 and M23-02 A RESOLUTION RENEWING, RATIFYING AND REAFFIRMING, FOR FISCAL YEAR 2022-23, THE “SALES TAX AGREEMENTS” BETWEEN THE CITY OF SAND SPRINGS AND THE SAND SPRINGS MUNICIPAL AUTHORITY. WHEREAS, The City Council of the City of Sand Springs has previously approved sales tax agreements between the City and the Sand Springs Municipal Authority wherein the City agreed to make payments to the Authority in amounts sufficient to pay when due all principal and interest on the Authority’s Utility System Revenue Promissory Notes including but not limited to the Utility Systems Revenue Bonds Refunding Series 2020, the Utility System Revenue Bonds Series 2022, the 2009 DWSRF Sales Tax Agreement dated December 1, 2009; as well as the Capital Improvement Revenue Bonds 2015, and the Capital Improvement Revenue Bonds 2016. WHEREAS, annual renewal of the agreements is necessary and appropriate for the current fiscal year as a routine annual renewal, and is in the best interest of the residents of the City of Sand Springs and the rate payers of the municipal authority. NOW, THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SAND SPRINGS AND BY THE TRUSTEES OF THE SAND SPRINGS MUNICIPAL AUTHORITY: SECTION 1. The Sales Tax Agreement dated August 1, 2020, the Sales Tax Agreement dated April 1, 2022, and the Sales Tax Agreement dated December 1, 2009, the Sales Tax Agreement dated December 1, 2015, the Sales Tax Agreement dated March 1, 2016, and all other current Sales Tax Agreements between the City and the Authority are hereby renewed, ratified and affirmed by the City of Sand Springs and Sand Springs Municipal Authority for the current fiscal year.
