(“Loan Agreement”) by and Between the New Mexico Finance Authority
(“NMFA”) and City of Santa Fe, New Mexico (“the Borrower”), in the Total
Amount of Seventeen Million Dollars ($17,000,000), Evidencing an Obligation
of the Borrower to Utilize the Loan Amount Solely for the Purpose of Financing
the Costs of Constructing a New Flocculation and Sedimentation Process and
Making Improvements to the Canyon Road Water Treatment Plant as a
Component of the System Owned and Operated by the Borrower, and Solely
in the Manner Described in the Loan Agreement; Providing for the Pledge and
Payment of the Loan Solely From the Net Revenues of the Water Utility
System of the Borrower; Certifying that the Loan Amount, Together with Other
