The minutes of the Board of Trustees Regular Meeting of Tuesday, August 8, 2023, were
approved on a motion entered by Trustee Gruenberg, seconded by Trustee Gans, and carried
unanimously.

Trustee Ahuja reported that he had audited the Abstract of Claims dated
August 22, 2023, in the amount of $1,695,350.37 which included $34,587.35 in Library Claims
previously audited by a Trustee of the Library Board.
Upon motion duly made by Trustee Ahuja and seconded by Trustee Brew, the following
resolution was adopted unanimously:
RESOLVED, that the Abstract of Claims dated August 22, 2023, in the amount of

RESOLUTION RE: REJECTING BIDS FOR VM CONTRACT #1299 -
CROSSWAY FIELD PICKLEBALL COURTS
WHEREAS, on March 24, 2023, the Village advertised for the receipt of bids for VM
Contract #1299 - Crossway Field Pickleball Courts, to construct eight
pickleball courts; and
WHEREAS, on the bid opening date of April 25, 2023, two bids were received with the
lowest responsible bid received from DeRosa Sports Construction Inc.
(DeRosa), Port Chester, NY for $583,440 to construct post tension concrete
courts; and
WHEREAS, as allowed by the contract bid documents, enough time has elapsed that
DeRosa can no longer hold their bid price, therefore all bids for VM Contract
#1299 must be rejected; now, therefore, be it
RESOLVED, that all bids for VM Contract #1299 - Crossway Field Pickleball Courts, be
rejected.

RE: Rejection of Bids, Crossway Field Pickleball Courts
In the Capital Budget, $410,000 is allocated for the construction of eight pickleball courts at
Crossway Field. In October 2022, the Village hired Site Design Consultants, Yorktown Heights, NY,
to design the project which includes the court design, as well as surface water control and drainage
design. The bid documents were completed in February 2023, and on March 24, 2023, the Village
advertised for the receipt of bids under VM Contract #1299 – Crossway Field Pickleball Courts.
The bid documents included the construction of eight post tension concrete courts with a deduct
alternate (Alternate No.1) to construct asphalt courts in lieu of the concrete courts.
Notice to Bidders was sent to The Scarsdale Inquirer, Construction Data News, and placed on the
Empire State online Bid System. On the bid opening date of April 25, 2023, two bids were opened,
will the following results:

The lowest responsible bid was received by DeRosa Sports Construction Inc. (DeRosa), Port
Chester, NY, for $583,440 to construct the Village Staff recommended post tension concrete courts.
At the May 13, 2023, Village Board Work Session, Village staff was directed to pause making a
contract award recommendation to the Village Board until a better understanding of the impact of
the pickleball courts to the surrounding Crossway Field neighborhood could be ascertained. The
Village Recreation Department was eventually directed to launch a pilot pickleball court program
consisting of converting three Crossway Field all weather tennis courts to six temporary pickleball
courts. The information gathered from the pilot program will help determine if Crossway Field is an
appropriate site for permanent pickleball courts.
The contract bid documents contain a stipulation that proposals shall remain in effect for a period of
at least 45 calendar days from the date of the opening of the bids, and that with said period of 45
days, the owner will accept or reject the proposals or this time period may be extended by mutual
agreement. DeRosa agreed to extend the bid to remain open time period several times, with a final
extension period that would allow them to start construction October 01, 2023. The October 01
construction start date is now unattainable, therefore all bids must be rejected.
Accordingly, please place the attached resolution to reject all the bids received for VM Contract
1299 – Crossway Field Pickleball Courts on the Village Board’s September 12, 2023, agenda for
consideration.

RESOLUTION RE: AWARDING VM CONTRACT #1303 –
BASEBALL/SOFTBALL INFIELD RENOVATIONS
WHEREAS, the Village of Scarsdale’s Department of Parks, Recreation and
Conservation (PRC) oversees the maintenance and scheduling of seven
clay infields used for both baseball and softball for PRC programming,
Scarsdale Little League, Scarsdale Interscholastic Athletic programming,
and Scarsdale Travel Softball; and
WHEREAS, years of heavy usage have rendered the fields unplayable for longer
durations after rain events; and
WHEREAS, on July 28, 2023, the Village advertised for proposals for Contract
VM#1303 – Baseball/Softball Infield Renovations in The Scarsdale
Inquirer, Bidnet, and directly emailed bid documents to three vendors
specializing in field renovations; and
WHEREAS, Greenway Property Services, Inc. was the lowest responsible bidder with a
base bid price of $227,000; now, therefore, be it
RESOLVED, that VM Contract #1303 – Baseball/Softball Infield Renovations is herein
awarded to Greenway Property Services, Inc. of 95 Elmcroft Road,
Stanford, CT 06902, for the base bid amount of $227,000; and be it further
RESOLVED, that the Village Board of Trustees authorizes the Village Manager to
undertake any administrative acts required pursuant to the terms of the
contract; and be it further
RESOLVED, that the costs of VM Contract #1303 – Baseball/Softball Infield
Renovations be charged as an additional appropriation from the General
Fund balance.

RE: Award of VM #1303 Baseball/Softball Infield Renovations
The Village of Scarsdale’s Department of Parks, Recreation and Conservation (PRC) oversees the
maintenance and scheduling of seven clay infields used for both baseball and softball. These seven
fields are utilized by the PRC for programming as well as by Scarsdale Little League, Scarsdale
Travel Softball and for Scarsdale Interscholastic Athletic programming.
Years of heavy usage by the numerous user groups has resulted in the compaction of infield sub
surfaces. In addition, the seasonal introduction of clay and a drying agent throughout the spring,
summer, and fall has created a lip between the clay arch and grass areas throughout the infield. This
prevents water from moving from the clay areas to the natural grass turf, rendering fields unplayable
for longer durations after rain events.
At the Tuesday, June 27 Village Board Work Session, PRC staff was tasked with producing bid
documents to gather pricing to renovate the baseball infields of Crossway Fields #1 & #2, as well as
the softball infields of Supply Field # 2 and Hyatt Field #2. PRC staff was also asked to receive
alternate pricing to renovate the infields of Crossway Field #3, Supply Field #1, and Hyatt Field #1.
On July 28, 2023, the Village advertised for proposals for Contract VM#1303 Baseball/Softball
Infield Renovations in the Scarsdale Inquirer, on Bidnet, and directly emailed the bid documents to
three vendors specializing in field renovations. A pre-bid meeting was held on August 2, 2023 with
two firms in attendance. The pre-bid meeting included a site visit and a discussion of the detailed bid
specifications to ensure potential bidders held a clear understanding of the bid and to confirm the
specifications meet the function of desired outcome.
On August 22, 2023, the bid opening of VM #1303 – Baseball/Softball Infield Renovations took
place and five sealed bids were opened with the following base bid results:

On August 23, 2023, I received a call from VAD Construction Corporation stating they made a
clerical error and did not calculate their unit prices correctly, therefore was desirous of rescinding
their bid. Upon review with the Village’s legal firm, Keane and Beane, it was confirmed under GML
Section 103(11), that VAD Construction Corporation satisfied section 11(a) of notifying the Village
of their error and were able to withdraw their bid. Based on the withdrawal of the bid submitted by
VAD Construction Corporation, Greenway Property Services has been determined to be the lowest
responsible bidder for this project to renovate Crossway Field #1, Crossway Field #2, Supply Field
#2 and Hyatt Field #2 with a total combined base price of $227,000.
The Department of PRC contacted five references for Greenway Property Services for similar
projects they have completed. Each reference came back satisfactory with clients stating they were
pleased with the work Greenway Property Services provided. Such clients also stated that they are
responsive contractors, that they would hire them back, and that the work they performed has their
fields draining as desired.
Based off the information provided in this memo, I recommend that Contract VM #1303
Baseball/Softball Infield Renovations be awarded to the lowest responsible bidder, Greenway
Property Services, 95 Elmcroft Road, Stamford, CT 06902. The total combined price of $227,000
will include renovating Crossway Field #1, Crossway Field #2, Supply Field #2 and Hyatt Field #2
with funding coming from an additional appropriation from the General Fund balance. PRC Staff do
not recommend awarding the alternate pricing for Crossway Field #3, Supply Field #1, and Hyatt
Field #1 at this time due to capacity of fields during the renovation and potential scheduling
conflicts.
Accordingly, I have prepared the attached Resolution awarding VM Contact #1303 Baseball/Softball
Infield Renovations. Please place this on the agenda for the Village Board’s consideration at their
September 12, 2023 meeting.

RESOLUTION RE: RETURNING GRANT FUNDING FOR A
STORMWATER AND SEDIMENT PROJECT AT
CAYUGA POND TO THE NYS DEC
WHEREAS, in 2015, the Village of Scarsdale was awarded grant funding from the
New York State Department of Environmental Conservation (DEC) for
Water Quality Improvement Project #57157, a stormwater and sediment
reduction project at Cayuga Pond; and
WHEREAS, various circumstances including increased project costs, lower than
anticipated project benefit, and challenging logistics prevented the project
from being implemented; and
WHEREAS, as the project is not proceeding, the Village is obligated to return the
previously awarded grant funds to the DEC; now therefore, be it
RESOLVED, that the Village Board hereby authorizes the return of $262,500 previously
awarded grant funds to the New York State Department of Environmental
Conservation.

RE: Returning Grant Funding to DEC for Cayuga Pond Project
In December 2015, the Village of Scarsdale was awarded a grant from the New York State
Department of Environmental Conservation’s Water Quality Improvement Program for design,
permitting, construction, and construction inspection of a project to de-silt Cayuga Pond and provide
water quality improvements (Water Quality Improvement Project #57157). The work plan submitted
for the project included construction of a mechanical device to manage the pond’s water elevation,
construction of a sediment basin, and removal of sediment from the pond. The award amount was
approved for up to $1,050,000, with a local match of $350,000, for a total project budget of
$1,400,000.
In the spring of 2018, the Village retained Woodard and Curran as its professional engineering
consultant. During Woodard and Curran’s review of the work previously completed by a prior
consulting firm, they determined that several modifications to the design plan were necessary to
more efficiently mitigate flooding downstream and improve the project’s water quality component.
In accordance with additional information collected during the design process, the estimated cost for
the project more than doubled at $3,293,000. Also, based on FEMA flood mapping, the removal of
sediment from the pond would result in a decrease in elevation of the 10-year flood of approximately
1” or 1.04%. Therefore, this project would have had minimal impact as a flood reduction project.
Additionally, completion of this project required cooperation from various private property owners
to execute temporary construction easements to allow the Village to perform the necessary
improvements to Cayuga Pond. The Village was unable to secure those easements from the private
property owners.
Since the Village did not complete this project and much time has elapsed since the project award,
the NYS DEC requires and has requested that the funding previously expended to the Village for this
project in the amount of $262,500 be returned. Attached is a corresponding resolution for the Village
Board’s consideration at their September 12 meeting.
RESOLUTION RE: AMENDMENT TO THE CONSTITUTION OF THE
ADVISORY COUNCIL ON HUMAN RELATIONS
WHEREAS, the Advisory Council on Human Relations was established in 1978 to
advise and assist the Board of Trustees in fostering mutual respect and
understanding among all individuals in the community; and
WHEREAS, the Village Board is desirous of amending the Constitution of the
Advisory Council on Human Relations; now, therefore, be it
RESOLVED, that the Village Board herein amends the Constitution of the Advisory
Council on Human Relations in the form attached hereto and made a part
hereof.

ARTICLE I – NAME/EXISTENCE
This organization shall be known as the Advisory Council on Human Relations.
ARTICLE II – PURPOSE
To advise and assist the Board of Trustees in fostering an inclusive and diverse community based
on mutual respect and understanding among all individuals in the community.
ARTICLE III – DUTIES
To engage and solicit information from the community on ways to promote and enhance
inclusivity, diversity, and mutual respect and understanding amongst all individuals.
To identify opportunities and leverage data, research and studies that promote inclusivity and
positive human relations within the community.
To recommend to the Village Board activities and programs to advance the Council’s basic
purpose and, in collaboration with the Board, take appropriate action to implement these activities
and programs.
As approved by the Village Board, sponsor and administer such conferences, assignments, and
other public meetings as necessary to carry out the Advisory Council’s purpose. To this end, build
partnerships with community groups to promote inclusivity and human relations.
To undertake such other assignments in the areas of inclusivity and human relations as may from
time to time be requested or directed by the Village Board.
To engage and work in conjunction with other Village Boards, Councils and Committees to
advance inclusivity and positive human relations within the community.
To report to the Village Board on its work during the preceding fiscal year by June 15 of each
year.
ARTICLE IV – MEMBERSHIP
The Council shall consist of twelve members to be appointed and be accountable to the Village
Board of Trustees. All appointments shall be for two years, with a two-term maximum.
ARTICLE V – OFFICERS
The officers of the Council shall be (1) a Chair appointed by the Board of Trustees from among
the members of the Council, (2) a Vice-Chair appointed by a majority of Council members. The
Chair shall serve a one-year term, with a maximum of three terms. The Chair shall preside at all
meetings and have the authority to appoint subcommittees. The Vice-Chair shall perform the
duties and shall have the responsibilities of the Chair when for any reason the Chair is absent.
ARTICLE VI – MEETINGS
An organizational meeting shall be held as soon as practicable after the annual meeting of the
Village Board, and other meetings shall be held from time to time upon the call of the Chair or
Vice-Chair. A quorum for any meeting of the Council shall consist of a majority of the members
of the Council then in office. Actions and decisions of the Council at any meeting at which a
quorum is presented shall be determined by a majority of the total member so the Council.
RESOLUTION RE: APPOINTMENTS TO THE PLANNING BOARD
WHEREAS, Jack Miller, 45 Fayette Road, tendered his resignation as a member of the
Planning Board, effective August 08, 2023, resulting in a vacancy; and
WHEREAS, the Village Board reviewed and discussed the Mayor’s appointment of
alternate member Lynn Brooks Avni, 5 Westview Lane, to fill the
unexpired term of Jack Miller as a full member of the Planning Board; and
WHEREAS, the Village Board reviewed and discussed the Mayor’s appointment of
Julia Valuyeva, 42 Greenacres Avenue, to fill the unexpired term of Lynn
Brooks Avni as an alternate member of the Planning Board; now,
therefore, be it
RESOLVED, that the Village Board approves the Mayor’s appointment of Lynn Brooks
Avni, 5 Westview Lane, as a Member of the Planning Board to fill the
unexpired term of Jack Miller, effective immediately, for a term expiring
on April 01, 2024, or until such time as a successor is appointed; and be it
further
RESOLVED, that the Village Board approves the Mayor’s appointment of Julia

RESOLUTION RE: APPOINTMENT TO THE COMMITTEE FOR
HISTORIC PRESERVATION
WHEREAS, in accordance with Village Code §182-3, the Village Board of Trustees
may appoint up to seven (7) members and one (1) alternate to the
Committee for Historic Preservation (“CHP”); and
WHEREAS, Mark Behr submitted a letter to the Village Board tendering his
resignation as a member of the CHP effective August 01, on which he has
served since 2018, prior to the April 01, 2024 expiration date of his term;
and
WHEREAS, the Village Board discussed potential candidates to fill the unexpired term
of Mr. Behr and after discussion found that Meredith Kent, 77 Catherine
Road, is qualified to be appointed to fill the unexpired term of Mark Behr
until April 01, 2024; now, therefore, be it
RESOLVED, that Meredith Kent, 77 Catherine Road, Scarsdale, NY, is hereby
appointed by the Village Board of Trustees as a member of the Committee

Licenses
The Village has issued an average of approximately 20 taxicab licenses over the past decade with
significantly lower issuances during and after the pandemic. Due to the COVID-19 pandemic in
2020 and 2021, only 10 taxicab licenses were issued for each of those years, which is directly
correlated to the considerable decrease in train ridership during that time. However, there was a very
small increase in taxicab licenses issued for 2022.
As a reminder, the total number of passengers using the Scarsdale station to board and detrain on an
average weekday through July 2022 has been 3,966, a 74% increase from the 2021 boardings of
2,274. On Saturdays there was an average of 2,100, and an average of 1,704 for Sundays, which is
an increase of 188% for weekend ridership through July 2022.
Although Metro North has not yet provided data regarding full-year 2022 Scarsdale train station
weekly ridership, based on data from the earlier half of 2022 and 2021, ridership numbers are
noticeably higher than the numbers reported for 2021 and indicate continued recovery from the
COVID-19 pandemic.
Based on 2022 data from the U.S. Census Bureau, the estimated population of 17,822 is a very small
decrease from the 2021 estimated population of 17,939, and would have little, if any, effect on the
need for taxicab services.
Given the preceding information, the maximum number of 25 taxicab licenses customarily approved
by the Board of Trustees for the past decade is sufficient. Although Metro North ridership and
taxicab license issuance have seen an increase between 2021 and 2022, they are still below pre-
pandemic numbers, and 25 taxicab licenses should continue to be a manageable number.
The Scarsdale Police Department has completed inspections on seven taxicabs that were in service
from Central Taxi of Scarsdale, and all taxicabs were found to be in satisfactory condition and
passed said inspections. Copies of the inspection reports have been submitted by Sgt. LoGiudice and
are attached to this memo.
I respectfully request that a public hearing on this matter be scheduled for the October 10, 2023
Village Board Meeting, and that the Village Board approve the issuance of up to 25 taxicab licenses
for the calendar year 2024.

of the FOWNC to ensure the success of the project.
The estimated cost associated with this gift donation is $4,000 as itemized below:

Planting Strip Location: These pollinator flowers and native grasses will
complement the narcissus (daffodils) which were planted last November,
and the wildflowers planted this spring by the Friends of Weinberg.

maintenance unless we experience a significant drought. Occasional
weeding will be performed by Friends of Weinberg volunteers.

OF A NEW 1,500 GPM PUMPER FIRE ENGINE
WHEREAS, the Village of Scarsdale Fire Department is committed to the protection
and preservation of life, property, and the environment from the adverse
effects of fire and hazardous conditions through prevention, education,
suppression, training, and constant diligence; and
WHEREAS, the 2016 Apparatus Reorganization and Replacement Plan, which
effectively reduced the burden of vehicle replacement from six apparatus
to four, calls for the purchase of a new 1,500 GPM Pumper to replace
Engine 56, a 2008 Spartan/Crimson Pumper; and
WHEREAS, the Village Board has authorized by resolution on July 11, 2017,
participation in the Houston-Galveston Area Council (H-GAC)
Cooperative Purchasing Program, with said cooperative offering
competitive pricing for the necessary replacement apparatus; and
WHEREAS, the Village Board has authorized by resolution on April 11, 2023, the
issuance of $1,150,000 bonds to pay the cost of the acquisition of a fire
engine; and
WHEREAS, Fire Chief Christopher Mytych has determined, after a comprehensive
review of specifications provided by four manufacturers, that the proposal
from Seagrave Fire Apparatus, LLC, best meets the needs of the Fire
Department, and that there are sufficient funds appropriated to fund the

Re: Purchase Request – Seagrave Marauder II Stainless Steel Custom Pumper
In accordance with the April 11, 2023, bond resolution authorizing the issuance of $1,150,000 bonds,
and Policy #201: Internal Control, I recommend the purchase of a Seagrave Marauder II Stainless Steel
Custom Pumper. This is to replace Engine 56, a 2008 Spartan/Crimson Pumper with approximately
88,000 miles. This replacement was selected with consideration to product safety, function, cost,
completion time, and Policy #601: Village-Owned Vehicles. The vehicle is available for purchase
through the Houston-Galveston Area Council (H-GAC) Cooperative Purchasing Program Contract,
FS19AAC01, for $1,147,880 and can be ready for delivery within 890 calendar days.
The July 12, 2017 Interlocal Contract for Cooperative Purchasing between H-GAC and the Village
facilitated the purchase and delivery of Engine 54 and Ladder 28, which were also manufactured by
Seagrave Fire Apparatus, LLC. Over the last five years, our members have evaluated the performance of
both vehicles, particularly regarding their operation and reliability. Both units feature common
components that have consistently supported Fire Department service delivery. Though Ladder 28 has
experienced extended periods of downtime, most mechanical issues have been attributed to the
complexity of its aerial device, which is absent on Engine 54. While safety is difficult to quantify in the
fortunate absence of collisions, we anticipate the yield strength, corrosion resistance, and structural
stiffness of the stainless steel cab and body construction to enhance occupant safety and durability over
the service life of these vehicles.
After a comprehensive review of specifications provided by four manufacturers to replace Engine 56, I
have determined that the proposal from Seagrave Fire Apparatus, LLC best meets the needs of the Fire
Department. Despite a comparable cost, estimated completion time, and warranty protections offered by
its closest competitor, several essential options were not available. The proposed configuration of this
replacement pumper bears few differences from Engine 54. The cost of improvements, such as side roll
protection, air ride suspension, and idle reduction technology are largely offset by the return of
omissions, such as infrequently used pump intakes and discharges. I am confident that standardizing
chassis, body, and pump components across our fleet will benefit vehicle operation among our
firefighters and familiarity among maintenance personnel. I anticipate this unit to have a service life of
15 to 20 years.
Please find the attached proposal letter and contract. Seagrave Fire Apparatus, LLC has indicated that
the proposed cost and completion time can be guaranteed through September 13, 2023.

CONTRACT
THIS AGREEMENT; made by and between Seagrave Fire Apparatus, LLC of Clintonville, Wisconsin,
hereinafter referred to as the "Seller", and Village of Scarsdale, NY, by its authorized representative, hereinafter
referred to as the "Purchaser".
1. The Seller hereby agrees to furnish one (1) unit of Seagrave model TB50CA Marauder Pumper, hereinafter
referred to as “Apparatus and Equipment”, according to the mutually agreed specifications and change order
documents hereto attached and made a part of this contract, and to deliver the same as hereinafter provided.
2. The Seller guarantees that all material and workmanship in and about the Apparatus and Equipment shall
comply with the mutually agreed specifications and change orders. In the event there is any conflict between
the Village Bid Specifications and the Seagrave Bid Proposal, the mutually agreed specifications and change
orders will prevail. The standard Seagrave Limited Warranty will apply as provided for in the mutually agreed
specifications and change orders. Minor details of materials and construction, not otherwise specified, shall be
left to the decision of the Seller who shall be solely responsible for the design, engineering and construction of
all features of the apparatus. Any changes to the contract or purchase order must be approved in advance
through the issuance of a written change order by the Seller. The Seller will not assume responsibility for
performing any change requested but not approved by the Purchaser within five (5) days of the change order
submission for approval.
3. The Apparatus and Equipment shall be ready for delivery from Clintonville, Wisconsin, within 890 calendar
days after the receipt of the (i) mutually agreed specifications, (ii) change order documents and (iii) approval
drawing signed by the authorized representative of the Purchaser. The mutually agreed specifications and
change order documents and approval drawing shall be delivered to the Purchaser for their signature in not
more than 31 days from contract receipt at Seagrave or not more than five days from pre-construction meeting,
if so provided. Delays due to change orders, strikes, failures to obtain materials, or other causes beyond
Seagrave's control will be just cause for delay in delivery. The completed Apparatus and Equipment shall be
delivered to the Purchaser at:

4. A competent representative shall, upon request, be furnished by the Seller to demonstrate said Apparatus and
Equipment for the Purchaser and to familiarize the Purchaser’s employees in the operation and handling of the
Apparatus and Equipment.
5. The Purchaser purchases and agrees to pay for said Apparatus and Equipment, the sum of One Million, One
Hundred Forty-Seven Thousand, Eight Hundred Eighty Dollars ($1,147,880.00), state, federal, FET, or
local taxes not included. Payment of any such taxes are the responsibility of the Purchaser. Terms are net,
payment in full upon delivery of the apparatus to the customer. If the contract includes Dealer
Furnished Equipment and services, the apparatus will be delivered to the customer and payment made,
less five (5) percent of the Contract Price that is held by the fire department until all items and services
are provided by the Dealer. The 5% Final Payment and Acceptance will be made once the terms of the
contract are satisfied by the Dealer.
5.1 All payments shall be made payable to Seagrave Fire Apparatus, LLC and shall be mailed directly to:

5.2 The Apparatus and Equipment must be paid in full prior to being placed in fire service.
5.3 If more than one piece of Apparatus and Equipment is covered by this Contract, the above terms of
payment shall apply to each piece, and an invoice covering each piece shall be rendered in the proper amount.
6. In the case that no final inspection is made by the Purchaser at the factory prior to shipment and the Purchaser
desires to test the Apparatus and Equipment upon receipt, such test shall be made within three (3) days after
arrival at the delivery destination specified above. A written report of such test shall be delivered forthwith to
the Seller at its principal office at Clintonville, Wisconsin. If no such test be made, or if no such report be made
by the Purchaser within three (3) days after arrival, then the Apparatus and Equipment shall be considered as
fully complying with the contract specifications.
7. It is agreed that the Apparatus and Equipment covered by this contract shall remain the property of the Seller
until the Apparatus and Equipment is delivered and accepted by the Purchaser, such acceptance shall not be
unreasonably withheld or delayed. In case of any default in payment the Seller may take full possession of the
Apparatus and Equipment, or of the piece or pieces upon which default has been made, and any payments that
have been made shall be applied as rent in full for the use of the Apparatus and Equipment up to date of taking
possession.
8. In the event that any applicable Federal or State Regulations (DOT, FMVSS, EPA, etc.), National Fire
Protection Association Standards or import tariffs which are enacted during the course of this contract, and
which requires a change in the contract specifications and purchase price in order for the Apparatus and
Equipment to comply with such regulation, the parties will execute a change order describing the change in the
specifications and increasing the purchase price by an amount equal to the increase in the costs of producing the
Apparatus and Equipment.
9. This Agreement shall be governed by and construed in accordance with the laws of the State of New York
without regard to principles of conflict of laws. Each party hereby consents that the exclusive venue for any
dispute of claim relating to this Agreement shall be Westchester County, New York. All actions shall be
commenced in Federal Court, Southern District. In the event that the Federal Court lacks jurisdiction over the
matter, the action shall be commenced in any New York State Court. Each party hereby consents to the
personal jurisdiction of such courts.
10. Seller and Purchaser Indemnifications:
10.1 Seller Indemnification – Seller herein agrees to indemnify and hold Purchaser, its elected
officials, employees, agents and volunteers free and harmless from any liability for losses, claims, injury to or
death of any person resulting from the negligent acts or omissions in the design, engineering and
manufacture/assembly of the Apparatus and Equipment.
10.2 Purchaser Indemnification – Purchaser herein agrees to indemnify and hold the Seller, its
officers, employees, directors, shareholders, agents and lenders free and harmless from any liability for losses,
claims, injury to or death of any person resulting from the negligent acts or omissions in the use, operation or
possession of the Apparatus and Equipment.
10.3 Mutual Indemnification Survival Provision - The indemnification provisions provided in this
Section 10 shall survive the performance of this Agreement including delivery of the Apparatus and
Equipment by the Seller and payment by the Purchaser.
11. Risk of loss shall pass to the Purchaser upon delivery and acceptance of the Apparatus and Equipment.

12. To be binding the contract must be signed and approved by an Officer of Seagrave Fire Apparatus, LLC. This
contract and mutually agreed specifications and change order documents take precedence over all previous
negotiations, and no representations are considered as entering into this contract except as are contained herein

Items to Note:
As of August 31, 2023, 97.55% of the County tax levy for 2023 has been received, and 2.45%
remains uncollected. As this is the highest uncollected percentage of County Taxes in the last five
years, the Treasurer’s office has included a reminder on all Schol Tax bills notifying residents of
past due balances on their tax account, as well as sending additional reminder notices.
As of August 31, 2023, 99.48% of the School tax levy for 2022/2023 Fiscal Year and 63.17% of the
2023 Village Tax Levy has been collected.
2023/2024 School Tax Bills were issued September 1st. Please note, School Taxes are either due in
full by October 2nd or the residents may pay in two installments with the first installment due by
October 2nd and the second installment due by January 31st.
Residents are encouraged to register to receive tax bills and tax reminder notices by email, in
addition to a copy in the mail. Residents may register at Scarsdale.com or can contact the
Treasurer’s office for further information.
We continue to encourage residents to pay taxes and water bills online at Scarsdale.com. QR codes
have been added to tax and water bills to direct residents to the exact web address for payments.
This report includes an updated chart on Interest Income, presenting actual results of all interest
earnings by Fiscal Year. The Year-to-Date FY24 Interest Income presented includes actual interest
realized for our first three months of the fiscal year, as well as expected interest income on Treasury
Bills held.
