SUBJECT: Request Authorization for the Mayor to enter into an Inter-Municipal
Agreement with the Village of Scotia
TO BE PLACED ON COUNCIL AGENDA OF
To enter into an lnter-Municipal Agreement with the Village of Scotla for the City of
Schenectady to provide treatment of sewage from the sewer districts of Village of
Scotia.
The City of Schenectady as the Control Authority is required t o implement and
enforce a pretreatment program to control discharges from all industrial users of its
wastewater treatment system pursuant to the requirements set out in 40 CFR Part
403, and the applicable statutes, rules, and regulations of the State of New York. The
Village of Scotia as a contributing jurisdiction agrees to adopt a sewer use
ordinance that subjects any industrial user within its borders t o the necessary
pretreatment controls and hereby authorizes the City of Schenectady to implement
and enforce that sewer use odinance
Recommendation:
Authorize the Mayor sign the agreement with the Village of Scstia to accept sewage

THIS AGmEMEYT, made the -day of 2 0 15, by and between the
City of Schenectady. a municipal corporation with principal offices at 105 Jay Street.
Schenectady, Neu7 Uork 12305 (hereinafter the "City""),and the Village of Scotia, a municipal
corporation with principal offices at 4 Ten Broeck Street, Scotia, Xew Uork 22302 (hereinafter
the ""Village):
WWEmAS, the Village of Seotia has fomed and operates one or more sewer districts
jwi~h extensions thereto) providing for the collection and treament of residenfal and
commerclat sanitary sekvage thin the Village of Scotia senred by said dtstnets, and
WHEmAS, the City of Schenectady maintains and operates a waste\vater treatment
plant for the treatment of sewage, \+hlch plant has sufficient capacity to treat the sewage
collected wi.tllin the aforesaid sewer districts operated by the Village of Scotia: and
\VM[]DmA$, the City o f Schenectady, as the Control A~thorityis required to implement

NOW THEREFOm, in consideration of One ($1.00)Dollar paid by the Village to the
City, and in further consideration of the terms, covenants and conditions herein set forth, the City
and the Village hereby agrees as kllous:

SECTION I. ADOPTION OF SEIvER USE ORDmTAXCE.
I. The Village of Scotla hereby agrees to adopt a revised sewer use ordinance- wrhich
is no less stringent and is as broad in scope as the City of Schenectaby's Sewer Use Ordinance.
The Village of Scotia will fornard to the City of Sehenectady for review a drafi copy of its
proposed sewer use ordinance within Sixtq (60) days of the dare of this Agreement. The Village
of Scotia will adopt the proposed sewer use ordinance, or necessar) revisions to its existing
ordinance within Sixty (60) days of reeeitring approLal of said ordinmce or revisions from the
City of Schenectady,
SECTION 11' ENFORCEMENT AS ADMINISTRATOR.
2. a. Except as otherwise herein expressly pmvided, the trillage of Scotia will
enforce its sewer use ordinance in all areas served by the village"^ sewer system where the
effluent is dischxged into the City's sewer system.
b. The Village of Scoria hereby designates the City of Schenectady as an
agent of the Village of Scotia for the puqose of eanyhg out the in~plernentation and
enforcement of the Village of Scotla's sewer use ordinmce, It i s herefore expressly agreed that
the City o f Schenectady may take action under the Viihage of Scotia's sewer use ordinance that
could be taken bq the Village. including but not Limited to the enforcement of said ordinance in
courts of Law.
6. The Village of Scotia hereby agrees h a t it shall adopt pollutant specific
limits, ~ h i c haddress the s m e pollutant parmeters and are at least as stringent as the Local
limits set forth in the City of Schenectady Sewer Use Ordinance, as are more paieularly set
fofih in Sec"con VI of this Agreement. In the event the City of Schenectady makes any revisions
or additions to said local limits, it shall fornard a copy of any such revisions or additions to the
Village of Sco";a, h l c h shall adopt m y such revisions or additions within forty five (45) days of
receipt thereof.
3. a. Upon the terns hereinafter set forth, the City of Schenectady on behalf o f
and as agent for the Village of Scotla, .may provide for a n d i ~ rperform the technical and
administrative sewices and duties necessary lo implement and enforce the Village o f Scotia's
sevier use ordinance, The services- vihich the C i q of Sehenectad) may provide, include, but are
not expresslj limited to the fallowing:

discharge which presents or maj present an
imminent danger to the health and uelfare of humans, which reasonablj appears to theaten the
environment, or which threatens to cause interference, pass through or sludge contamination,
c. The Village of Scotla shall not pernit any Significant Industrial User
located outside the Jurisdictional boundaries of the Village of Scotia to discharge into its serrver
sjstern, unless md until the Village s f Scotia and the City of Scheneetad) have entered into an
agreement with the jurisdiction in which such industrial user is located, the terms of such
agreement shall be substauttially equivalent to this Agreement and it shall be in effect prior to any
discharge being received from such industrial user. ,4 list of cunent permitted industrial users is
set forth in Appendix '"D" of this -Agreement.
SECTfOS 111. SCOPE OF SERVICE.
4. The City Irereby agrees to accept sanitary sewage from the Village sewer districts
currently connected to the City's wastewater treatment facilities and from any expmsion to "ihe
village"^ sewer collection facilities approved by the City and to provide for the treatment of the
residential and cclmrnereial sewage collected by those districts at the City's wastewater treatment
plant upon the terns and conditions inercln set forth,
SECTIOK IV. CITY OF SCHENECTADUeS OBLIGATIONS.
5. The Ci"; agrees to provide and m&e available, pursuant to the t e m s and
conditions herein set forth, the physical infrastructure (hereinafter referred to as the interceptor
sewer) necessasy to, and having sufficient capacity to. accept md convey to the City's
Wastewater Treatment Plant ail sanitary sewage and kvastewater received from "re Village's
existing sewer collection facilities pursuant to the t e m s of this agreement, from the point at
which the Village's waskwater collection facilities connect to the City's wastewater collection
facilities at &be intersection of Front and Norllr Ferry Streets in the City of Scheneetady. This
infrastmcture does not include any portion o f the City collection system that i s not utilized by the
ViIlage to transport uraslewaterto the wastewater treatment plant.
6. The City shall prnvids upon the terns and conditions herein set fo&, sufficient
capacity at its wastewater treatment plant for the treatment of the sanitary sewage received from
the Village" existing se.iiier facilities.
7. The City shall operate and maintain its wastesater treatment plmi and the
interceptor sewer system to prosiide mi tar^ setsage service and treatment to the Cit) and the
Village's existing sewer facilities in accordance with the terns and conditions herein set forth.

establishing a minimal level of infiltration. Copies of all inspection documents shall be provided
to the City.
9. The Village of Scotia shall, endre1.i at its orlin cost and expense, construct and
maintain the necessary trunk. sewer.. and all related facilities, equipment and ttppurtenances
needed to collect and eonleg wastewater &om the Vitlage's Sewer District to the City's existing
interceptor sewer located at the intersection of Sorth Ferq Street and Front Street in the Gitj.

10. To the extent i t will be necessary to repair. clean, engage in routine or non-routine
maintenance, replace, modify or redesign all or an) part of rhe interceptor sewer servicing the
'drillage"ssewer system (being that p o ~ i o nof the Interceptor sewer extending from the point o f
connection at the intersection of Front and North Ferrj Streets to the point of connection with the
City's wastewater treatment piant) to remain in compliance with any applicable state or kderal
law, rule, regulation, order, directive or as may be reasonably required by the City. any cost or
expense incuned by the City shall be shared by the Village and the contribution to such cost or
expense by the Village shall be delemined by calculating the discharge received from the
Village in relation to the totat disehasge entering the City's Ixi'astewater Treatment Plant through
the i,rterceptor sewer and that portion of such costs 2nd expenses shall be paid by the Village. Ail
work shall be perfomed in accordance with the specifications and requirements approved by the
City of Scbenectady's Director of Water and Wastewater or designated agent, Except for
emergency situations, the City shall notify the Village in advance of any activities underlaken
pursuant to this section. In the event of emergency activities undedaken pursumt to ohis section.

the City wastewater treatment facilities, The City shalt have access to said meters and devices at
all times for purposes of inspection- reading and testing and the Village will, at its ow3 expense.

time. Flow meters shall be cheeked annually by the manufacturer for accurac:, and a written
report p r o d e d to the City. All meters- testing or analyricai dekices installed shall be in
accordance with specifications established by the Director of Water and W'astewater or
designated agent.
1%. The Village agrees that, whenever the @it) becomes aware or any circumstmees
that ma) reasonablg- be expected to adverselr, impact the sewage flom from the Village, to
conduct whatever testing may be reasonablt required by the Ciry and necessary to either resolr e

13. The i7iliage understands and accepts that the City periodically i s subject to

Treatment Facilitq and the Village
expressly agrees to comply with the requirements of such consent orderls) as required. The
contents of the consent order(s) will be reviewed -with the Village as applicable and the
requirements of the consent order(s) will become part of this agreemen1 and appended to the
contract as part of Appendix "'A". The provisions of the consent order(s) as indentified in
Appendix ""A" wilt only apply while the City is under the respective consent order(s).
14. The City bas the right to conduct, at its ow= cost and expense, any survey that
may deem appropriate to acquire any infomation relevant to &be operation of sewage treatment
facilities. If requested. the tiillage will assist in said process.
15. The Village shalt furnish to the City, on a monthly basis. copies of recording
c h a ~ sof all recorded data and Row totalizer readings and also to hmish composite sample
analysis pursuant to the provisions of this agreement. This monthly reporl shall include all new
monthly residential and eornmerclai and industrial sewer connections within the Village of
Scotla which contribute mstewater into the Village and City sewer facilities. In the event that
any flow measuring device required by this agreement fails in whole or in past, or for any other
cause which prevents the accurate detemialztion of the Village's discharge during any measuring
period, the Village's dischargeiflow shall be detemined by calculating the average Row for the
measuring period (day or month) immediately preceding the failure and the measuring period
immediately following the repair or correction of the affected metering device,
16. The Village shall, entirely at its own cost and expense, perfom1 an Inflow and
Infiltration (I&I) study of any and all areas of the Village that conveys sewage to the City's
sewer system. The study shall detemine the amount of flow at each point of entry into the Cityes
system to detemine if excessive Ilk1 exists and is entering the Cit>'s system. Excessive I&I is
defined as the amount exceeding 120 gallons per capita per day dwing dry weather and 275
gallons per capita per day wet weather. This study shall be performed within two (2) years li^orn
date of which the agreement is signed. If it is detemined that excessipe I&I exist. the Village
shall provide the Citj with a plan and expeditious schedule to reduce I&I to the best of their
ability from entering the sewer system.
17, Any sampling required pursuant to the hems of this agreement shall be perfomed
by the Village o f Seotia, entirely at its oun cost and expense. It is further agreed that samples
upon which analyses are ra be performed shall be 24 hour composite samples. Sampling shall be

19. The waste~atereceived from the Village shall not contain HI draulic, Organic or
Inorganic loadings in excess o f the following concentrations and/or Loadings. unless prior uritcen
approval is obtained from the City of Sebenectadyqs Director of Water and Wastewater, or
designated agent:
a. Waste containing more than 5,004 pounds per da: or 913 tons per year of
5-day Biochemical Oxygen Demmd (BOD5);
h, lxilaste containing more than 5,838 pounds per day or 1,065 tons per year

SECTION VTI. SERVICE CHARGES.
20, a. The Village of Scotia shall pay the City of Sehenectady the ColIowlng rate
for all wastewater discharged and accepted pursuant to this Agreement including its
propodionate share of cost of operation m d maintenance and local debt service of the
waste~atertreatment plmt and system to 'ivhich it discharges ~astewater.Documentation of
local debt of the wastewater treament plmt and system wi11 be provided upon issuance of the
Village's annual sewer bill,

Village of Scotla, the Village o f Scotla shallpay ro the City of Scheneetadj, in addition to all
other charges specified herein, an annual fee, for administration and enforcement of the
pretreatment program, in the amount o f Six Tkousm~d ($6.000.00)Dollars per Significant
Industrial User i SIG).
%I. In addition to the aforesaid charges, the Village shall paj surcharges for delivery
o f sewage at eexessive rates of flow and/or strength in accordance with the foliowing schedule:

$522 60 per ton. Said surcharge shall be based en the net tonnage after deducting the total tons of

b. In the event the wasteavater received from the Village exceeds 1.065 tons
of Toral Suspended Solids ITSS) per >ear, the Village shall pay a surchxge of $715.79per ton.
Said surcharge shall be based on the net tonnage after deducting the total tons of TSS received
from Slli's located outside the Village but utilizing the Village collection system to convey
seuage "Ilrrough the Village pump station located at 2 Washington Avenue in the Village,
c. In the event the wastewater Row received from the Village exceeds 730
million gallons per year, the Village shall pay a surcharge of $73.53 per million galions for ever5
million gallons over 730 million gallons.
d. The Cit-j will calculate the Villagees annual sewer biH using data collected
from the sarne time period as Sit;".: utitizhg the Irillage's collection system. An example o f the
billing fomat i s set forth in Appendix "YE"' of this Agreement.
SECTTOP.;;ZX. BILLING & PAYMENT OF SERVICE CHARGES.
22. The City will bill the Village amuatly in August for the prior t\%elve month
period of July through and incIuding June. The Village shall provide to the City all meter
-eadings as I-raBI be required to caieuiate mntlal sewer billings no later than Julj 15" o f each
year,
23. The Village shall pay all bills rendered by the City within thirty (30) days of
receipt of sarne and shall collect such charges from those benefi"cang by the fa"acllrries provided bq
the City in such mamer, consistent with Law, as it shall deternine. Any undisputed amount not
paid withh said thirty day period shall bear interest at the rate of 1.5% per month.
SECTION X. AVAILABILITY OF RTECORDS.
24, The Village shall make available to the City, upon request, current data reiatite to
the number and type o f connections to its sewage system and analyses of industrial wastewater
f l o ~ s ,if any. Should the analyses o f the connections indicate potential ind~lsaialusers are
contributing .ivasreiliater flows, the i'illtage shall perfom analysis o f wastewater and complj with
all rules and regulations of the Sewer Gse Ordinance and pro\isions o f this agreementat no cost
to the Girt.
25. The C i t j shall provide the Village with a copj o f the monthly reports submitted
from ail SZU"s located within the service area o f the Village, The monthij report shall include
the flow and loadings o f the Village's eon~rihurisnas well as asnj SIU within the service area of
the Village. said report \%ill he due to the Village bj the i jt%f every month h r the month two
months prior to the date due.
SECTION XI. FUTURE CAPIT-4L Y~fPROVE!~lEKTSS
26, I h r s mutually agreed that In the etent the City shall undertake anj major repair*
improvement, expansion, andlor replacement o f facilities and/or equipment witkin the treatment
piant or the interceptor sewer system. or the City9is directed or ordered bg any valid authorit.; to
provide a higher degree of treatment in the future, or to othem~isemodif! the process in use ar
the time of executing this agreement. the Village shall share all costs and expenses associated
theretvih. The Village's share of such costs sball be detemined by calculating &he percent (%)
total discharge received fiom the Village in relation to the total discharge entering the Gixy-s
wastewater Treatment Plant and that portion that is contributed by or is attributable to the
Village shall be paid by the Village.
27. To the extent that wasrewaterisewage contributed by the Village contains excess
amount of BOD, total suspended solids (TSS), or other poILutmts. the processing of which
requires additional capital expenditures for repairs, replacement, upgrading or expmsion of the
City's facilitates, the Village sball be responsible to pay the Git: the propofiional amount of the
toral expenditures, which shall be determined by the proporlion of the total BOD, total. suspended
solids or other pollutants which are contributed by the Village. The proportion of the BOD, total
suspended solids or other pollurants, whichever i s the cause of the requirement for additional
capital expense. shall be the proportion used to deternine the amount the Village is responsiMle
to pay. If the cause for the requirement of additional capital expenses sterns from two or more of

expenses needed to process each of those materials shall be detemined, and the Village shall pay
the proporlional cost o f each dditional capital expense, delemined by the propodion of the
material the Village contributed. If by order. rule. regulation, directive or statue, the Citj
becomes obligated or othert~iselegal14 required to adjus"lsucfirarge rates for any pollutant or
wastewater components, or is limited or restricted in like mamer with regasd to production
and/or treatment of anj pollutanhr wastewater component the Village agrees to assist in
complying with any mandate, mle, law, or directive and to adjust or reduce wastewater
pollutants or components as may be reasonablj demanded by the City.
SECTION XII. RATE ADJUSTMENT,
28. All rates and an? charges or fees payable by the Viitage to the City pursuant to
the agreement mill automatically be adjusted on August I" o f each year jcommeneing in 20151
by the percent change in the Consumer Price index (G.P I.-U). as published by the L.S,
Department of Labor, Bureau of Labor Statistics. The amount o f the adjustment will be
determined b) the percent (96) increase in the GPB-L. The percent increase will be
computed by comparing the index figure for the month of June immediately preceding the
contract e~mmencemenhyear .rkh the index figure published for the month of June imrnediateij

SECTION XIIT, EXPAKSION OF SERVICE AREA.
29. The service area of the Liiliage's sewer districts as described and!or shol-vn on the
map annexed as Appendix '"F'" shall not be expanded without the ex-press vlrnt~enconsent of the
Gitj.
SECT103 XIV.TERM OF 6 0 N T M C T .
30. a. This contract shall be in effect for a tern of Five (5) years fiom the date of
its execution by the parties, unless termmated pursuant to this agreement or by the n~utual
consent of the parties.
b. Unless either party shall notifq the other in writing at least one (1) year
prior to the initial expiration date of the existing agreement then said agreement shall
automatically be renewed and extended for an additional tern o f five (5) years subject to the

The Adopted 2015 City of Sehenectady Budget contains
$23,213,779 for various General Fund, Golf Fund, Sewer Fund and Water Fund capital pro~ects.
Since adoption of the budget the City bas determined that only $8,935,779 of the anticipated
project costs (plus cost of issuance) need to be firnded in 2015. Specifically, the Erie BlvdlJay
StiFront StiNott St Roundabout City share is now prcljiected to be $425,000, not $703,000 and in
the Sehver Fund, the $14,000,000 Constaction Costs for Consent Order have been removed.
Evaluation/Analvsis: The Adopted 20 15 Budget anticipated that Bond Anticipation Notes
(BANS) would be issued to initially fund the City's cunent year capital projects and the cost of
issuance of such BANs.
Additionally, the City currently has outstanding BANs (previously issued initially in 2007, 201 1,
2012, 2013 and 2014) totaling $3 1,573,815. These BANs will mature in May 2015 and at that
time will need to either be rolled for another year or pemanently financed. None of these BANS
are required to be pemanently financed durrng 20 25.
Upon consulkation with the eCiit?'s FZ;inaneial Advisor and Bond Counsel, this recommended plan
of finance has been developed. It is anticipated that the BANS issued in 201 5 will be issued at an
interest rate around .55%.
Recommendation: We respectklly recommend that the City Coun~iil approve the
issuance 06 I,) BANS to h n d the 2815 Capital Projects 3015 cash requirements ($8,935,779)and
related cost of issuance and 2) roll the remaining BANS outstanding balances ($3 1,573,815) for a

The Council of the city shall have the power lo remove any member of the Baard for cause and after
public hearing.
5 68-9 Employees
The Mayor shalt appoint such employees for the Board as may be authorized by the Councrl and shall
prescribe their duties.

The Board shall have the Following power within the city:
A. Rules and regulations. The Board is authorized to make and adopt such written rules and regulations
as may be necessaw for the proper enforcement and interpretation of this chapter and to secure t h e
intent thereof. Such rules and regulations shall nor be in conflict with the provisions of this chapter or
any other ordinance o f the city, nor shall they have the effect of waiving any provisions of this chapter
or any other ~rdinance.
