AIRPORT AUTHORITY OF ITS AIRPORT REVENUE BONDS.

RESOLUTION NO. 44-25
A RESOLUTION APPROVING ISSUANCE BY THE SIOUX FALLS REGIONAL
AIRPORT AUTHORITY OF ITS AIRPORT REVENUE BONDS.
WHEREAS, the Sioux Falls Regional Airport Authority (the “Authority”) has represented
to the City that it desires to make improvements at the Sioux Falls Regional Airport to
be financed in part by the issuance by the Authority of its Airport Revenue Bonds in one
or more series in an aggregate principal amount of up to $30,000,000 (the “Bonds”), the
proceeds of which will be used, together with such other available funds of the Authority
as may be required, to finance the addition of five new gates and expansion of the
terminal capacity (the “Terminal Project”); and
WHEREAS, under the provisions of Section 147(f) of the Internal Revenue Code of
1986 (the “Code”), an elected representative is required to approve the issuance of the
Bonds following a public hearing for which there was reasonable public notice. The
Authority held a public hearing on June 25, 2025, with notice of the hearing published
not less than seven days before the date of the hearing, as required by the Code; and
WHEREAS, the Authority has no applicable elected representative. Therefore, under
Subclause 147(f)(2)(E)(ii), the Authority has requested that the Council approve
issuance of the Bonds by the Authority. The Bonds will not be general obligations of the
Authority, and the general credit and taxing powers of the Authority will not be pledged
to the payment thereof; and
WHEREAS, the City acknowledges its role in approving the bond issuance by the
Authority as required under Section 147(f). However, the City expressly disclaims all
responsibility or liability as to the potential exemption of interest on the bonds or for the
repayment of the bonds or any other obligations arising from the issuance of the bonds.
The approval of the bond issuance does not constitute an endorsement or guarantee of
the bonds or the Authority. Any bondholders shall have no recourse against the City for
any claims related to the bond.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF SIOUX FALLS, SD:
Section 1. That the Council hereby approves the issuance of the Bonds for purposes of
Section 147(f) of the Code.
Section 2. That this resolution shall become effective in accordance with Section 9-19-
13, South Dakota Codified Laws.
