7/8/2023 SPRINGFIELD - ROBERTSON COUNTY JOINT AIRPORT BOARD Special Meeting Minutes – June 28, 2023 Springfield - Robertson County Airport, Springfield, TN Board Members present: Jerry Converse, Edison Guthrie, Gina Holt, Paul Nutting, Chris Simpkins, Lewis Walling Board Members absent: Janice Wallace Ex-Officio Members present: Billy Vogle, Jordan Osborne Airport Staff present: Brian Urbach Others present: Chris Ferraraccio, representing Wingnuts Aviation and AMF Chairman Paul Nutting called the meeting to order at 8:00 am. Six members of the board were present for a quorum. Janice Wallace was absent. The board members reviewed the final draft of the new lease agreement with Wingnuts Aviation. Airport Manager Brian Urbach said there were no substantial changes to the proposed Wingnuts Aviation contract sent to board members. County Attorney Clyde Richert has reviewed the lease. The standard wording for the lease contract and operating agreement was typed in black ink and wording specifically pertaining to Wingnuts Aviation was typed in red. The black wording will be the standard template for future commercial leases and available on the airport's website in the Minimum Standards document. In addition to the installation of a heating unit in Hangar C for an estimated cost of $6,000; which was previously proposed in the new lease, Wingnuts Aviation proposed to make additional improvements to include the installation of industrial fans in Hangars C, D and E as well. The total cost for all of the hangar improvements to be made a part of the new lease agreement (heating unit and 3 industrial fans) amounts to $20,000 to be reimbursed to Wingnuts over the five-year term of the new lease. The discount on the rent will be applied monthly at the rate of $333 per month. Jerry Converse made a motion to approve the new lease agreement with Wingnuts Aviation including all exhibits. Lewis Walling seconded the motion, and it passed 5 – 1. Gina Holt voted against the motion. The AMF contract expires June 30, 2023. They are in the process of removing the damaged aircraft from the land they are currently leasing, but Chris Ferraraccio asked the board for four additional months to continue to use the land and to clear it. Clyde Richert is preparing an agreement to allow AMF to continue to lease the land for four months at a rate of $500 per month. Chris Simpkins made a motion to authorize Chairman Paul Nutting to sign the lease agreement with AMF after the agreement has been prepared by the County Attorney. Lewis seconded the motion, and it passed 5 – 1. Gina Holt voted against the motion.
