public hearing and made a recommendation for approval at their meeting on
September 16, 2024.
2. Proposed amendment to the Summerville Unified Development Ordinance,
Chapter 13, Section 13.3.6, Historic District/Board of Architectural Review,
Subsection B, Membership to increase requirement for members living in the
historic district from 3 to 5. Planning Commission held a public hearing and
made a recommendation for approval at their meeting on September 16, 2024.

AN ORDINANCE
TO AMEND THE SUMMERVILLE UNIFIED DEVELOPMENT ORDINANCE, CHAPTER
13, SECTION 13.3.4, TREE PROTECTION BOARD, SUBSECTION B, MEMBERSHIP, TO
INCREASE THE MEMBERSHIP FROM FIVE TO SEVEN.
WHEREAS, all Town Boards, Commissions and Committees, with the exception of the Tree
Protection Board, consist of seven members, and
WHEREAS, the Tree Protection Board currently consists of five members, and
WHEREAS, it is the desire of Council to have the membership of the Tree Protection Board
consistent with all other Boards, Commissions and Committees.
NOW, THEREFORE, BE IT ORDAINED by the Mayor and Council Members of the Town of
Summerville, in Council assembled, that:
1. The above recitals are hereby incorporated herein to the same extent as if set out
verbatim.
2. The Summerville Unified Development Ordinance, Section 13.3.4, Tree Protection
Board, Subsection B, Membership, is amended to read as follows:

REVIEW, SUBSECTION B, MEMBERSHIP, OF THE TOWN OF SUMMERVILLE
CODE OF ORDINANCES.
BE IT ORDAINED by the Mayor and Council Members of the Town of Summerville, in Council
assembled, that the Summerville Unified Development Ordinance, Section 13.3.6, Historic
District/Board of Architectural Review, Subsection B, Membership, is amended to read as follows:
13.3.4 HISTORIC DISTRICT/BOARD OF ARCHITECTURAL REVIEW
B. Membership: Seven (7) members comprised as follows:
1. One architect or architectural designer or someone knowledgeable in historic
building design and construction;
2. One member of a recognized art association;
3. One member of the Town Preservation Society;
4. One licensed real estate agent or appraiser; and
5. Three (3) residents of the Historic District.
6. Of the four designated seats, at least two of the four, must also be residents of the
Historic District. However, if no residents of the Historic District apply who meet
the qualifications of such seat, a qualified applicant that is not a resident of the
Historic District may be appointed by a unanimous vote of Town Council.

AMENDMENT TO SHEEP ISLAND DEVELOPMENT AGREEMENT
This AMENDMENT TO SHEEP ISLAND DEVELOPMENT AGREEMENT (the
“Amendment") is entered into effective as of the ___ day of _____________, 2024 (the
“Effective Date"), by and between HIC Land, LLC, a Florida limited liability company (“HIC”),
The Whitfield Company, LLC, a South Carolina limited liability company (“Whitfield”), and the
Town of Summerville, a political subdivision of the State of South Carolina (the “Town”).
RECITALS
This Amendment is predicated upon the following:
I. The Code of Laws of South Carolina (the “S.C. Code”) Sections 6-31-10 through 6-31-
160, as it exists on the Effective Date of this Amendment (the “Act”), enables political
subdivisions of the State of South Carolina to enter into binding development agreements with
entities intending to develop real property under certain conditions set forth in the Act.
II. Under S.C. Code §6-31-30, the Town Council adopted Town Ordinance Number 06-
1002, §§1-11, which was superseded by the Town of Summerville Unified Development
Ordinance (“UDO”), establishing procedures and requirements for considering and entering into
development agreements.
III. On September 24, 2020, the Town annexed certain real property (the “Real Property”)
owned by Whitfield (TMS No. 208-00-02-013) and zoned the Real Property as Planned Use
Development (PUD) District.

IV. Pursuant to the Act, the Town conducted public hearings regarding its consideration of a
development agreement (the “Sheep Island Development Agreement”) on May 14, 2020, and
June 11, 2020, after publishing and announcing notice, in accordance with the Act and the UDO.
V. The Town Council adopted Ordinance Number 20-0505 on September 24, 2020, (a)
determining that the Sheep Island Development Agreement was consistent with the Town
Comprehensive Plan, the Act, and the Current Regulations of the Town, and (b) approving the
Sheep Island Development Agreement.
VI. On October 5, 2020, HIC and the Town executed the Sheep Island Development
Agreement which was subsequently recorded in the Office of the Register of Deeds for Berkeley
County, South Carolina (the “ROD”) on October 8, 2020, in Book 3530 at Page 1; and re-
recorded on October 13, 2020, in Book 3537 Page 301.
VII. At the time of the execution of the Sheep Island Development Agreement, Whitfield was
the sole legal owner of the Real Property. Section 2(t) of the Sheep Island Development
Agreement defines the term “Property Owner” and notes that Whitfield has a legal interest in the
Real Property and HIC has an equitable interest in the Real Property by way of that certain
Agreement for Purchase and Sale by and between HIC Land, LLC and Whitfield (the “Purchase
Agreement”). Section 2(t) did not address that portion of the Real Property being retained by
Whitfield that is not subject to the Purchase Agreement.
VIII. Subsequent to the adoption and recording of the Sheep Island Development Agreement,
Whitfield conveyed portions of the Real Property to HIC pursuant to the terms of the Purchase
Agreement by the following deeds: (i) SHEEP ISLAND TRACT A (121.679 acres) by deed
dated January 30, 2023 and recorded January 31, 2023 in Book 4471, at Page 224 in the ROD
and (ii) TRACT- 2-1 (62.738 acres) and TRACT 2-2 (142.592 acres) by deed dated February 1,
2024 and recorded February 5, 2024 in Book 4771, at Page 459 in the ROD.
IX. As of the effective date of this Amendment, HIC continues to have an equitable interest
as the contract purchaser under the Purchase Agreement in those remaining portions of the Real

Property that are designated under the Sheep Island Tract PUD for single family attached and
detached residential development and which have not yet been conveyed to HIC. Whitfield
continues to own those portions of the Real Property which have not yet been conveyed to HIC
pursuant to the Purchase Agreement, and owns those portions of the Real Property designated
under the PUD for commercial and light industrial uses which are not subject to the Purchase
Agreement. Accordingly, the parties hereto desire to amend the Sheep Island Development
Agreement to add Whitfield as party thereto and to designate Whitfield as a Property Owner
thereunder.
X. With exception of (i) a shared entrance feature located on a portion of the Real Property,
(ii) storm water retention ponds and drainage facilities (the “Stormwater Drainage Facilities”),
and (iii) Facilities to be dedicated to the Town or other governmental entity in accordance with
the Sheep Island Development Agreement, there are no planned common areas or facilities that
will be shared by and between the residential Development Parcels and commercial/light
industrial Development Parcels. Whitfield and HIC previously entered into that certain Easement
Agreement dated and recorded on January 31, 2023, in the office of the Register of Deeds for
Berkeley County in Book 4471 at Page 246 (the “Easement Agreement”), which Easement
Agreement provides, among other things, for the maintenance of said entrance feature and
certain shared Stormwater Drainage Facilities. Because of the lack of other shared common
areas and facilities between the residential Development Parcels and commercial/industrial
Development Parcels and the differing character of such Development Parcels, the establishment
of a Master Property Owner’s Association (“MPOA”) as provided in Section 11.B of the Sheep
Island Development Agreement is unnecessary and will be unduly burdensome. Accordingly, the
parties desire to amend the Sheep Island Development Agreement to provide that in lieu of a
MPOA, a Property Owner’s Association (“POA”) shall be established for each Development
Parcel prior to the sale thereof by the Property Owner of such Development Parcel; provided,
however, that one or more Development Parcels may be subjected to a single POA. Except as
otherwise provided in the Easement Agreement, as the same may be amended, the Stormwater
Drainage Facilities will be maintained by the Property Owner of the Property on which such
Stormwater Drainage Facilities are located or which is served by such Stormwater Drainage
Facilities, or the POA designated for the maintenance of such Stormwater Drainage Facilities.

XI. The Parties hereto further desire to amend the Sheep Island Development Agreement to
clarify that certain provisions of Section 29 thereof shall not apply to a purchaser or lessee of all
or any portion of the Real Property who is the owner or lessee of a completed residential unit or
completed commercial unit on a Lot, and is the end user and not the developer thereof.
XII. The parties hereto further desire to amend the term of the Sheep Island Development
Agreement to conform to the provisions of S.C. Code Section 6-31-40.
XIII. Subject to the provisions of Section 6-31-80 of the Act, the Sheep Island Development
Agreement may be amended or canceled in whole or in part only by mutual consent of the
parties in writing or by their successors in interest.
XIV. Pursuant to the Act, the Town conducted a public hearing regarding its consideration of
this Amendment on _______________, 2024 after publishing and announcing notice, in
accordance with the Act and the UDO.
XV. The Town Council adopted Ordinance No. ________________________ on
_________________, 2024, (a) determining that this Amendment is consistent with the Town
Comprehensive Plan, the Act, UDO and current regulations of the Town; and (b) approving this
Amendment. A copy of the Ordinance is attached hereto as Exhibit A.
NOW THEREFORE, in consideration of the premises of this Sheep Island Development
Agreement and the mutual benefits to the parties, the parties agree as follows:
1. Incorporation of Recitals; Definitions. The foregoing recitals are true and correct and
incorporated herein as if set forth verbatim. Unless otherwise defined herein, capitalized terms
used in this Amendment shall have the meaning ascribed to such terms in the Sheep Island
Development Agreement. All references to Sections set forth herein shall refer to the Section
numbers contained in the Sheep Island Development Agreement.
2. Joinder of Whitfield. The Whitfield Company, LLC, a South Carolina limited liability
company, by virtue of its legal and equitable interest in portions of the Real Property subject to
the Sheep Island Development Agreement is hereby joined as a party to the Sheep Island
Development Agreement.

3. Title of Sheep Island Development Agreement. The title of the Sheep Island
Development Agreement is hereby amended to read as follows:
“SHEEP ISLAND DEVELOPMENT AGREEMENT BY AND BETWEEN HIC
LAND, LLC, THE WHITFIELD COMPANY, LLC, AND TOWN OF
SUMMERVILLE, SOUTH CAROLINA”
4. Definitions. Section 2(t) of the Sheep Island Development Agreement is hereby
amended by deleting Section 2(t) in its entirety and replacing it with the following:
2(t). “Property Owner” means HIC Land, LLC, a Florida limited
liability company, and The Whitfield Company, LLC, a South Carolina limited
liability company, together with all subsidiaries thereof and other entities, which
have a legal and/or equitable interest, on the date of execution hereof in any of the
Real Property as described in Section 5 and includes their successors in interest or
successors in title and/or assigns by virtue of assignment or other instrument
pursuant to Section 28 hereof. HIC has a legal interest in certain portions of the
Real Property that have heretofore been conveyed by Whitfield to HIC pursuant
to that certain Agreement for Purchase and Sale between HIC and Whitfield dated
November 5, 2018, as amended (the “Purchase Agreement”). HIC has an
equitable interest as the contract purchaser under the Purchase Agreement in those
remaining portions of the Real Property that are designated under the Sheep
Island Tract PUD for single family attached and detached residential
development. Whitfield has a legal interest in those portions of the Real Property
which have not yet been conveyed to HIC pursuant to the Purchase Agreement, as
well as a legal and equitable interest in those portions of the Real Property
designated under the PUD for commercial and light industrial uses which are not
subject to the Purchase Agreement. The Property Owner warrants that there are
no other entities other than HIC or Whitfield with an equitable or legal interest in
the Real Property except D.R. Horton, Inc., a Delaware corporation (“Horton”),

pursuant to that certain Lot Purchase Agreement between HIC and Horton dated
effective February 14, 2021.
5. Property Owner’s Association. Section 11.B of the Sheep Island Development
Agreement is hereby amended by deleting Section 11.B in its entirety and replacing it with the
following:
B. PROPERTY OWNER’S ASSOCIATION
Prior to or simultaneously with the sale or transfer of a Development
Parcel by a Property Owner to a third party purchaser, such Development Parcel
being sold or transferred shall be subjected to a recorded declaration of restrictive
covenants (a “Declaration”). Additionally, the Property Owner shall cause a
Property Owner’s Association (“POA”) to be established for the Development
Parcel being sold or transferred. When the POA is established pursuant to this
Section 11.B, membership in the POA will be mandatory for the owner of any
property located within such Development Parcel. The POA will be funded by
dues to be established pursuant to the Declaration. The POA’s responsibility will
be to manage the affairs of the POA including the enforcement of the Declaration
and the maintenance of common areas within such Development Parcel, including
any stormwater retention ponds and other stormwater drainage facilities located
within or serving such Development Parcel. A single POA may govern one or
more Development Parcels. The Declaration may also establish an Architectural
Review Board (ARB) to review and approve all structures and any additions or
improvements such as fences, ponds, garages, barns, etc. constructed on such
Development Parcel. This review will be for aesthetic purposes (e.g.: height,
architectural detail, materials, colors) and does not replace the building permit
review and approval by the Town Design Review Board. The Town will maintain
the Facilities that are accepted by the Town, pursuant to the applicable provisions
of the Current Regulations, upon tender by the Property Owner, provided said
Facilities are designed for construction in accordance with the specifications
approved by the Town, and provided further that the Facilities, as built, are in
good condition and not subject to any monetary lien.

6. Term of the Agreement. Section 17 of the Sheep Island Development Agreement is
hereby amended by deleting Section 17 in its entirety and replacing it with the following:
17. Term of Agreement. Pursuant to S.C. Code Section 6-31-40, this
Agreement shall expire on the tenth anniversary of the Effective Date (the
“Termination Date”); provided, however, that this Agreement may be renewed for
two (2) successive five (5) year periods upon the mutual written agreement of the
parties hereto, or their successors in interest, and absent a material breach of any
terms of this Agreement by the Property Owner during the initial or any prior
renewal term, as applicable, and in accordance with South Carolina case and
Statutory Law.
7. Notices. Section 30(h) of the Sheep Island Development Agreement is hereby
deleted in its entirety and replaced with the following:
30(h). Notices. All notices hereunder shall be given in writing by
certified mail, postage prepaid, at the following addresses:

8. Successors and Assigns. Section 29(a) of the Sheep Island Development Agreement
is hereby amended by deleting Section 29(a) in its entirety and replacing it with the following:
“29(a) Binding Effect. This Agreement shall be binding on the
successors and assigns of the Property Owner in the ownership or Development of
any portion of the Real Property or the Project. Except for owners or lessees of
completed residential units or completed commercial units on individual Lots who
are the end users and not the developer thereof, all purchasers, lessees or other
successors in interest of any portion of the Real Property shall be responsible for
performance of Property Owner’s obligations hereunder as to the portion or
portions of the Real Property so transferred. Owners and assignees of
Development Parcels other than the Property Owner named herein shall be
required to execute a written acknowledgment accepting and agreeing to the
Property Owner’s obligations in this Agreement, said document to be in
recordable form and provided to the Town at the time of the recording of any
deed transferring title to a Development Parcel or any portion of the Real Property
constituting Undeveloped Lands. Following delivery of such documents Property
Owner shall be released of any further liability or obligation with respect to said
Development Parcel or Undeveloped Lands.
This paragraph shall not be construed to prevent Property Owner from
obtaining indemnification of liability to the Town from third parties. Further,
Property Owner shall not be required to notify the Town or obtain the Town’s

consent with regard to the sale of fully developed Lots in commercial or
residential areas which have been platted and approved in accordance with the
terms of this Agreement.
This Agreement shall also be binding on the Town and all future Town
Councils for the duration of this Agreement, even if the Town Council members
change.
9. Town Approval of Amendment. This Amendment has been approved by Town
Council on the terms and conditions set forth herein and in accordance with the Act and the
UDO.
10. Binding Effect. This Amendment shall be binding upon, and the benefits of this
Amendment shall inure to, the Property Owner, and their respective successors and assigns in the
ownership or Development of any portion of the Real Property or the Project. This Amendment
shall also be binding on the Town and all future Town Councils for the duration of the Sheep
Island Development Agreement, even if the Town Council members change.
11. Recording. Within fourteen (14) days after execution of this Amendment, the Property
Owner shall record this Amendment with the County Register of Deeds.
12. Execution of Amendment. This Amendment may be executed at different times and in
any number of counterparts, each of which when so executed shall be deemed to be an original
and all of which taken together shall constitute one and the same agreement.
13. Miscellaneous. Except as modified by this Amendment, the Sheep Island
Development Agreement remains in full force and effect in accordance with its terms.

The building department uses building valuation data as published by the International Code Council
to determine the construction value of new construction. That valuation is used to calculate permit
and plan review fees. The International Code Council updates its valuation charts biannually, in
February and August. Currently, the Town uses the February 2022 values.
Please consider the proposal below to update these values to align with the August 2024 data.
