NOTICE IS HEREBY GIVEN that the Terrell City Council will conduct a Special City Council
Meeting and Workshop at 5:00 p.m. on Tuesday, September 21, 2021, at Terrell City Hall located
at 201 East Nash Street. The meeting is open to the public with limited seating in the Council
Chambers. Recommendations of the CDC regarding social distancing will be practiced during
the course of the public meeting to slow the spread of the Coronavirus (COVID-19).
If you choose not to attend in person and you wish to submit public comments, email
support@cityofterrell.org and title the email ”Public Comment”. All public comments submitted
by 12:00 pm on Tuesday, September 21, 2021 will be provided to the City Council members and
read into the record for the Tuesday, September 21, 2021 City Council Meeting.

BACKGROUND INFORMATION:
The dam at New Terrell City Lake (Flood Retarding Structure 87A) was determined to be out of
compliance with current flood protection requirements. City staff applied for a federal grant through
the Natural Resource Conservation Services (NRCS), which was awarded in 2013. Subsequently, a
grant at the state level was applied for and approved through the Texas State Soil and Water
Conservation Board (TSSWCB).
Freese & Nichols, Inc. (FNI) was awarded the design contract through the NRCS, preparing plans
and specifications as well as assisting us through the US Army Corp of Engineers permitting process
and flood easement acquisition.
Bids were received on August 25, 2021. At total of seven (7) bids were received. Upon review of the
apparent low bidder, Thalle Construction, Inc., NRCS and FNI have provided letters of
recommendation to award the contract in an amount not to exceed $14,330,000.00. The grants
obtained from NRCS and TSSWCB will cover 98.25% of the project costs. The City will be
responsible for the remaining 1.75% ($268,905.00)
A presentation will be provided at the Council meeting to summarize the work. Letters of
recommendation, a bid tab, and contract are included in the agenda packet.

Dear Mr. Mikeska:
We are in receipt of the bid recommendation provided by the Natural Resources Conservation Service
(NRCS) Texas office. These documents are attached and include the Recommendation of Contractor cover
letter, the Bid Tabulation, and the tabulated analysis of the bids relative to the Independent Government
Cost Estimate (IGCE) of $14,980,525.00.
A total of seven bid proposals were received at the Project bid opening on August 25, 2021, and the
apparent low bidder is Thalle Construction Co. with a bid of $14,180,000.00 for the base bid items plus
$150,000.00 for the alternate bid item. Our review of their bid package indicates that Thalle
Construction Co. has satisfactory capabilities, equipment, and experience on similar project types. Based
on this review, Freese and Nichols agrees with the NRCS findings and recommends that City of Terrell
award the construction contract to Thalle Construction Co. in the amount of $14,330,000.00, which is
inclusive of the base bid items and additive alternate bid item.

Thalle Construction Company, INC was apparent low bidder for the remedial repair of the Cedar
Creek Site 87A Rehabilitation project. Review of their bid and submitted references was
performed and is summarized below.
Review of References
Thalle Construction has previously performed repair work on several large dam rehabilitation
projects with the USACE and local municipalities. The submitted references show similar type
of projects in scope and scale as required by this project. It appears that Thalle Construction
has the appropriate equipment, manpower, and the general construction knowledge to complete
this project on time and within budget.
Review of Bid Tabulation
Review of the total bid, $14,330,000.00, shows to be slightly lower than the independent
government cost estimate (IGCE) of $14,980,525.00; 4.34% lower or ($650,525.00). The
average of all 7 bids is 21.46% higher than the IGCE.
The overall bid does not appear to be overly materially unbalanced. Two (2) of the contract
items (CINs); CIN 19, Diversions and CIN 49, Gate Valve, were substantially higher than the
IGCE at 7,400% and 400%; respectively but are considered minor components to the overall
project and represent 6.7% of the overall bid. In addition, there are twenty-four (24) of the fifty-
one (51) CINs that are greater than the IGCE by a range of 4% - 171%. Likewise, there are
twenty-four (24) of the CINs that are lower than the IGCE by a range of -10% to -80%. One (1)
of the CINs are equal to that of the IGCE. All the CINs of the remaining six (6) bids are greater
than the IGCE by a range of 27.5% to 1,446.7% with thirty-six (36) CINs being 100% or greater
over the IGCE. A full comparison with the IGCE is included as an attachment.
The higher unit prices and overall bids compared to the IGCE are consistent with bids received
on recent projects over the last several months. Independent market research also confirms
rapidly increasing material prices. In the current market it is unlikely that lower bid prices could
be obtained if this project was resolicited. Therefore, the received bid from Thalle Construction
is considered reasonable and of fair value to the Government and the Sponsor.
Recommendation
Based on past-experience of the contractors work and the review of the bid costs, I recommend
award of this contract to Thalle Construction Company, INC. I also conclude that this
Contractor represents the best value and results in the lowest overall cost alternative to meet
the Government's and Sponsor’s needs.

Thalle Construction Company, INC was apparent low bidder for the remedial repair of the Cedar
Creek Site 87A Rehabilitation project. Review of their bid and submitted references was
performed and is summarized below.
Review of References
Thalle Construction has previously performed repair work on several large dam rehabilitation
projects with the USACE and local municipalities. The submitted references show similar type
of projects in scope and scale as required by this project. It appears that Thalle Construction
has the appropriate equipment, manpower, and the general construction knowledge to complete
this project on time and within budget.
Review of Bid Tabulation
Review of the total bid, $14,330,000.00, shows to be slightly lower than the independent
government cost estimate (IGCE) of $14,980,525.00; 4.34% lower or ($650,525.00). The
average of all 7 bids is 21.46% higher than the IGCE.
The overall bid does not appear to be overly materially unbalanced. Two (2) of the contract
items (CINs); CIN 19, Diversions and CIN 49, Gate Valve, were substantially higher than the
IGCE at 7,400% and 400%; respectively but are considered minor components to the overall
project and represent 6.7% of the overall bid. In addition, there are twenty-four (24) of the fifty-
one (51) CINs that are greater than the IGCE by a range of 4% - 171%. Likewise, there are
twenty-four (24) of the CINs that are lower than the IGCE by a range of -10% to -80%. One (1)
of the CINs are equal to that of the IGCE. All the CINs of the remaining six (6) bids are greater
than the IGCE by a range of 27.5% to 1,446.7% with thirty-six (36) CINs being 100% or greater
over the IGCE. A full comparison with the IGCE is included as an attachment.
The higher unit prices and overall bids compared to the IGCE are consistent with bids received
on recent projects over the last several months. Independent market research also confirms
rapidly increasing material prices. In the current market it is unlikely that lower bid prices could
be obtained if this project was resolicited. Therefore, the received bid from Thalle Construction
is considered reasonable and of fair value to the Government and the Sponsor.
Recommendation
Based on past-experience of the contractors work and the review of the bid costs, I recommend
award of this contract to Thalle Construction Company, INC. I also conclude that this
Contractor represents the best value and results in the lowest overall cost alternative to meet
the Government's and Sponsor’s needs.

I am pleased to inform you that the Texas Department of Agriculture (TDA) has approved a Fire,
Ambulance and Service Truck (FAST) Fund award for the City of Terrell in the amount of $464,425 in
support of one (1) brush truck, two (2) cardiac monitors, five (5) SCBAs, (2) thermal imaging cameras,
two (2) vehicle extrication tool sets, thirty-five (35) sets of bunker gear requested by your community.
This program is administered in the State of Texas through the Texas Community Development Block
Grant (TxCDBG).
In an effort to ensure funds are spent in a timely manner, TDA requires any issues related to the
approved project to be addressed within ninety (90) days after the date of the award letter - (4 T.A.C.
30.31). According to our records, it appears that the City is delinquent with filing their Audit
Certification Form (ACF) for one or more TxCDBG projects (2020 ACF for contract No. 7218002).
Within ninety (90) days of the date on your award letter, please submit:
• the completed Audit Certification Form(s), for all instances of delinquency, using our ONLINE
form here:

Additionally, for the purposes of the FAST Fund, awardees are required to initiate procurement
activities and the environmental review process immediately upon award. Awardees will have 90-days
to submit evidence verifying:
1. Completion of the environmental review; and
2. Completion of competitive procurement.
FAST 2020 Pre-Agreement
TxCDBG may reimburse funded applicants for certain administrative costs incurred prior to the
TxCDBG Contract Start Date based on the Pre-Agreement Stratagem. For the purposes of the 2020
FAST fund:
• Pre-agreement costs are limited to those administrative costs necessary to complete the
environmental review process and competitive procurement of the project vehicle(s) and/or
equipment within 90 days of award.
• The pre-agreement period begins on the most recent, published FAST application due date and
ends on the FAST contract start date.
Awardees may only proceed under the Pre-Agreement Stratagem, if their authorized signatory
completed, signed and submitted the Pre-Agreement Cost Approval Certification included in the FAST
application.
FAST 2020 Environmental Review
The environmental review process must be completed within 90 days of award, but prior to
completing vehicle/equipment procurement. Categorically Excluded Not Subject To 58.5 is the
required level of environmental review for FAST. Awardees must use the form A303 “Exempt or
Categorical Exclusion No Subject To 58.5”. In order to initiate the environmental review process,
awardees must submit the following to TDA’s Environmental Specialist:
• Letter from the Grant Recipient’s Certifying Officer supporting the Categorical Exclusion level of
review; and
• Form A303 – Exempt or Categorically Excluded Not Subject to 58.5;
Please see Chapter 3: Environmental Review in the TxCDBG Implementation Manual for a complete
description of the environmental review requirements associated with TxCDBG contracts. The
environmental review is not considered complete until TDA issues an Authorization to Use Grant
Funds (AUGF) to the Awardee. All questions regarding the Environmental Review should be sent to
TDA’s Environmental Specialist at CDBG_EnvReview@TexasAgriculture.gov.
FAST 2020 Procurement
Competitive procurement of equipment and/or vehicle(s) must be completed within 90 days of award,
but only after completion of the environmental review. Procurement is considered complete
for the purposes of this 90-day condition when an award is made by the local governing body, which
may be contingent on TDA funding. Awardees may choose to purchase vehicle(s) and/or equipment
through either sealed bid procurement, a third-party purchasing cooperative, such as the Texas
Association of School Boards “Buy Board” or the Houston-Galveston Area Council “HGACBuy” or the
small purchase process (if eligible). Please see Chapter 5: Procurement, in the TxCDBG
Implementation Manual for a complete description of the procurement requirements associated with
TxCDBG contracts.

A RESOLUTION OF THE CITY OF TERRELL, TEXAS, AUTHORIZING
PROFESSIONAL SERVICE PROVIDER SELECTION FOR A FAST GRANT
THROUGH THE TEXAS DEPARTMENT OF AGRICULTURE (TDA)
WHEREAS, participation in the FAST Grant Program requires implementation by professionals
experienced in the administration/project delivery of federally-funded projects and in the creation of
planning documents; and
WHEREAS, in order to identify qualified and responsive providers for these services a Request for
Proposals (RFP) process for administration services has been completed in accordance with the TDA
requirements; and
WHEREAS, the proposals received by the due date have been reviewed to determine the most qualified
and responsive provider for the professional service giving consideration to ability to perform
successfully under the terms and conditions of the proposed procurement, integrity, compliance with
public policy, record of past performance and fmancial and technical resources.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
TERRELL, TEXAS:
Section I.
That Public Management, Inc. is selected to provide application and project-related
administration/project delivery services for a 2020 FAST grant for the City of Terrell, Texas.
Section II.
That a cost-price analysis has been conducted and determined the proposed fee to be appropriate and
reasonable based upon program requirements and rules.
Section III.
That any and all project-related services contracts or commitments made with the above-named service
provider is dependent on the successful negotiation of a contract with the service provider.
Section IV.
That the City Council authorizes the City Manager to negotiate and execute a contract with the service
provider consistent with this Resolution.
Section V.
This Resolution shall be effective immediately after its passage.

WHEREAS, the City of Terrell will use Criminal Justice Division funds to purchase equipment
for the Terrell Police Department; and
WHEREAS, the City of Terrell will not use funds for any of the specifically prohibited uses; and
WHEREAS, the City of Terrell is eligible to participate in this program as a unit of local
government; and
