Unapproved Minutes Council Special Session September 2, 2025 Tuesday 12:00 noon The special session of the City Council, City of Vermillion, South Dakota was held on Tuesday, September 2, 2025, at 12:00 noon at the John “Jack” Powell Conference Room. 1. Roll Call Present: Thaler, Leber, Price, Holland, Jennewein, Murra, Mayor Cole Absent: Hellwege, Cheeseman 2. Adoption of Agenda 638-25 Council Member Holland moved approval of the agenda. Council Member Thaler seconded the motion. Motion carried 7 to 0. Mayor Cole declared the motion adopted. 3. Visitors to be Heard Jim Goblirsch, Parks and Rec Director, stated they are working with Mammoth on the Pickleball and Tennis Courts. Jim noted they are having issues with the courts being level due to a malfunction in a piece of equipment. Jim noted that the contactor is working to fix the areas that are not level. 4. Board/Committee Spotlight – Planning and Zoning – Jose Dominguez Jose Dominguez, City Engineer, presented on the Planning and Zoning Commission. Jose stated this commission makes decisions on health, safety, and general welfare. Jose reviewed the state and city regulations for this commission. Jose noted that each individual is appointed to a 5-year term by the council and the current members have many different areas of expertise they bring to the table. 5. Future Sanitary Sewer Rates – Katie Redden Katie Redden, Finance Officer, presented on future sanitary sewer rates due to the Wastewater Facility improvements. Katie reviewed expected costs and year-to-date costs. Katie reviewed the requirements for the $23.1 million bond, and the sewer increases that have already taken effect. Katie reviewed the increases if a lower amount of a loan was taken out. 6. Briefing on the September 2, 2025 City Council Regular Meeting Council reviewed items on the agenda with City Staff. No action was taken. 7. Adjourn 639-25 Council Member Murra moved to adjourn the Council special session at 12:42 p.m. Council Member Leber seconded the motion. Motion carried 7 to 0. First reading of Ordinance 1538 to amend Title XV, Land Usage; Chapter 155 Zoning Regulations; Section 155.026 rezoning Lot 2B, Michels Addition; City of Vermillion, Clay County, South Dakota from the R-2 Residential and R-4 Residential Districts to the R-3 Residential District. Jose Dominguez, City Engineer, reported on the first reading of Ordinance 1538 to amend Title XV, Land Usage; Chapter 155 Zoning Regulations; Section 155.026 rezoning Lot 2B, Michels Addition; City of Vermillion, Clay County, South Dakota from the R-2 Residential and R-4 Residential Districts to the R-3 Residential District. Jose stated that William Wood, owner of the land, requested that the City rezone his property from R-2 Residential District and R-4 Residential District to R-3 Residential District. Jose noted the area is roughly 1.28 acres and existing use surrounding the property are mobile homes to the north, a vacant lot to the west, an apartment to the east and a parking lot to the south. Jose noted the City provided Mr. Wood with information to contact the owners of 38 properties which covered 751,296 square feet. Jose noted for the meeting to occur, Mr. Wood had to collect signatures from the owners of at least 338,083 square feet, or 45% of the aggregate area. Mr. Wood collected signatures from owners of nine properties who owned 370,760 square feet. Jose stated Mr. Wood’s desire for rezoning his property is to redevelop the area in the future into apartments and the property is currently split between two zoning districts. Jose noted this means that only the south portion can have apartments, and the apartments would not allow for the density desired by the owner. Jose noted zoning this lot into the R-3 Residential District should not negatively impact the neighborhood since this area already has residential uses and is bounded to the east by apartments, to the north by mobile homes and to the south by a parking lot. Jose stated if apartments are constructed, the off-street parking requirements may limit the size of the new construction since parking will need to be provided. Jose reported this item was considered by the City’s Planning and Zoning Commission at their August 25th meeting. Jose stated a letter in opposition of the rezone from a resident that lives in the area being rezoned was read by Staff and a member of the public in attendance also expressed opposition to the rezone since it would displace people that reside in the area. Jose noted the owner, owner’s representative and the VCDC spoke in favor of the rezone. Jose stated after discussion, the Commission voted 4-2 to recommend the City Council adopt the rezone as proposed. Jose noted the unapproved minutes of the Planning and Zoning Commission are included in the packet as is the letter from neighbor Julie Berry. Jose stated Staff is aware that the existing residents in the area may be displaced by possible future development caused by the rezone, by an expiration of the lease contract (currently the residents are on 30-day lease agreements), or by a change in rent. Jose noted the displacement of the residents cannot be stopped by the City and in all these instances the displacement is a civil matter between the owner of the mobile homes and the owner of the land. Jose stated that the Council could delay the zoning amendment to give time for the residents to move their trailers or find different living arrangements. Jose read a letter from Julie Berry of 447 N. Plum #53. Jose read that Julie is opposed to this due to living here for an extended period. Jose read that Plum Vista has been her home, and she raised her family here. Jose read that finding a different home would be difficult due to the lack of affordable housing in Vermillion. Julie wrote that she hopes the Council votes no on this rezone. Jim Peterson, VCDC CEO, stated that mobile homes are personal property and this location is a 30-day lease. Jim noted that he understands the human side, that this would displace six families. Jim noted that Mr. Wood would work with these families and would not do anything here for a while. Jim recommends the Council vote yes on this. William Wood, Property Owner, stated there are misconceptions about what is going to happen at this property. William said there will be changes at this property. William stated that he will help the people how he can. William said he is here to do this the correct way and work with the current tenants and won’t do anything until June 1st, 2026. Council Member Cheeseman asked Mr. Wood what type of assistance he would be willing to do, if it’s not financially. William Wood stated that he would work with other trailer courts to help find ways to move them if that is possible. Discussion followed on the zoning in this area and the timing of the non-conforming use of the trailers in this area. Council Member Hellwege appreciates Mr. Wood’s willingness to be here and to work with the tenants. Hellwege discussed having a delay rezoning, so people do not feel rushed to get their resources in order. Hellwege would like the body to consider guidelines for the future for delayed rezonings. Hellwege asked if he has any properties they would be able to relocated to. Hellwege also asked if there are plans for future parking. William Wood stated that he is focusing on rezoning and getting people the time they need to get their things in line. Discussion followed on the future use of this area. Council Member Hellwege asked if there are available grants to be awarded to help individuals move. John Prescott, City Manager, stated that in 2017 South Dakota Housing helped with some grants, but it was not for moving the trailers. John noted that they could use it for fixing the trailers up. Council Member Hellwege asked how much it would cost to move the trailer. John Walker, Walker Construction, stated that it depends on the trailer, but it would be about $4,000 per trailer. Council Member Hellwege asked if the individuals cannot afford to move their trailers would he seek judgement on them. William Wood stated that it would be wrapped into the cost of the project. Discussion followed on the delay of the rezone. Council Member Hellwege stated that what she doesn’t want to see is making this change and then seeing the property sit empty for a long period of time. Council Member Thaler asked Jose if a delayed rezoning would stop Mr. Wood from moving forward with a building permit. Jose stated that a building permit would not be able to be pulled until the day after the delayed rezone. Mayor Cole thanked Mr. Wood for being transparent and saying all of this on record. Council Member Murra stated that Mr. Wood is setting the June 1st, 2026 date therefore it’s not going to hurt if the rezone passes the way it currently is. Discussion followed on the delay. 645-25 Mayor Cole read the title to the above-mentioned Ordinance and Council Member Murra moved adoption of the following Resolution: BE IT RESOLVED that the minutes of this meeting shall show that the title to proposed Ordinance No. 1538 entitled An Ordinance Amending Title XV, Land Usage; Chapter 155 Zoning Regulations; Section 155.026 rezoning Lot 2B, Michels Addition; City of Vermillion, Clay County, South Dakota from the R-2 Residential and R-4 Residential Districts to the R-3 Residential District of the City of Vermillion, South Dakota has been read and the Ordinance has been considered to advance to the second reading at this meeting being a regularly called meeting of the Governing Body of the City on this 2nd day of September, 2025 at the Council Chambers in City Hall in the manner prescribed by SDCL 9-19-7 as amended. The motion was seconded by Council Member Thaler. After discussion the question of adoption of the Resolution was put to a roll call vote of the Governing Body was as follows: Thaler – Y, Leber - N, Price - N, Holland - N, Jennewein - N, Hellwege - N, Cheeseman - N, Murra - Y, Mayor Cole - N. Two members voted in favor of and 7 members voted in opposition to the motion. Special Daily Wine and Cider License for Vermillion Cultural Association on or about September 27 from 9:00 a.m. to 8:00 p.m. & September 28, 2025 from 9:00 a.m. to 4:00 p.m. at the Pocket Park next to the Coyote Twin Theater for the 2025 Vermillion Vortex Film Festival. Nick Doty, Assistant to the City Finance Officer, reported on a Special Daily Wine and Cider License for the Vermillion Vortex Film Festival with the Vermillion Cultural Association on or about September 27 and 28 in the Pocket Park next to the Coyote Twin Theater. Nick stated the Coyote Twin already has malt beverage and wine licenses, but in order for them to use the Pocket Park they will need a Special Daily License. Nick noted that the Police Chief discussed safety measures with management of the Coyote Twin, and there were no other violations that would precure them from obtaining this license. 647-25 Council Member Holland moved approval of the Special Daily Wine and Cider License for Vermillion Cultural Association on or about September 27 from 9:00 a.m. to 8:00 p.m. and September 28, 2025, from 9:00 a.m. to 4:00 p.m. at the Pocket Park next to the Coyote Twin Theater for the 2025 Vermillion Vortex Film Festival. Council Member Price seconded the motion. Motion carried 9 to 0. Mayor Cole declared the motion adopted. Council Member Cheeseman excused himself at 7:34 p.m. 7. Old Business 8. New Business A. Review the use of malt beverage markup receipts collected, a proposal to use funding during the 2026 budget year, and public input on the continuation of the wholesale license fee. John Prescott, City Manager, reported that, during 2015 with the development of the ordinance to implement a 5% markup on the wholesale cost of malt beverages, staff included an annual update to the community in the proposal. John stated that license holders were provided notice that this item was included on tonight’s agenda. John stated that the ordinance implementing the 5% markup on the wholesale cost of malt beverages became effective on July 1, 2015. John reported that for six months of 2015 the revenue was $64,188, 2016 the revenue was $116,455, 2017 the revenue was $123,293, 2018 the revenue was $129,066, 2019 the revenue was $136,195, 2020 the revenue was $148,981, 2021 the revenue was $161,959, 2022 the revenue was $162,072, 2023 the revenue was $153,536, 2024 revenue was $143,989 and for the first seven months of 2025 the revenue was $81,929. John reported that all the proceeds from the collection in the revised 2025 budget and proposed 2026 budget were placed in the Prentis Park Debt Service fund to repay the general obligation bond that was issued for park improvements. John stated that the debt service for 2016 was $201,455, for 2017 was $197,067, for 2018 was $195,817, for 2019 was $194,755, for 2020 was $197,255, for 2021 was $199,655, for 2022 was $197,725, 2023 is $195,700, 2024 is $197,905, and for 2025 is $195,315. The markup is projected to generate $150,000 in 2026 against debt service of $197,725. John stated that the City Council should receive public input on the continuation of the wholesale license fee. 648-25 Council Member Murra moved to close the public input on the malt beverage markup and continue the wholesale license fee at 5% with the proceeds being used to retire the general obligation bond issued for Prentis Park improvements. Council Member Price seconded the motion. Motion carried 8 to 0. Mayor Cole declared the motion adopted. B. Human Relations Commission appointment. Mayor Cole recommended appointing Jordan Bonstrom to the Human Relations Commission. 649-25 Council Member Jennewein moved approval of appointing Jordan Bonstrom to the Human Relations Commission. Council Member Murra seconded the motion. Motion carried 8 to 0. Mayor Cole declared the motion adopted. C. Resolution fixing the time and place for a hearing and notice of hearing on the Special Assessment Roll for Nuisance Abatement. Katie Redden, Finance Officer, reported that, as part of the nuisance abatement process, the City incurred costs for tagging, hiring contractors to mow or remove the snow and remove debris. Katie reported that the State statute provides for the special assessment of these costs and requires that the City Council set a public hearing date, notify the property owners by sending notice and publishing the notice of hearing. The resolution will set a public hearing date of October 6, 2025, and provides for notice to be published and mailed to the property owners. John Prescott, City Manager, reported that the proposed budget was presented to the City Council on August 4th and the Council held hearings to review the budget on August 13th. John thanked the City Council for the time spent meeting with all the departments to refine the budget. John reviewed some of the major items that are included in the 2026 budget ordinance. Alex Ruth, Assistant to the City Manager, reported on a resolution for the Pro Forma Asset transfer of Bluepeak cable franchise. Alex stated Clarity Telecom, LLC, d/b/a Bluepeak is moving the cable television assets to a wholly owned subsidiary. As the cable television assets are being transferred from one company to another, the cable television franchise agreement requires City Council approval of the transfer. Alex stated a copy of a letter from Bluepeak explaining the transfer of assets is included in the packet. The transfer of the assets will not result in changes to the services, rates, terms, or conditions that are currently offered by Bluepeak. The franchise agreement only pertains to the cable television assets. The franchise agreement does not govern the fiber or internet assets of Bluepeak. Alex noted the City Council is asked to consider granting consent to the Pro Forma Asset transfer and the adoption of the attached Resolution. 653-25 After reading the same once, Council Member Holland moved adoption of the following: RESOLUTION CONSENTING TO A TRANSFER OF CONTROL OF FRANCHISE WHEREAS, Clarity Telecom, LLC ("Franchisee") currently holds a cable television franchise ("Franchise") granted by the City of Vermillion ("Municipality") authorizing Franchisee to own and operate a cable television system in the Municipality; and WHEREAS, Franchisee intends to undertake a series of internal transactions (the "Pro Forma Asset Transfer") that will result in the transfer of the Cable TV system and franchise to an indirect, wholly owned subsidiary of Franchisee to be designated at closing ("Bluepeak Subsidiary"). Bluepeak Subsidiary will assume all duties, rights and responsibilities pertaining to the operation of the Cable TV System pursuant to the Franchise granted by the Municipality, which will continue unchanged in full force and effect. Bluepeak Subsidiary will be managed and operated by Franchisee in all material respects, and the Pro Forma Asset Transfer will not result in any change to the services, rates, terms, or conditions currently offered by Franchisee; and WHEREAS, Franchisee and Bluepeak Subsidiary, requested that Municipality consent, to the extent required, to the Pro Forma Asset Transfer as described in the FCC Form 394 (Application for Franchise Authority Consent to Transfer of Control of Cable Television Franchise) filed with Municipality ("394 Application"); and WHEREAS, Municipality has reviewed the 394 Application and will consent to the Pro Forma Asset Transfer as described in the 394 Application. NOW THEREFORE BE IT RESOLVED, by the Governing Body of the City of Vermillion, South Dakota as follows: 1. Municipality consents to the transaction and resulting Pro Forma Asset Transfer. 2. Municipality confirms the Franchise is valid and in full force and effect. 3. The Finance Officer is authorized to enter into, execute, and deliver on behalf of Municipality this consent, along with other documents as may be necessary evidencing this Resolution without further action by this governing body. Alex Ruth, Assistant to the City Manager, reported in 2023, the City used funding from the State Historic Preservation Office to hire a consultant to review the building and prepare a Historic Preservation Plan for the building. Alex noted one of the four priority needs that was identified in the study was to repair the cupola. On April 10, 2024, the City received notice that a $14,000 grant had been awarded. The City is required to expend the funding for the work and is reimbursed grant funding on a dollar-per-dollar spent basis. Alex noted the City is also required to file a restrictive covenant with the Register of Deeds office before reimbursement is possible. The covenants run for eight years following the filing date and require the City as Grantee to maintain the improvements during that time, notify the State of any work that would impact the improvements that the grant funds are utilized for, and to notify the State of any changes in ownership. Alex stated Staff requested quotes from five contractors that were listed on the State Historic Preservation Office as consultants or contractors who work in or contribute to the historic preservation fields. Two contractors responded and provided a quote. Alex noted the first quote from Restoric, LLC of Michigan City, IN mentions that the cupola restoration is a lump sum item that includes removal, restoration of existing material, replacement of any non- feasible or rotted material, and contingent replacement material. Alex stated any support materials (ex., scaffolding) would be locally rented and reimbursed to the contractor at cost and the estimate attached includes contingencies. Their estimate was $83,167 for the dome restoration on the cupola, and a site visit with a final not-to-exceed price would be determined after the site visit. Per the estimate, Option B (estimated additional $13,300) outlines the cost to restore the interior laylight within the cupola. The City anticipates the final not-to-exceed price of bids to be greater than $96,467. Alex stated the second quote from Scott Petersen Construction, Inc. of Tyler, MN proposed removing, repairing, and restoring an interior window located below the cupola for $9,400. Currently, there is no scope of work for the cupola until interior inspections can be made. However, the work that is proposed allows Mr. Petersen to access the interior of the cupola to understand what work needs to be done to restore the cupola. Also, Mr. Peterson could be here later this year to perform work and evaluate what is needed. Council Member Holland asked if there is a timeline for the use of this grant. Alex noted that an extension may be needed. Lenni Billberg, on the Library Board, would like to get this fixed and restore this building even if it is a piece at a time. 654-25 Council Member Holland moved approval of having Scott Peterson fix the window and give estimate on additional work needed. Council Member Price seconded the motion. Motion carried 8 to 0. Mayor Cole declared the motion adopted. H. Declaring a piece of equipment surplus. Jose Dominguez, City Engineer, reported that in 2016 the City purchased a used airport tug to move airplanes. In addition to the City’s tug, USD also has their own tug. USD purchased a different tug to replace their current one, in which they are gifting the City with their old tug. Jose noted due to this, the City has a 1950s Army surplus airport tug that is no longer needed, and Staff would like to sell it. Jose noted this piece of equipment will be sold on Purple Wave and the proceeds of the equipment will go into the Equipment Replacement fund. 655-25 Council Member Holland moved approval of declaring the 1950s Army Airport Tug surplus. Request to close Main Street from South Norbeck Street to High Street on Friday, September 19, 2025 from 1:00 p.m. to 3:00 p.m. for the Vermillion High School homecoming parade. Alex Ruth, Assistant to the City Manager, reported that the Vermillion School District has requested to close Main Street from the Vermillion High School parking lot west to High Street for routing and/or staging of the Vermillion High School homecoming parade on Friday, September 19, 2025 from 1:00 p.m. to 3:00 p.m. Alex stated that the parade will begin at the intersection of Anderson Street and East Main Street as the high school parking lot will provide space to stage the floats and vehicles associated with the parade. Alex noted that the parade will use a moving barricade system where the street will be closed as the parade passes but will not be closed for the entire 120 minutes requested. Alex noted that a variety of City Staff members will be used to monitor intersections and restrict traffic as the parade is passing. John reported on three meetings or events before the next City Council meeting on Monday, September 15:  The Human Relations Commission meets on Thursday, September 4 at 5:30 p.m. in the Mamura Conference room at City Hall.  The Planning & Zoning Commission meets on Monday, September 8 at 5:30 p.m. On their agenda is consideration of a rezoning request for 1313 W. Cherry Street. The request is to rezone from General Business to R-3. It is anticipated that the item will be part of the September 15 City Council agenda.  The City’s Historic Preservation Commission meets on Wednesday, September 10 at 9:00 a.m. in Powell Conference room at City Hall. B. John noted there will be a public hearing at the September 15 City Council meeting as part of the Boys & Girls Club making an application for a CDBG award. C. John stated the City is conducting a survey on housing through September 26. Survey results will help identify how repair needs of existing housing stock to help maintain viability and to determine how best to spend the $20,000 of grant funding recently awarded. Random group of addresses received postcards alerting them of the survey. Find the survey on the City’s website or there are paper copies at the Library and City Hall. D. John noted one three-year term on Business Improvement Board #1 remains available. The term is reserved for an owner or manager of a lodging property participating in the BID collection. Please contact City Hall if qualified and interested in serving. E. John stated three three-year terms on the City’s Historic Preservation Commission are expiring in September. At least one of the terms needs to be filled by someone who lives in a historic district or owns a registered historic property. John reported on two raffle notifications: The Vermillion Eagles will be selling $5 raffle tickets on October 19, 2025, December 7, 2025, and January 25, 2026. It is a 50/50 drawing with the winner receiving half of the pot and a non-profit organization receiving the other half. The three beneficiaries are: Vermillion High School Dance team, Vermillion Baseball program, and South Dakota Special Olympics. The USD Foundation is selling $20 raffle tickets from September 25, 2025 to April 18, 2026. The prize is a red Challenger 300E 4x4 valued at $4,000.
