Village of Walden Board of Trustees ORGANIZATIONAL MEETING April 4, 2023 Mayor Ramos called the organizational meeting of the Village of Walden Board of Trustees to order at 6:00 pm. On roll call the following were: Present: Mayor John Ramos Deputy Mayor Willie Carley Trustees Kristie Hall Chris Batson Becky Pearson Not Present: Ralph Garrison Patricia Maher Also Present: John Revella, Village Manager Marisa Kraus, Village Clerk Kelly A. Kelly, Village Treasurer Dave Donovan, Village Attorney Appointments of the Mayor Mayor Ramos appointed Willie Carley as Deputy Mayor. Appointments of the Board of Trustees Deputy Mayor Carley moved to re-appoint the firm Dickover, Donnelly, & Donovan as Village Attorney. Seconded by Trustee Hall. All ayes. Motion carried. Trustee Batson moved to re-appoint Lanc & Tully as Village Engineer. Seconded by Deputy Mayor Carley. All ayes. Motion carried. Deputy Mayor Carley moved to appoint Bill Pullar as Ethics Board member with term ending April 1, 2028. Seconded by Trustee Pearson. All ayes. Motion carried. Trustee Batson moved to re-appoint Joseph W. Coburn IV as the Special Prosecutor. Seconded by . Trustee Pearson. Motion carried. Trustee Hall moved to re-appoint Naughton & Torre as the Conflict Counsel. Seconded by Deputy Mayor Carley. Motion carried. Trustee Batson made a motion to appoint Rev. Jim Van Houten, Ani Kunga, James O’Connell, Nava Herzog, Gary Swinger, Nicole Hanley. Father Thomas Callucci as the Police Department Chaplains. Seconded by Trustee Hall. All ayes. Motion carried. Deputy Mayor Carley made a motion to re-appoint RBT as Auditors. Seconded by Trustee Batson. 1 All ayes. Motion carried. Designations of the Board of Trustees Deputy Mayor Carley made the motion to designate the Wallkill Valley Times and Times Herald Record as official newspapers of the Village. Seconded by Trustee Batson. All ayes. Motion carried. Deputy Mayor Carley made a motion to designate Key Bank, Chase Bank, M&T Bank, Webster Bank, T Rowe and Orange Bank & Trust as official depositories for the Village of Walden. Seconded by Hall. All ayes. Motion carried. Resolutions of the Board of Trustees Resolution 25-22-23 , Setting the Dates, Times & Locations of Board Meetings Trustee Hall moved to adopt Resolution 25-22-23 setting the dates, times and locations of Board meetings. Seconded by Trustee Batson. All ayes. Resolution carried. Resolution 26-22-23, Adopting an Investment Policy for the Village of Walden Trustee Batson moved to adopt Resolution 26-22-23 adopting an investment policy for the Village of Walden. Seconded by Deputy Mayor Carley. All ayes. Resolution carried. Resolution 27-22-23 Adopting a Procurement Policy for the Village of Walden Trustee Hall moved to adopt Resolution 27-22-23 adopting a procurement policy for the Village of Walden. Seconded by Trustee Batson. All ayes. Resolution carried. Resolution 28-22-23 Adopting Fund Balance Deputy Mayor Carley moved to adopt Resolution 28-22-23 adopting a fund policy for the Village of Walden. Seconded by Trustee Hall. All ayes. Motion carried. Appointments of the Village Manager Appointment of Acting Village Justice – Sean Hoffman Appointment of Deputy Village Clerk – Maria Tapia Appointment of Registrar of Vital Statistics – Marisa Kraus Appointment of Deputy Registrar of Vital Statistics – Maria Tapia Appointment to Village Historian – Mel Wesenberg and Mary Ellen Matise Discussion Village Fees Manager Revella: You should have received updates in your boxes. There's a couple of minor ones. I'll try and highlight if I can. The miscellaneous fees schedule really did not change much at all. The planning and zoning fee schedule. The escrow amounts in the top, last year, didn't match the bottom, so we just made them match. The only change on that one. Public Works fees. They were updated in accordance with the new pricing structure for the meter parts. A couple went lower. Few went higher. The Rec fee schedule they took away some things were no longer in use. We don't rent out paddle boats anymore, for example. Things were redundant in there and we just cleaned it up. 2 Trustee Batson: Miscellaneous fees, I see there are taxi fees on here. Are there any fees that are associated to moving people through other parties such as Uber or Lyft? Manager Revella: No. Just so you know, you also can't really regulate for medical transport either. Not subject to the regulations. Trustee Pearson: The park schedule, has that changed at all or is it the same as last year? Manager Revella: We removed a few items. Trustee Pearson: Anything else is staying the same? Manager Revella: Pretty much. Trustee Pearson: I had asked for reports before we were to go into fees and into budget about the programs in parks. I haven't received that yet. Are we going to get that soon? Manager Revella: Tomorrow or tonight after the meeting. Trustee Pearson: We can adjust this at any time if we want to. Manager Revella: Absolutely. Mayor Ramos: TBD, can you expand? Manager Revella: There could be other pricing that's not on this list that we don't know about that are needed. And if they are, they'll be at cost usually. Mayor Ramos: Frozen meter repair will be at cost, correct? From the contractor or from us? Manager Revella: Depending what happens. So, if someone breaks their meter from whatever negligence might happen, then depending on the parts that to be replaced, it'll be on this fee schedule. Trustee Pearson: We do feel that the prices are high enough because everything has gone up, you don't need to adjust anything? Manager Revella: For the parts, usually it's because they're installing them or have a contractor install them. So, we just charge them for the price of the product. If we have to go, if you see below, water emergency rates. If our guy has to go they're going to pay the rate below on top of that. Trustee Hall made a motion to approve village fee schedules. Seconded by Trustee Batson. All ayes. Motion carried. Motion to Adjourn Deputy Mayor Carley made a motion to adjourn. Seconded by Trustee Hall. All ayes. Meeting adjourned. 3
