REGULAR MEETING MINUTES: 1 SEPTEMBER 12, 2023 MINUTES FOR THE REGULAR MEETING OF THE MAYOR & COUNCIL OF THE BOROUGH OF WALDWICK HELD ON TUESDAY, SEPTEMBER 12, 2023 AT 7:30 PM Mayor Giordano called the meeting to order and read the Statement of Compliance. Mayor Giordano asked for a roll call. Present on roll call: Mayor Giordano, Ms. Cericola via phone, Mr. Ritchie, Mr. Schatz, Mrs. Sherman and Mrs. Weber. Mr. Sciolaro was absent. Also present: Steven J. Neale, Borough Administrator; Matthew Guilder, Grants Administrator; Kelley Halewicz, Municipal Clerk and William Hutcheson for Borough Attorney Craig Bossong. Mayor Giordano asked everyone to join in the Pledge of Allegiance, remain standing for a moment of silence honoring our Veterans and to remain standing for the prayer. PROCLAMATIONS & PRESENTATIONS Mayor Giordano read the following proclamations: a. Proclamation Supporting Childhood Cancer Awareness Month b. Proclamation Supporting National Ovarian Cancer Awareness Month c. Proclamation Recognizing the Month of September as Hunger Action Month d. Proclamation National Suicide Prevention & Action Month MAYOR’S REPORT AND REPORTS OF COMMITTEES Mayor’s Report. Mayor Giordano thanked the Beautification Committee for their work in Borough Park with Kerry’s Garden as well as the for all the work the committee does to beautify the town. Mayor Giordano was pleased to see all the Council Members at the 9-11 Ceremony and the first time the Borough has run the event. We look to expand the program next year and possibly move it to another location. Mayor Giordano mentioned Rosh Hashanah begins at sundown on Friday and wished all resident celebrating the New Year a year filled with joy and peace. Financial & Administrative Committee. No report. Fire & Police Protection Committee. Ms. Cericola reminded the public about Waldwick PD Warrior Night Out on October 20, 5:00 pm – 8:00 pm at the Superdome. Public Safety Committee. Mrs. Sherman reported on attending the WALVAC August 21 meeting. They have medical equipment available for residents to borrow including wheelchairs, crutches and canes. WALVAC trained 27 Borough employees in CPR/AED. Mrs. Sherman attended the 9-11 Ceremony; September 13 the Library is offering a hands-on CPR course; September 23 they will be doing standby for the Wyckoff Fireworks; they have been covering the WHS Football games. The Corps wished to thanked the residents for their donations which they use to purchase medical equipment, oxygen and bandages to use during calls. For the month of August, they had 34 calls, with 20 REGULAR MEETING MINUTES: 2 SEPTEMBER 12, 2023 members responding and one member went on 26 of those calls. Of those calls, 7 were to The Bristal with year to date 47. Recreational & Health Committee. Mrs. Weber mentioned that tomorrow night is the last Summer Concert which is being moved indoors in the Council Chambers. Christine Spero Duo will start at 7:00 pm. Mr. Weber also mentioned the Library Halloween Costume Drive. They are looking for gently used or new costumes. They can be dropped off September 18 – October 6. Public Works Committee. Mr. Ritchie mentioned the 9-11 Ceremony and looks forward to the Borough handling this event going forward. The road program is complete and we are just waiting for some painting to take place. The DPW is also working on truck maintenance to get ready for winter. The pool season is over and they continue to work to close the pool down. Hydrant flushing is ongoing and residents may see a drop in water pressure. There is a link on our website to let residents know what streets are being flushed on what days. Also, residents can sign up for bulk collection online. It is very simple to do. Buildings & Grounds Committee. Mr. Schatz mentioned the water treatment project starting in October, with the loan closing date of September 20. Test pits are being done now. The charging stations will be installed later this month or next month and we received a $50,000 grant for this project. Brookview Park Bridge project is progressing with soil boring to be done tomorrow, weather permitting. Final plans are in place for the Ambulance Corps projects. Mr. Schatz mentioned that the Planning Board and Environmental Commission meetings will start up again this month and he will report at the next meeting. DEPARTMENT HEAD REPORTS Administrator. No report. Municipal Clerk. Mrs. Halewicz reported on the following resolutions: 2023-284 we received donations for the 2023 Christmas Tree Lighting – we appreciate the businesses who supported this event. We are so thankful for their support. We have a few additional businesses we are working with now, so there may be one more resolution for the Council to accept donations for this event. 2023-285 received all the necessary paperwork from All County Service and Limo LL for one vehicle. 2023-286 received all the necessary paperwork from Grad Ball Association for their annual calendar raffle Mrs. Halewicz reported with regards to Elections, that she and Tatiana would be meeting with Bergen County election officials this month and next month leading up to the General Election on Tuesday, November 7. If residents wish to opt out of receiving Vote by Mail ballot, there is a Opt Out form on the elections page of the Borough’s website Waldwicknj.org/elections. Complete the form and mail to the Bergen County Clerk. Vote by Mail Ballots will be mailed beginning September 23. On the website is a link to a video on how to complete your vote by mail ballot. Also, voters will find a video on the three ways voters can cast their vote for the November General Election. REGULAR MEETING MINUTES: 3 SEPTEMBER 12, 2023 October 7 - Waste Disposal Day including wood waste, 9:00 am – 3:00 pm at the Waldwick Recycling Center Weekly Curbside Yard Waste Collection ends October 13. (10, 11, 12) October 14 - Styrofoam Collection 9:00 am – 1:00 pm or until bin is full at the Waldwick Recycling Center Bulk Collection online scheduling form is available to residents who wish to add their bulk items to the monthly collection list. Name, address, maximum 2 non-metal items. Waldwicknj.org look for the scrolling Garbage & Recycling icon, just click on the icon. Ordinance No. 2023-#20 - AN ORDINANCE AUTHORIZING THE BOROUGH OF WALDWICK TO ENTER INTO A LEASE AGREEMENT WITH THE WALDWICK HIGH SCHOOL GRADUATION BALL, INC. FOR USE OF THE OLD DPW COMPLEX Council comments. None. Public comment. Eric LaPorta asked why this town property is being treated differently than what the Lions Club requested. Mayor Giordano explained that the Council determines these on a case-by-case basis and decided not to permit the Lions Club to expand their area. Mayor Giordano closed the Public comment. Ordinance No. 2023-#20 was advertised and on second reading is adopted. This ordinance will go into effect immediately after approval and publication according to law. REGULAR MEETING MINUTES: 5 SEPTEMBER 12, 2023 Council Member Motion Second Ayes Nays Abstain Absent Cericola X Ritchie X Schatz X X Sciolaro X Sherman X Weber X X Mayor Giordano INTRODUCTION OF ORDINANCE(S) – None. UNFINISHED BUSINESS Mrs. Sherman commented on a meeting she, Councilwoman Cericola and Steve attended a meeting with the Fire Department to discuss the Department not donating toward the new truck. They agree to disagree but what she did learn is where and how they are funded, procedures and how they train. Mrs. Sherman was extremely impressed by all the training and how prepared they are. Mrs. Sherman did feel the meeting was mutually beneficial. The Department has invited the Mayor and Council to attend any Thursday night drill to watch. Mrs. Sherman discussed the Beautification Committee planning and work day. They weeded the two large gardens at the Municipal Building and turned over the mulch. The rain garden was just too much for this group. They weeded half a dumpster in Kerry’s Garden and planted flowers as well as iris and yucca plants they took from the pool. Mrs. Sherman thanked Steve for posting on our social media pages. Mrs. Sherman asked about the status of the revaluation program. Mr. Neale responded that it is still ongoing. NEW BUSINESS Mayor Giordano commented that is residents see properties that do not look in good to let he and the Administrator know and Building inspector will be sent out to check on it and make sure it is taken care of. PUBLIC COMMENT Mayor Giordano asked if any member of the public wished to come forward and to discuss anything and if so, please state your name for the record. Eric LaPorta spoke to the issue of the sewer authority and that he spoke with Steve about it. This morning there were three trucks with the third just missing a school bus making the left. These trucks were there around 5 am. Discussion ensued as to what time trucks are permitted, with Mr. Neale explaining 7am truck can be there and one weekday until 5pm, weekends 4 pm. Mr. LaPorta was adamant that there are to be no trucks on Sundays. Mr. Neale will look further into it but suggested that a call to the Police Department to document what’s going on with possible violators being ticketed. If we have nothing to support our complaints, it will go nowhere. Ted Sanzo asked about the email blasts and when would they be going out again as he is not receiving them on Fridays. Mr. Neale explained that all communications are now back in the Administrator’s office REGULAR MEETING MINUTES: 6 SEPTEMBER 12, 2023 and we are figuring out the structure of that communication but believe it will be every other week. We are developing a new website which will have an e-newsletter component. Mr. Sanzo asked about the water project construction schedule. Mr. Neale explained that early October is the official start and the Borough will develop a page on the website for this information as well as progress reports and a timeline which is running 350 days. Mr. Sanzo is concerned that older residents may not be around to receive the benefit of the project. Mike McHugh spoke to the issue of an update to the traffic study. Mr. Neale explained that the report is in draft form and that he, Lt. Dowling and Chief Messner went out today to the top five high speed locations. We will now make recommendations which will be painting, striping and signage, not hard infrastructure. Mr. McHugh mentioned that there was another accident last week on Bergen due to volume. Mr. McHugh commented on the water project and that the figures in the resolution do not add up. Mr. Neale explained that these numbers will add up and change prior to closing. Mark Ramundo spoke to the issue of thanking Terry Sheman and the Beautification Committee for their hard work this past weekend. The areas were so bad and they put in a lot of work to get them to look beautiful again. Mr. Ramundo commented on the Borough taking over the 9-11 Ceremony and thanked them for continuing this important ceremony as it is important to residents in this town and first responders. Mr. Ramundo asked Mr. Neale about the anti-idling and should the Authority also have to follow that because if so then the Police should be enforcing this rule and ticketing the trucks. Mr. McHugh commented on Kerry’s Garden and that he and his wife went to school with Kerry and what a wonderful person she was. Mr. McHugh thanked the Committee for their work in keeping her memory alive. Mrs. Sherman responded that many people work really hard and it is very rewarding. Last year the Committee took daffodil bulbs because there were so many from that garden and spread them throughout town, so when you see daffodils, you can think of Kerry because they are all over town. Giordano, Mayor I hereby certify that the above Resolution was adopted by the Mayor and Council of the Borough of Waldwick at its Regular Meeting of September 12, 2023. _________________________________ Kelley Halewicz, RMC/CMC Municipal Clerk MAYOR AND COUNCIL OF THE BOROUGH OF WALDWICK Bergen County, New Jersey RESOLUTION NO. 2023-281 RESOLUTION OF THE BOROUGH OF WALDWICK, IN THE COUNTY OF BERGEN, NEW JERSEY, DETERMINING THE FORM AND OTHER DETAILS OF ITS “WATER UTILITY NOTE RELATING TO THE WATER BANK CONSTRUCTION FINANCING PROGRAM OF THE NEW JERSEY INFRASTRUCTURE BANK”, TO BE ISSUED IN THE PRINCIPAL AMOUNT OF UP TO $6,100,000, AND PROVIDING FOR THE ISSUANCE AND SALE OF SUCH NOTE TO THE NEW JERSEY INFRASTRUCTURE BANK, AND AUTHORIZING THE EXECUTION AND DELIVERY OF SUCH NOTE BY THE BOROUGH OF WALDWICK IN FAVOR OF THE NEW JERSEY INFRASTRUCTURE BANK, ALL PURSUANT TO THE NEW JERSEY INFRASTRUCTURE BANK WATER BANK CONSTRUCTION FINANCING PROGRAM WHEREAS, the Borough of Waldwick (the “Local Unit”), in the County of Bergen, New Jersey, has determined that there exists a need within the Local Unit to acquire, construct, renovate or install a certain project which consists of the undertaking of various water system treatment improvements (the “Project”), and it is the desire of the Local Unit to obtain financing for such Project through participation in the environmental infrastructure financing program (the “Environmental Infrastructure Financing Program”) of the New Jersey Infrastructure Bank (the “I-Bank”); and, WHEREAS, the Local Unit has determined to temporarily finance the acquisition, construction, renovation or installation of the Project prior to the closing with respect to the Environmental Infrastructure Financing Program, and to undertake such temporary financing with the proceeds of a short-term loan to be made by the I-Bank (the “Construction Loan”) to the Local Unit, pursuant to the Water Bank Construction Financing Program of the I-Bank (the “Water Bank Construction Financing Program”); and, WHEREAS, in order to (i) evidence and secure the repayment obligation of the Local Unit to the I- Bank with respect to the Construction Loan and (ii) satisfy the requirements of the Water Bank Construction Financing Program, it is the desire of the Local Unit to issue and sell to the I-Bank its “Water Utility Note Relating to the Water Bank Construction Financing Program of the New Jersey Infrastructure Bank” in the principal amount of up to $6,100,000 (the “Note”); and, WHEREAS, it is the desire of the Local Unit to authorize, execute, attest and deliver the Note to the I-Bank pursuant to the terms of the Local Bond Law of the State of New Jersey, constituting Chapter 2 of Title 40A of the Revised Statutes of the State of New Jersey (the “Local Bond Law”), and other applicable law; and, WHEREAS, Section 28 of the Local Bond Law allows for the sale of the Note to the I-Bank, without any public offering, and N.J.S.A. 58:11B-9 allows for the sale of the Note to the I-Bank without any public offering, all under the terms and conditions set forth herein. NOW, THEREFORE, BE IT RESOLVED by the governing body of the Local Unit as follows: Section 1. In accordance with Section 28 of the Local Bond Law and N.J.S.A. 58:11B-9, the Local Unit hereby authorizes the issuance, sale and award of the Note in accordance with the provisions hereof. The obligation represented by the Note has been appropriated and authorized by bond ordinances of the Local Unit, finally adopted on April 27, 2021, June 21, 2022 and August 15, 2023, respectively and respectively entitled: “BOND ORDINANCE TO AUTHORIZE THE MAKING OF VARIOUS PUBLIC IMPROVEMENTS AND THE ACQUISITION OF NEW INFORMATION TECHNOLOGY AND TELECOMMUNICATIONS EQUIPMENT IN, BY AND FOR THE WATER UTILITY OF THE BOROUGH OF WALDWICK, IN THE COUNTY OF BERGEN, STATE OF NEW JERSEY, TO APPROPRIATE THE SUM OF $465,000 TO PAY THE COST THEREOF, TO AUTHORIZE THE ISSUANCE OF BONDS TO FINANCE SUCH APPROPRIATION AND TO PROVIDE FOR THE ISSUANCE OF BOND ANTICIPATION NOTES IN ANTICIPATION OF THE ISSUANCE OF SUCH BONDS”, “BOND ORDINANCE TO AUTHORIZE THE UNDERTAKING OF VARIOUS WATER SYSTEM TREATMENT IMPROVEMENTS IN, BY AND FOR THE WATER UTILITY OF THE BOROUGH OF WALDWICK, IN THE COUNTY OF BERGEN, STATE OF NEW JERSEY, TO APPROPRIATE THE SUM OF $5,000,000 TO PAY THE COST THEREOF, TO AUTHORIZE THE ISSUANCE OF BONDS TO FINANCE SUCH APPROPRIATION AND TO PROVIDE FOR THE ISSUANCE OF BOND ANTICIPATION NOTES IN ANTICIPATION OF THE ISSUANCE OF SUCH BONDS” and “BOND ORDINANCE TO APPROPRIATE AN ADDITIONAL SUM OF $820,000 FOR THE UNDERTAKING OF VARIOUS WATER SYSTEM TREATMENT IMPROVEMENTS IN, BY AND FOR THE WATER UTILITY OF THE BOROUGH OF WALDWICK, IN THE COUNTY OF BERGEN, STATE OF NEW JERSEY, TO AUTHORIZE THE ISSUANCE OF BONDS TO FINANCE SUCH ADDITIONAL APPROPRIATION AND TO PROVIDE FOR THE ISSUANCE OF BOND ANTICIPATION NOTES IN ANTICIPATION OF THE ISSUANCE OF SUCH BONDS”, at which times quorums were present and acted throughout, all pursuant to the terms of the Local Bond Law and other applicable law. Section 2. The Chief Financial Officer of the Local Unit (the “Chief Financial Officer”) is hereby authorized to determine, in accordance with the Local Bond Law and pursuant to the terms and conditions hereof, (i) the final principal amount of the Note (subject to the maximum limitation set forth in Section 4(a) hereof), and (ii) the dated date of the Note. Section 3. Any determination made by the Chief Financial Officer pursuant to the terms hereof shall be conclusively evidenced by the execution and attestation of the Note by the parties authorized pursuant to Section 4(h) hereof. Section 4. The Local Unit hereby determines that certain terms of the Note shall be as follows: (a) the principal amount of the Note to be issued shall be an amount up to $6,100,000; (b) the maturity of the Note shall be as determined by the I-Bank, and the Note may be renewed from time to time as may be determined by the I-Bank; (c) the interest rate of the Note shall be as determined by the I-Bank; (d) the purchase price for the Note shall be par; (e) the Note shall be subject to prepayment prior to its stated maturity in accordance with the terms and conditions of the Note; (f) the Note shall be issued in a single denomination and shall be numbered “NJWB-CFP-23- 1”; (g) the Note shall be issued in fully registered form and shall be payable to the registered owner thereof as to both principal and interest in lawful money of the United States of America; and (h) the Note shall be executed by the manual or facsimile signatures of the Mayor and the Chief Financial Officer under official seal or facsimile thereof affixed, printed, engraved or reproduced thereon and attested by the manual signature of the Local Unit Clerk. Section 5. The Note shall be substantially in the form attached hereto as Exhibit A. Section 6. The law firm of Rogut McCarthy LLC is hereby authorized to arrange for the printing of the Note, which law firm may authorize McCarter & English, LLP, bond counsel to the I-Bank for the Water Bank Construction Financing Program, to arrange for same. Section 7. The Authorized Officers of the Local Unit are hereby further severally authorized to (i) execute and deliver, and the Local Unit Clerk is hereby further authorized to attest to such execution and to affix the corporate seal of the Local Unit to, any document, instrument or closing certificate deemed necessary, desirable or convenient by the Authorized Officers or the Local Unit Clerk, as applicable, in their respective sole discretion, after consultation with counsel and any advisors to the Local Unit and after further consultation with the I-Bank and its representatives, agents, counsel and advisors, to be executed in connection the issuance and sale of the Note and the participation of the Local Unit in the Water Bank Construction Financing Program, which determination shall be conclusively evidenced by the execution of each such certificate or other document by the party authorized hereunder to execute such certificate or other document, and (ii) perform such other actions as the Authorized Officers deem necessary, desirable or convenient in relation to the execution and delivery of the Note and the participation of the Local Unit in the Water Bank Construction Financing Program. Section 8. This resolution shall take effect immediately. Section 9. Section 3: Consideration for Lease. The consideration for the lease hereby authorized shall be the construction and storage of Graduation Ball materials, a place of meeting for the Waldwick High School Graduation Ball Inc. and any other related activities as might normally be conducted by Waldwick High School Graduation Ball Inc. in preparation for the Graduation Ball. Section 4: Public Purpose. The Waldwick High School Graduation Ball Inc. agrees to prepare, organize and operate a Waldwick High School Graduation Ball for the benefit of the graduating seniors of the Borough of Waldwick High School. Section 5: Term; Renewal; Termination. The term of the Lease between the Borough of Waldwick and Waldwick High School Graduation Ball Inc. shall expire on June 30, 2024. Section 6: Annual Report. In June of each year during which the Lease Agreement is in effect, Waldwick High School Graduation Ball Inc. shall submit to the Mayor and Council of the Borough of Waldwick a written report setting out the use to which the leasehold was put during the year, and the activities of Waldwick High School Graduation Ball Inc. undertaken in furtherance of the public purpose for which the lease was granted.
