Giordano, Mayor I hereby certify that the above Resolution was adopted by the Mayor and Council of the Borough of Waldwick at its Regular Meeting of June 11, 2024. _________________________________ Kelley Halewicz, RMC/CMC Municipal Clerk  MAYOR AND COUNCIL OF THE BOROUGH OF WALDWICK Bergen County, New Jersey RESOLUTION NO. 2024-175 Award a Non-Fair and Open Professional Services Contract to Boswell Engineering for Lions Memorial Playground Park Design - Tasks I & II Survey, Engineering Design & Bidding, $33,300.00 WHEREAS, the Borough requires a Topographic Survey and Engineering Design and Bidding Services for improvements to the Lions Memorial Playground; and, WHEREAS, Boswell Engineering submitted the attached proposal for Task I Topographic Survey and Task II Engineering Design & Bidding, at a total cost of $33,300.00 and, WHEREAS, the New Jersey Local Public Contracts Law authorizes the award of contract for "Professional Services" without competitive bids; and, WHEREAS, Boswell Engineering total aggregate awards, including this award, will exceed the Pay-to-Play limit of $17,500 over a one-year period; and, WHEREAS, Boswell Engineering, has completed and submitted a Business Entity Disclosure Certification which certifies Boswell Engineering has not made any reportable contributions to a political or candidate committee in the Borough of Waldwick in the previous one year, and that the contract will prohibit Boswell Engineering from making any reportable contributions through the term of the contract; and, WHEREAS, Chief Financial Officer, has certified that $33,300.00 is available in the following appropriation: XXXXX, and has further certified that this commitment together with all previously made commitments and payments does not exceed the funds available in said appropriation; and has further certified that the funds available in the said appropriation are intended for the purpose herein committed. BE IT FURTHER RESOLVED that the Mayor and Clerk are hereby authorized to submit an electronic grant application identified as MA-2025 Hudson Avenue, Section 2-00232 to the New Jersey Department of Transportation on behalf of Borough of Waldwick. BE IT FURTHER RESOLVED that Mayor and Clerk are hereby authorized to sign the grant agreement on behalf of Borough of Waldwick and that their signature constitutes acceptance of the terms and conditions of the grant agreement and approves the execution of the grant agreement. ATTEST and AFFIX SEAL __________________________ _________________________ (Clerk) (Presiding Officer)  MAYOR AND COUNCIL OF THE BOROUGH OF WALDWICK Bergen County, New Jersey RESOLUTION NO. 2024-177 Authorizing Extension of Developer’s Agreement for Estate of DeMartini (6 Monroe Street) WHEREAS, the Estate of DeMartini (“Developer”) entered into a Developer’s Agreement with the Borough of Waldwick dated May 24, 2022 which was recorded in the Bergen County Clerk’s office on July 5, 2022; and, WHEREAS, pursuant to the Developer’s Agreement the Developer had 24 months to complete construction; and, WHEREAS, the Developer is in the process of posting the additional performance guarantees that are required in order to complete the development and therefore is requesting an additional two (2) year extension of the terms and conditions of the Developer’s Agreement. NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Borough of Waldwick, that the Developer’s Agreement by and between the Borough of Waldwick and the Estate of DeMartini is hereby extended for a period of two (2) years, thereby creating a new expiration date of May 24, 2026; and, BE IT FURTHER RESOLVED that the Borough shall provide a fully-executed copy of this resolution to counsel for the Estate of DeMartini as well as the Borough Building Department to be kept on file. Giordano, Mayor I hereby certify that the above Resolution was adopted by the Mayor and Council of the Borough of Waldwick at its Regular Meeting of June 11, 2024. _________________________________ Kelley Halewicz, RMC/CMC Municipal Clerk {00728363.DOCX v.1}  MAYOR AND COUNCIL OF THE BOROUGH OF WALDWICK Bergen County, New Jersey RESOLUTION NO. 2024-178 Authorizing Issuance of a Residential Parking Permit for 18 Chopek Lane WHEREAS, Borough Ordinance 91-13, entitled Residential permit parking requires residents to obtain a residential parking permit for the purposes of parking on certain streets during certain time periods of the day; and, WHEREAS, the Ordinance 91-13 authorizes the Waldwick Police Department to issue said permits upon proof that the vehicle for which the permit is sought is registered to the resident who is applying for the permit at that street location; and, WHEREAS, the resident living at 18 Chopek Lane is divorced and has two children with vehicles and the children’s vehicles are registered to the husband’s residence, which is also in Waldwick, but in a location that does not require residential parking permits to park and has provided proof of the same; and, WHEREAS, under the explicit terms of Ordinance 91-13, the children’s vehicles are not eligible for a residential parking permit for Chopek Lane since they are not registered at that address; and, WHEREAS, as a result of this unique circumstance, the Governing Body has determined that they wish to waive the registration requirement for the two children’s vehicles and authorize the Waldwick Police Department to issue two residential parking permits for said vehicles. NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Borough of Waldwick, that the Governing Body hereby waives the vehicle registration requirement for the two children’s vehicles for 18 Chopek Lane and directs the Waldwick Police Department to issue two residential parking permits for 18 Chopek Lane; and, BE IT FURTHER RESOLVED, that said waiver shall remain in effect so long as the current adult resident continues to reside at 18 Chopek Lane. Giordano, Mayor I hereby certify that the above Resolution was adopted by the Mayor and Council of the Borough of Waldwick at its Regular Meeting of June 11, 2024. _________________________________ Kelley Halewicz, RMC/CMC Municipal Clerk {00728363.DOCX v.1}  MAYOR AND COUNCIL OF THE BOROUGH OF WALDWICK Bergen County, New Jersey RESOLUTION NO. 2024-179 Authorizing Execution of Homeowner Program Agreement for Waldwick Home Improvement Program with Catherine and Charles Avakian for the Property Located at 9 Dante Place WHEREAS, the Borough of Waldwick (“Borough”) has established a Home Improvement Program (“HIP”) to assist properties that are occupied by very low, low and moderate-income households within the Borough; and, WHEREAS, the HIP was developed and designed to assist the Borough in fulfilling the Borough’s rehabilitation obligation under the Borough Housing Element and Fair Share Plan and was done in consultation and with the approval of the Fair Share Housing Center of New Jersey; and, WHEREAS, the Borough has hired Community, Grants, Planning & Housing (“CGP&H) to formulate the policies, procedures, qualifications, as well as to run and administer the HIP; and, WHEREAS, CGP&H has created a Policies and Procedures Manual that the Borough has adopted which governs the rules and Regulations of the program; and, WHEREAS, CGP&H has received an application under the HIP and has reviewed the application and qualifications of the Applicant and has certified that they are eligible and meet all the guidelines under the HIP. NOW THEREFORE BE IT RESOLVED, by the Governing Body of the Borough of Waldwick, that upon the recommendation of CGP&H, Catherine and Charles Avakian with a property located at 9 Dante Place, Waldwick, NJ 07463 meets all the requirements and qualifications for a Home Improvement Program construction loan from the Borough of Waldwick; and, BE IT FURTHER RESOLVED, that the Mayor, Borough Administrator and Borough Clerk are hereby authorized to execute the Homeowner Program Agreement prepared by CGP&H as well as any and all other documents necessary to facilitate such agreement and close the construction loan; and, BE IT FURTHER RESOLVED that a copy of this Resolution shall be forwarded to CGP&H as well as the homeowner for their records. FOR USE OF THE OLD DPW COMPLEX WHEREAS, the Borough of Waldwick is the owner of certain property designated as Lot 16 in Block 132 as shown on the Tax Map of the Borough of Waldwick and upon which lies a Borough structure commonly known as “The Old DPW Complex”; and, WHEREAS, in 1991 the Borough of Waldwick entered into a Lease Agreement with Waldwick High School Graduation Ball, Inc. a non-profit corporation of the State of New Jersey; and, WHEREAS, pursuant to the Lease Agreement, Waldwick High School Graduation Ball, Inc. utilizes The Old DPW Complex for the preparation and storage of materials for the Waldwick High School Graduation Ball; and, WHEREAS, the Borough of Waldwick and Waldwick High School Graduation Ball Inc. wish to codify the Lease Agreement pursuant to the Local Lands and Buildings Law of the State of New Jersey (N.J.S.A. 40A:12-1 et seq.), NOW, THEREFORE, BE IT ORDAINED by the Mayor and Council of the Borough of Waldwick as follows: Section 1: Findings. It is hereby determined that Waldwick High School Graduation Ball Inc. is a non-profit corporation organized and existing pursuant to Title 15 of the revised statutes of the State of New Jersey which pursuant to the purposes of such corporation, provides recreational activities for the youths located within the Borough of Waldwick, thereby contributing significantly to promoting the general welfare of the community. Section 2: Authorization and Purpose of Lease Agreement. In accordance with N.J.S.A. 40A:12-14(c) and N.J.S.A. 40A:12-15 pursuant to the terms and conditions hereinafter set forth, the Mayor and Clerk of the Borough of Waldwick are hereby authorized to execute on behalf of the Borough a Lease Agreement with Waldwick High School Graduation Ball Inc., as lessee, allowing use of The Old DPW Complex located within Lot 16 in Block 132 as shown on the Tax Map of the Borough of Waldwick for purposes of constructing and storing Graduation Ball Materials. Section 3: Consideration for Lease. The consideration for the lease hereby authorized shall be the construction and storage of Graduation Ball materials, a place of meeting for the Waldwick High School Graduation Ball Inc. and any other related activities as might normally be conducted by Waldwick High School Graduation Ball Inc. in preparation for the Graduation Ball. Section 4: Public Purpose. The Waldwick High School Graduation Ball Inc. agrees to prepare, organize and operate a Waldwick High School Graduation Ball for the benefit of the graduating seniors of the Borough of Waldwick High School. Section 5: Term; Renewal; Termination. The term of the Lease between the Borough of Waldwick and Waldwick High School Graduation Ball Inc. shall expire on June 30, 2025. Section 6: Annual Report. In June of each year during which the Lease Agreement is in effect, Waldwick High School Graduation Ball Inc. shall submit to the Mayor and Council of the Borough of Waldwick a written report setting out the use to which the leasehold was put during the year, and the activities of Waldwick High School Graduation Ball Inc. undertaken in furtherance of the public purpose for which the lease was granted. The report shall also contain an affirmation of the continued tax-exempt status of the Waldwick High School Graduation Ball Inc. as a non-profit corporation pursuant to both state and federal law. It is understood and agreed that, by the execution of the within lease, all prior leases of all or part of the leased premises heretofore entered into by the parties including but not limited to the leases dated March 26, 1991 and March 23, 2004 shall cease and be of no further force or effect. Section 7: Enforcement of Conditions.
