CALL TO ORDER
The September 19, 2022 Village Board meeting was called to order by President Chris Zellner
at 6:00 p.m.
ROLL CALL
Present: Nila Frye, Phil Willems, Erin Moran, Joe Zitzelsberger, Gary Herzberg, Chris Zellner
and Sam Kaufmann.
Also Present: Bryan Kleinmaier, Renee Meinholz, Bill Frederick, Tim Semmann and Jared
Heyn.
CONFIRMATION OF OPEN MEETING COMPLIANCE (Public postings, official
notices, and online availability)
Public postings, official notices, and online availability were confirmed by Village Clerk Karla
Endres for open meeting compliance.
CONSENT AGENDA
Items under the consent agenda may be acted upon by one motion. If, in the judgment of any
Board Member, a consent agenda item needs discussion, the item may be moved to later on the
agenda for discussion and/or action.
Motion by Joe Zitzelsberger, second by Nila Frye to approve consent agenda items 1-3. Motion
passed: For: 7, Against: 0.
1 Approve Schedule of Bills
approve check number 85901 in the amount of $33,510.89, 85902-85914 totaling
$80,807.21, and WEX in the amount of $6,902.90.

3 Approve Waunakee Lions Club Diabetes Lights Request
approve the request from the Waunakee Lions Club for “Operation Diabetes Blue”
activities.
PUBLIC COMMENT*
Maria Patt, 1000 Wexford Drive, expressed her opposition to tobacco sales in the Village.
Jared Heyn explained the referendum mailer and the first public information meeting.
PRESENTATIONS
1 Update from Waunakee Community School District on upcoming referendum
Randy Gutenberg and Steve Summers presented the upcoming referendum.
BUSINESS ITEMS
1 Approve Amended Amplified Music Permit for Waunakee Chamber of
Commerce for One Community Bank Badger Community Tailgate
Motion by Phil Willems, second by Sam Kaufmann to approve amended amplified
music permit for the Waunakee Area Chamber of Commerce for One Community
Bank Badger Community Tailgate on September 24, 2022. Motion passed: For: 6,
Against: 0, Chris Zellner Recused.
2 Discuss and Take Action on 2023 Health Insurance
Motion by Chris Zellner, second by Erin Moran to renew the Village’s health
insurance benefit through Quartz for the plan year 2023 while adding an employee
choice of Option 2 and Option 3 and increasing the HSA contributions to
$2,650/$5,300 for Option 2 and $2,900/$5,800 for Option 3 as presented. Motion
passed: For: 7, Against: 0.
3 Discuss and Take Action on agreement with Waunakee Community School
District related to parking area adjacent to former library building.*
Motion by Phil Willems, second by Nila Frye to approve the “Parking Lot Lease
Agreement” between the Village and School District; and, to authorize the Village
Administrator to sign the Agreement on behalf of the Village. Motion passed: For: 7,
Against: 0.
4 Discuss and Take Action on claim by Anthony Gallagher*
Motion by Sam Kaufmann, second by Nila Frye to go into closed session at 6:43 pm.
Motion passed by Roll Call Vote: 7-0.
Motion by Gary Herzberg, second by Phil Willems to enter back into open session at
6:47. Motion passed: For: 7, Against: 0.
Bryan Kleinmaier indicated there was a short discussion regarding a claim by
Anthony Gallagher.
Motion by Sam Kaufmann, second by Erin Moran to deny the claim by Anthony
Gallagher. Motion passed: For: 7, Against: 0.
ADJOURN
Motion by Erin Moran, second by Nila Frye, to adjourn at 6:51 p.m. Motion passed: For: 7,
Against: 0.

3 Discuss and Take Action on agreement with Waunakee Community School
District related to parking area adjacent to former library building.* The
Village Board may convene in closed session as authorized by Wisconsin Statute
19.85(1)(e) for the purpose of deliberating or negotiating the investing of public
funds or conducting other specified public business, whenever competitive or
bargaining reasons require a closed session. The Village Board may reconvene in
open session and discuss and take action on the subject matter discussed in closed
session.
4 Discuss and Take Action on claim by Anthony Gallagher* The Village Board
may convene in closed session as authorized by Wisconsin Statute 19.85(1)(g) for the
purpose of conferring with legal counsel for the Village Board who is rendering oral
or written advice concerning strategy to be adopted by the Village Board with respect
to litigation in which it is or is likely to become involved. The Village Board may
reconvene in open session and discuss and take action on the subject matter discussed
in closed session.
ADJOURN
*As permitted by the Wisconsin open meetings law, the Village Board has chosen to list a public
comment period on Board meeting agendas to afford an opportunity for valued public comments.
This is specifically listed on the agenda as PUBLIC COMMENT. The Village Board may not
engage in back-and-forth discussion or take formal action during this period. The Board may
consider deferring the subject to a later meeting when specific notice can be given. Note: In
general, Wisconsin law grants citizens the right to attend and observe open session meetings of
the Village Board, but does not require allowing the public to speak or actively participate. The
Village Board may determine if citizen participation will be allowed and to what extent.
State statute and/or Village Code requires the Village Board to hold PUBLIC HEARINGS on
certain specified matters where the public can comment on the particular subject. The meeting
chairperson will identify rules for providing comments. Other items on the agenda which are not
listed for public hearing do not require the Board to allow public comment, however the meeting
chairperson can at his/her own discretion allow limited public comments.
Any person who has a qualifying disability as defined by the Americans with Disabilities
Act that requires the meeting or materials at the meeting to be in an accessible location or
format should contact the municipal clerk at (608) 850-8500, 500 West Main Street,
Waunakee, Wisconsin, at least twenty-four hours prior to the commencement of the
meeting so that any necessary arrangements can be made to accommodate each request.
