other SAFER District, Town of Rib Mountain, and Village of Weston governmental bodies (boards, commissions, and committees) may
attend the above noticed meeting in order to gather information. No actions will be taken by any other board, commission, or committee
of SAFER / Town / Village, aside from the SAFER Board of Directors. Should a quorum of other government bodies be present, this would
constitute a meeting pursuant to State ex rel. Badke v. Greendale Village Bd., 173 Wis.2d 553,494 N.W.2d 408 (1993). Wisconsin State

A. Call to Order
The regular meeting of the South Area Fire and Emergency Response District Board of Directors was
called to order at 6:02 PM by SAFER Board Chairman Allen Opall.
MEMBERS PRESENT – Opall, White, Langenhahn. Kachel and Ermeling were absent and excused.
Chief Savage, and Administrator Rhoden were also present. There was one audience member.

1. Stettin Fire/EMS contract discussion
Chief Savage reviewed the contract discussions that have taken place with Stettin. The SAFER
Board directs Chief Savage to continue discussions and invoke the contract terms as they are
currently stated.
2. SAFER Charter discussion and possible action
Chief Savage and members of the SAFER Board discussed at length changes/corrections to the
language in the SAFER Charter. A draft copy will be presented at the next meeting noting the
changes/corrections discussed.
E. Staff Reports
1. Report from Fire Chief
Chief Savage stated he and DC Finke met with the town of Marathon to discuss fees owed by
them. Savage and Finke are currently working on year-end reports. Fire academy for 4 new
members has begun. Savage is also working on year-end budget with John Jacobs.

TOWN OF RIB MOUNTAIN, VILLAGE AND TOWN OF WESTON
INTERGOVERMENTAL CONSOLIDATION AGREEMENT
THE SECOND RESTATED CHARTER OF
SOUTH AREA FIRE & EMERGENCY RESPONSE (S.A.F.E.R.) DISTRICT
THIS AGREEMENT is made, entered into, and will become effective this upcoming 1st
day of January, 2016, by and between the Town of Rib Mountain (“Rib Mountain”), a political
subdivision of the State of Wisconsin, Marathon County, the Town of Weston (“Town of
Weston”), also a political subdivision of the State of Wisconsin, Marathon County, and the
Village of Weston (“Village of Weston”), also a political subdivision of the State of Wisconsin,
Marathon County, (collectively referred to herein as “the Municipalities”), is entered into
pursuant to the authority of Wis. Stats. §§ 66.0301, 61.65, and
WHEREAS, pursuant to the original S.A.F.E.R. District Charter document, dated June
11, 2013, between the Town of Rib Mountain, and the Village of Weston has previously
established and has operated, together, a joint fire and emergency medical response department
known as the South Area Fire and Emergency Response District (referred to henceforth as either
“S.A.F.E.R.” or the “District”), and subject to a joint fire commission, pursuant to Wis. Stats. §
61.65; and
WHEREAS, the Municipalities have recognized that consolidation of fire and
emergency medical services can both raise and improve the level of services offered, as well as,
can create financial efficiencies which can lower costs for each of the Municipalities; and
WHEREAS, the Town of Rib Mountain and the Village of Weston created the
S.A.F.E.R. District with the specific hope and intent that, in the future, additional municipalities
would join the District and become charter members of S.A.F.E.R.; and
WHEREAS, the Town of Weston sent a resolution seeking charter ownership /
membership of the S.A.F.E.R. District to the Secretary/Treasurer, with a letter of request and a
signed copy of their resolution, per the application requirements; and
NOW, THEREFORE, Town of Rib Mountain, the Town of Weston, and the Village of
Weston, in consideration of mutual promises, covenants, conditions and obligations as set forth
herein, do hereby enter into this intergovernmental cooperation agreement as follows:
I. PURPOSE.
1. Services. The purpose of S.A.F.E.R. is to provide fire inspection, fire protection,
emergency medical services, and certain other approved and related emergency
services to the Municipalities, in addition to other such services as may be added
in the future.
2. Coverage Area. It is the intent of the Town of Rib Mountain, the Town of
Weston, and the Village of Weston that S.A.F.E.R. shall provide fire protection

and emergency medical response services in all three (3) communities. The
service area of the District can also be expanded through a contract for services to
provide fire/ems response to neighboring municipalities.
II. JOINT FIRE COMMISSION.
Following the upcoming 2016 Wisconsin local government Spring elections (April 5th, 2016),
the Municipalities shall hereby re-create and re-establish a new Joint Fire Commission (“the
Commission") as provided for by Wis. Stat. § 61.65.
1. The Town of Rib Mountain, the Town of Weston, and the Village of Weston
pursuant to the provisions of Wis. Stat. § 62.13(2m)(b) agree to expand the
current joint fire commission (the “Commission”). The Commission shall now
consist of seven (7) commissioners; two (2) appointed by Rib Mountain, of which
one (1) member shall serve for a one-year term, and the other for a two-year term;
two (2) appointed by the Village of Weston, of which one (1) member shall serve
for a one-year term, and the other for a two-year term; and one (1) member
appointed by the Town of Weston for a two-year term.
2. Each of the five (5) municipal appointments shall be nominated by the
municipality’s chief elected official and approved by a majority of their elected
Board. The appointees shall not be elected officials nor appointees of the
Municipalities.
3. A majority of the regular five (5) commissioners shall be deemed a quorum for
conducting business.
4. Initial members of the expanded Commission shall be appointed to serve one and
two year terms, respectively. Thereafter, each regular appointment shall be for a
term of two years with such appointments to be made between the last Monday of
April and the third Monday of May, pursuant to Wis. Stats. § 61.65(3g), and §
62.13(1)
5. There will also be two (2) board members appointed at-large, representatives from the
municipalities receiving services from the District under contract. These
representatives will be able to participate in discussion and debate on matters brought
before the Board. Nominations shall be submitted to the District’s Secretary-
Treasurer, and shall be approved by the three (3) chief elected officials from the
charter municipalities, jointly. The two (2) at-large members shall have one (1)
member serve for a one-year term, the other member for a two-year term, and
thereafter, these Committee members shall serve for two-year terms. At any point
during the year if a new partner member is added to S.A.F.E.R., then the chief elected
official of the new municipality shall replace an at-large member as approved by the
three (3) chief elected officials from the charter municipalities, jointly.

6. Nominations shall be submitted to the District’s Secretary-Treasurer, and shall be
approved by the three (3) chief elected officials from the charter municipalities,
jointly.
7. Upon appointment of the new members, the members of the Commission shall
elect a President, Vice President, and Secretary, and thereafter annually, following
the appointment of members for regular terms. These officers shall serve in their
position for a term of one year.
8. No compensation shall be paid to the members of the Commission for their
services, but they may be reimbursed for actual necessary expenses incurred if so
authorized by the Board of Directors, and if funds are contained within the
approved budget.
9. Upon establishment of the Commission, the Commission shall have the following
duties:
a. Appoint a Fire Chief for S.A.F.E.R.; and
b. Determine the classifications of subordinates for S.A.F.E.R., with advice and
input from the Fire Chief; and
c. Approve the appointment of subordinates to the classifications in S.A.F.E.R.,
as appointed by the Fire Chief; and
d. Thereafter, exercise all authority conferred upon the Commission by law,
expressly recognizing that the Commission does not maintain “Optional
Powers” as defined by Wis. Stats. § 62.13(6); and
e. Authority to hire, discharge, and discipline employees as provided by Wis.
Stats. § 61.65, and shall be responsible for policy and procedures pertaining to
promotions and discipline; and
f. Approve policies and standards and act as a liaison between the S.A.F.E.R.
District and the governing bodies of the Municipalities.
g. To schedule a date, time, and place for its meetings. Meetings shall be held
on a minimum of quarterly per calendar year.
III. BOARD OF DIRECTORS
Following the upcoming 2016 Wisconsin local government Spring elections (April 5th, 2016),
the Municipalities shall hereby re-create and re-establish a new Board of Directors, which shall
govern the District. (Hereinafter "the Board").
a. Committee Members and Terms of Office.

a. Town of Rib Mountain, the Town of Weston, and the Village of Weston agree
to alter and expand the current board of directors to be hereafter known as the
Board of Directors (the “Board”).
b. The Board shall consist of seven (7) members, including the Rib Mountain
Town Board Chairperson, or his/her designee; and the Village of Weston
President or his/her designee; and the Town of Weston Board Chairperson, or
his/her designee shall serve as three (3) members of the seven (7) members.
Chief elected officials shall serve in this this role through the entirety of their
elected terms. Designees shall serve at the exclusively pleasure of the chief
elected official.
c. The Town of Rib Mountain, and the Village of Weston shall also be able to
each designate one additional member. These two (2) committee members
shall be nominated by each municipalities chief elected official and approved
by a majority of the elected Board/Council. Members shall serve at the
pleasure of the municipality that appointed him/her, but must be reappointed
annually, during the month of May.
d. There will also be two (2) board members appointed at-large, representatives
from the municipalities receiving services from the District under contract.
These representatives will be able to participate in discussion and debate on
matters brought before the Committee. Nominations shall be submitted to the
District’s Secretary-Treasurer, and shall be approved by the three (3) chief
elected officials from the charter municipalities, jointly. The two (2) at-large
members shall have one (1) member serve for a one-year term, the other
member for a two-year term, and thereafter, these Committee members shall
serve for two-year terms. At any point during the year if a new partner
member is added to S.A.F.E.R., then the chief elected official of the new
municipality shall replace an at-large member as approved by the three (3)
chief elected officials from the charter municipalities, jointly.
e. At such time that S.A.F.E.R. has more than (5) member municipalities, the
Board of Directors will consist of Rib Mountain Town Board Chairperson, or
his/her designee; and the Village of Weston President or his/her designee; and
the Town of Weston Board Chairperson, or his/her designee, (1) additional
board member from the Town of Rib Mountain, and (1) additional board
member from the Village of Weston. The two at-large members will be
replaced by each municipalities chief elected official or his/her designee and
approved by a majority of the elected Board. Any additional member
municipalities will be rotated through the (2) vacated at-large Board members
each year.
b. Officers.

a. Upon appointment new members, or at the annual organizational meeting in
May, the members of the Board shall elect a Chairperson and a Vice-
Chairperson, and thereafter annually, following the appointment of members
for regular terms. These officers shall serve in their position for a term of one
year. At-large Board Members cannot serve as either the President or Vice-
President of the Board.
b. The Secretary/Treasurer of the Board of Directors shall be the fiscal agent of
the District and shall be a non-voting member of the Committee.
3. Meetings. Meetings of the Committee shall be held at least once each calendar
quarter, and otherwise at the call of the Chair, or upon the written request of at
least two (2) voting members of the Committee. Notice of a meeting of the
Committee shall be transmitted to the members in writing not less than 24 hours
prior to the time of the meeting.
4. Quorum. A majority of the voting members of the Board shall constitute a
quorum.
5. Official Action. Except as expressly provided in this Charter, an act of a majority
of the voting members of the Board present at a meeting, in which a quorum is
present shall be the act of the Board.
6. Voting Requirements Exception. The affirmative vote of all five (5) voting Board
members shall be required for:
a. The purchase or sale of any asset having a value in excess of $50,000;
b. The abandonment or relocation of any fire station; and
c. Any amendments to this Charter.
7. Compensation. No compensation shall be paid to the members of the Board for
their services, but they may be reimbursed for actual necessary expenses incurred
if so authorized by the Board, and if funds are contained within the approved
budget.
8. Powers. Except as limited by this Charter or amendments hereto, the Board of
Directors shall have all the power and duties authorized under the Wisconsin
Statutes relating to the operation of the District. Such powers shall include, but
not be limited to, the following:
a. To negotiate, and approve or reject mutual aid agreements with other Fire
Departments / Fire Districts and to authorize execution of such agreements.
b. To own, purchase, encumber, sell, or lease real property in the name of the

District, for the purposes of the District, upon such terms and conditions as it
deems appropriate.
c. To own, hire, rent, lease, purchase, encumber and sell vehicles, equipment,
services or other personal property or supplies for District purposes, upon
such terms and conditions as it deems appropriate.
d. To adopt procedures, policies and rules.
e. To contract to provide fire protection services or ambulance services or both
to or for other Municipalities or portions of other Municipalities upon such
terms and conditions as it deems appropriate.
f. To establish rates of pay and fringe benefits for the Fire Chief and other
employees and members of the District.
g. To establish annually a base fee to be paid by each municipality in the
District.
h. To establish a uniform rate per call to be charged to each individual for
ambulance services provided within the primary service area; a uniform rate
per call to be charged to each individual for ambulance services provided
outside the primary service area; mileage rates to be charged for use of
District vehicles; and rates to be charged for supplies expended.
i. To designate a depository for District funds.
j. To secure insurance for the District including, without limitation, fire and
casualty, liability, workers’ compensation, and errors and omissions coverage.
k. To sue and be sued in accord with state law.
l. To designate an official newspaper for required publications by the District.
m. To exercise such additional powers as are authorized by law and as are
reasonably necessary to effectuate the purposes of the District and to the
exercise of the authorities granted by this Charter.
IV. BUDGET AND FINANCES.
1. Commencing October 1, 2016 and each October 1 thereafter, the District shall
submit a proposed operating budget for the succeeding year to the Board of
Directors. No expenditure shall be made by the District until the budget has been
approved by all of the Municipalities’ governing bodies. Budget amendments
shall be approved by the Board of Directors. Once approved and consistent with
the section in this charter regarding the fiscal agent, the Village of Weston is

authorized to make all disbursements provided for in the budget.
2. Operating costs for the District shall be shared by Town of Rib Mountain, the
Town of Weston, and the Village of Weston as set forth herein. The respective
share of costs for each municipality will be based upon a funding formula.
3. If the Board of Directors recommends adopting a modification of the contribution
ratio or contribution formula, then this Agreement shall be amended as
recommended by the Board of Directors, unless a three-quarter majority of each
Municipalities’ respective board/council overrules the Board of Directors
recommendation.
4. The Village of Weston shall serve as the fiscal agent for the District administering
and accounting for all funds received and disbursed pursuant to this Agreement.
The Village of Weston shall establish a fire services fund and maintain adequate
records to account for the budgeted income and expenditures pursuant to
generally accepted accounting principles consistently applied. The Village of
Weston is authorized to make all disbursements provided for in the budget. Upon
approval of the Board of Directors, the Village of Weston shall be reimbursed for
its costs incurred in the performance of duties as fiscal agent for the District.
5. Proposals for the appointment of the District's fiscal agent shall be submitted by
participating municipalities or third parties for years four (4) and beyond.
Proposals shall include the term and annual fee for such services. The Board of
Directors shall select the fiscal agent taking into account the cost, as well as the
specifications of the proposal. Duties of the fiscal agent shall include, but not be
limited to: maintaining financial records; receiving and disbursing funds;
providing payroll administration; administering insurance program; and any other
duties required to satisfy the provisions of this Charter.
6. Town of Rib Mountain, the Town of Weston, and the Village of Weston shall
each pay to the fire services fund. A final cost allocation will be calculated upon
completion of the annual financial audit report of the District.
7. If it is determined by the Board of Directors that non-budgeted expenditures
requiring additional funds from the Municipalities are required during any time
throughout a year, the Municipalities shall have the right to approve any proposed
non-budgeted expenditures. Notice of such proposed and non-budgeted
expenditures shall be given in writing to each of the Municipalities. The
Municipalities shall then place the expenditure request on each of their respective
agenda’s at their next regularly scheduled board/council meeting for discussion
and approval in accordance with §§65.06(6), 60.40(5), and 65.90, Wis. Stats.
V. PAYMENT OF EXPENSES.

The Municipalities shall bear and pay the net operating expenses and capital expenditures
of the District as established according to the following procedures and proportions.
1. Financing Formula. Each participating municipality's annual financial
contribution to the District's operating, maintenance and capital budget shall be
calculated based on the following formula:
a. Population. Thirty-three and 33/100 percent (33.33%) of the total budget
contribution shall be shared among the Municipalities in proportion to each
municipality's percentage share of the total population of the Municipalities,
as determined by the State of Wisconsin for the prior year.
b. Equalized valuation. Thirty-three and 33/100 percent (33.33%) of the total
budget contribution shall be shared among the Municipalities in proportion to
each municipality's percentage share of the total equalized valuation,
excluding land, of all the Municipalities, as determined by the State of
Wisconsin for the prior year and as adjusted as hereafter provided.
c. Total equalized valuation, excluding land, shall be divided into residential,
commercial and industrial classifications and shall include valuation from TIF
Districts. A multiplier of one for total residential valuation (including value
of “other” under the equalized valuation formula), two for total commercial
valuation and three for total industrial valuation shall be applied. The total of
the multiplied valuations for each municipality shall be divided by the total of
the multiplied valuations for all the municipalities and multiplied by 100 to
determine each municipality's proportionate percentage share.
d. Inspectable Structures. Thirty-three and 34/100 percent (33.34%) of the total
budget contribution shall be shared among the Municipalities in proportion to
each municipality's percentage of inspectable structures. For simplicity and
ease of administration, all communities shall be considered to have a
minimum of ten (10) inspectable structures.
2. Municipality Payments. The Fiscal Agent will submit to each municipality a
statement requiring payment of that municipality's share of the estimated net
operating expenses and capital expenditures for the fiscal year which must be paid
to the Fiscal Agent in quarterly payments. This notice shall be given not later
than fifteen days following approval of the District's budget. Payment shall be
due by the Municipalities on the 1st, 4th, 7th and 10th month of the year. If any
municipality fails to pay in full each payment to be made by it as provided by this
Charter on the due date, such defaulting municipality shall be indebted to the
other Municipalities for the payment due plus interest at the prevailing prime rate
in Wausau, Wisconsin from the due date until payment. Legal action to enforce
such payment due by the defaulting municipality may be taken by the Board.
VI. OWNERSHIP OF ASSETS.

1. The Municipalities shall transfer to the District custody, use and control, but not
ownership, of the buildings to be used by the District.
2. Rib Mountain Public Safety Building. The first station, and primary operating
place of business, shall be the Rib Mountain Public Safety Building, which is
located at 5901 Hummingbird Road, Wausau, WI 54401. The Municipalities
acknowledge and understand the Public Safety Building shall remain fee titled in
the name of the Town of Rib Mountain.
3. Weston Public Safety Building. The secondary station and additional operating
place of business of S.A.F.E.R. shall be portions of the Weston Public Safety
Building, which is 5303 Mesker Street, Weston, WI 54476. The Municipalities
acknowledge and understand the Public Safety Building shall remain fee titled in
the name of the Village of Weston.
4. General maintenance costs, capital improvements, and other matters related to the
upkeep of both of the Public Safety Buildings, shall be as set forth in the
S.A.F.E.R. Department Occupancy Cost-Sharing Agreement to be executed and
approved by the Municipalities contemporaneously with this Agreement, attached
hereto and incorporated herein as Exhibit A.
5. The District currently maintains and owns extensive equipment necessary for the
operation of its respective fire/ems department. It is agreed that this equipment,
shall be joined under this Agreement and continue to remain the exclusive
property of the District. All future equipment acquisitions and/or capital
expenditure acquisitions for or on behalf of the District will be determined by the
operating budget of the District, which shall have ownership vested in it.
VII. INSURANCE/INDEMNITY & HOLD HARMLESS.
1. The Board of Directors shall obtain liability insurance sufficient to cover the
District for claims of loss or damages, which may be occasioned by acts of the
District. The costs for the insurance will be included in the operating budget of
the District. In the event that liability is incurred for any claim for damages, injury
or loss arising out of the operations of the District., either through policy
exclusions, under insurance, policy lapse, or any other reason, Town of Rib
Mountain, the Town of Weston, and the Village of Weston agree to indemnify
each other for said uninsured costs and/or damages in accordance with the annual
formula contributions established herein this charter document..
2. The Town of Rib Mountain, the Town of Weston, and Village of Weston agree to
indemnify and hold each other harmless for said uninsured claims, including, but
not limited to, claims for negligence, bodily injury, and property damage; claims
by employees for unpaid wages, failure to comply with state or federal law, rules,
or regulations concerning wages, unemployment compensation, workers

compensation, or compliance with discrimination laws, for the action or inaction
of S.A.F.E.R.; and costs defense fees, and/or damages in the same proportion as
the share contribution for other costs of S.A.F.E.R. established within this charter
document, subject to retaining all liability exemptions and limitations available
under § 893.80, Wis. Stats. for third party claims.
3. The fire, emergency medical response and all other approved services performed
and expenses incurred under this Agreement shall be deemed for public and
governmental purposes, with any immunities thereunto appertaining.
VIII. ADMINISTRATION
Day-to-day administration of the District personnel and equipment shall be conducted by the Fire
Chief, subject to the approval of the Joint Fire Commission and Board of Directors. The District
shall employ the following positions:
1. Fire Chief. The Fire Chief shall be generally responsible for the supervision,
scheduling, education, organization and administration of the firefighting
personnel and equipment.
a. The Fire Chief shall be selected by the Commission. Qualified candidates
will be subject to the interview process and a final selection will be made by a
majority vote by the Commission.
b. With approval of the Board, the Fire Chief shall have authority to purchase
unbudgeted materials and supplies for District purposes. Larger purchases
shall require prior approval of the Board of Directors. Purchases exceeding
$50,000 will require three (3) bids from vendors. Purchase exceeding
$150,000 will be a sealed bid process to be opened by the Board of Directors
at a board meeting. In the case of a sole vendor being able to provide service /
product in excess of $50,000 then the Board of Directors must be notified and
approve of the purchase.
c. The Fire Chief shall have authority, subject to approval by the Commission, to
designate the Deputy Fire Chief.
d. The Fire Chief shall evaluate firefighting personnel, vehicles, supplies,
equipment, and services available to the District and shall make
recommendations for their purchase or hiring to the Committee and/or
Commission.
e. The Fire Chief shall perform such other and additional related duties are as
authorized by law and/or as accorded to him by the Joint Finance Committee
to achieve the purposes of the District.
2. Deputy Fire Chief. The Deputy Fire Chief shall act as Fire Chief during the

absence of the Fire Chief, and shall perform such district duties as are assigned to
him/her by the Fire Chief.
3. Fire Inspector. The Captain of the Inspection Bureau (Fire Inspector) shall be
responsible for competing fire inspections in all our responsible municipalities,
approve or deny occupancy variances pertaining to fire protection. Work with
building inspection departments for the betterment of fire protection and when
needed, participate in fire cause and origin investigations.
4. EMS Division Chief. The EMS Division chief shall plan, direct, manage and
evaluate the Emergency Medical Services of the district while maintaining
department records and assisting in the day to day administrative duties.
5. Battalion Chief. The Battalion Chiefs (Shift Commanders) shall be generally
responsible for the supervision of personnel during their shift for both non-
emergency and emergency activities. The Fire Chief shall appoint, subject to the
approval of the Commission, all Battalion Chiefs.
6. Paid-on-Call Professionals. The balance of personnel shall consist of paid-on-call
professionals with various rank from probationary Firefighter, Firefighter, First
Responders, Transfer Paramedic, Transfer Nurse, Firefighter/EMT,
Firefighter/Paramedic, Motor Pump Operator (MPO), Engineer, Safety Officer,
Lieutenants, and Captains.
IX. EXPANSION OF DISTRICT MEMBERSHIP.
1. Additional municipalities may be added to the District upon the following
conditions: The proposed additional territory is contiguous to the then-existing
boundaries of the District or geographically advantageous for the operation of the
District; and the addition of either members or proposed territory and the terms
and conditions pertaining to such additions are approved by the Board and ratified
by each of the Municipalities participating in the District; and that each municipal
applicant agrees with the vision, mission, and operating principles of this District,
which is a hybrid model of using a combination of full-time and paid-on-call
professionals.
2. Buy-In: Buy-in for a municipality will be based on four (4) different categories
and calculated based on how each municipality is identified in each category.
a. Municipality without any current services (contracted out for fire/ems protection).
The buy-in would be calculated to meet the increased need for staffing,
maintenance, supplies needed to adequately protect the municipality (as
determined by the Fire Chief). The buy-in funds would be set for the first three
(3) years and then incorporated into the annual funding calculations.
b. Municipality with EMS services without a firehouse.

The buy-in would be calculated to meet the increased need for staffing,
maintenance, supplies needed to adequately protect the municipality (as
determined by the Fire Chief). Additional funds could include but not limited to
apparatus and erecting a firehouse if the municipality wanted 24/7 staffing in their
municipality. Existing staff would be required to apply to the District and could
be granted a grace period of 18 months to obtain certifications to meet existing
District job descriptions. The buy-in funds would be set for the first three (3)
years and then incorporated into the annual funding calculations.
c. Municipality with volunteer Fire/EMS services with a firehouse without quarters.
The buy-in would be calculated to meet the increased need for staffing,
maintenance, supplies needed to adequately protect the municipality (as
determined by the Fire Chief). Existing staff would be required to apply to the
District and could be granted a grace period not to exceed 24 months to obtain
certifications to meet existing District job descriptions. The buy-in would be
offset by the transferred ownership of all equipment and apparatus to S.A.F.E.R
District. Additional funds could include but not limited to additional apparatus or
retrofitting the existing firehouse for living quarters to include, offices, bunk
rooms, kitchen, locker rooms and a day room (as deemed appropriate by the Fire
Chief). The buy-in funds would be set for the first three (3) years and then
incorporated into the annual funding calculations.
d. Municipality with full time Fire/EMS services with a full functional firehouse.
The buy-in would be calculated to meet the increased need for staffing,
maintenance, supplies needed to adequately protect the municipality (as
determined by the Fire Chief). The buy-in would be offset by the transferred
ownership of all equipment and apparatus to S.A.F.E.R District. Existing POC
staff would be required to apply to the District and could be granted a grace
period not to exceed 24 months to obtain certifications to meet existing District
job descriptions. Existing career staff would be required to apply to the District
and be offered full time employment only after passing the written and practical
assessment center, interview with the District Deputy Chief and Chief, and
approval of District Fire Commission. The buy-in funds would be set for a
minimum of 8 months or at the start of the next annual year, whichever comes
first, and then incorporated into the annual funding calculations.
X. DISPUTE RESOLUTION.
1. If a dispute arises between the parties concerning any terms or conditions of this
Charter, the following procedures shall be utilized to resolve the dispute: Step
One: Meeting between Administrator/Chief Elected Official and Fire Chief of
each participating municipality. Step Two: Mediation. Step Three: Arbitration
2. In the event that Mediation occurs, the parties shall mutually agree upon a
Mediator. In the event that arbitration occurs, the arbitration shall result in a

hearing before a panel of three individuals, which shall include one arbitrator or
independent hearing officer selected by each party and one individual selected by
mutual agreement of the parties. Any decision by the arbitration panel shall be
legally binding and final. The parties shall split equally the total cost of the
arbitrators and each party shall bear their own costs incurred during the dispute
resolution process.
XI. WITHDRAWAL FROM DISTRICT.
1. Each new municipality added as a charter member pledges to participate in the
District for a minimum of five years. The procedure for withdrawal and
distribution of assets shall be accomplished as follows:
a. Withdrawal from the District is permitted at the end of any calendar year
(provided that the initial membership period has past) providing that such
withdrawing municipality gives at least nine (9) months written notice to the
other participating municipalities, the Joint Fire Commission, and the Joint
Finance Committee.
b. Whatever equipment the withdrawing municipality gave to the District shall
be returned and any equipment purchased by the District while the
withdrawing municipality was a member of the District shall be appraised
and/or sold at the discretion of the District and the withdrawing municipality
shall receive the percentage of the value and/or net proceeds from the sale
based on the percentage the withdrawing municipality contributed to the
overall District budget during its final budget year.
2. In consideration that the Town of Weston did not bring in any equipment or assets
into the District, the Town agrees that it shall not participate in any financial
benefit resulting from their withdrawal from the S.A.F.E.R. District until its initial
membership commitment period of five years has past.
3. In the event that the Village of Weston exercises its previously vested rights to
withdraw from the District, the Town of Rib Mountain agrees to release the Town
of Weston from District charter membership as well, in consideration of the
difficulty in providing the Town of Weston fire/ems services, geographically,
from the Town of Rib Mountain.
XII. DISSOLUTION OF DISTRICT.

1. The District may be dissolved by a unanimous vote of the Joint Finance
Committee, prepared in the form of an agendized resolution, at a publically
noticed meeting of the Joint Finance Committee.
2. Following a successful resolution for dissolution, a Notice of Intent for
Dissolution shall be given to the charter members as well as those receiving
services under contract, at least nine months before the end of any calendar year.
A dissolution resolution shall be effective at the end of the calendar year.
3. Upon the dissolution of the District, all equipment and property shall be returned
to the originating charter member. All equipment purchased by the District shall
be sold and the net proceeds shall be distributed to each municipality based on
each municipality's percentage of the total payments made to the District over the
duration of the existence of the District.
4. In consideration that the Town of Weston did not bring in any equipment or assets
into the District, the Town of Weston agrees that it shall not participate in any
financial proceeds resulting from the dissolution of the District until its initial
membership commitment period of five years has past.
XIII. MISCELLANOUS PROVISIONS.
1. Amendments. No modification, alteration, or amendment to this Agreement shall
be binding upon any Municipality until such modification, alteration, or
amendment is reduced to writing and duly executed by each Municipality’s board
or council.
2. Governing Law. The laws of the State of Wisconsin shall govern this Agreement.
3. Severability. If any part, term, or provision of this Agreement is held by a court
of competent jurisdiction to be illegal or otherwise unenforceable, such illegality
or unenforceability shall not affect the validity of any other part, term, or
provision and the rights of the parties will be construed as if the part, term, or
provision was never part of this Agreement.
4. Assignment of Rights. No party to this Agreement may assign it rights or
responsibilities under this Agreement without the prior written consent of the
other parties hereto.
5. All notices or other communication herein shall be sufficiently given and shall be
deemed given when hand-delivered or when mailed by certified mail, postage
prepaid, at the official addresses of the parties hereto, as follows:

6. This Agreement contains the entire understanding of the parties as set forth herein
and supersedes all prior written and/or verbal agreements between the
Municipalities including the XXX and all amendments thereto.
XIV. AMENDMENTS.
The Commission or Committee may, from time to time, propose amendments to this
Charter. Any amendment must be unanimously approved by the Committee, and by each of the
participating Municipalities. It is understood and agreed that this Charter shall be regularly
reviewed after the date of ratification and amended as necessary.
XV. TERM OF AGREEMENT.
This Agreement shall become effective upon a majority vote of each Municipality’s
board/council and shall remain in effect until terminated by any party hereto, upon written
notice, as set forth herein.
WITNESS WHEREOF, the parties hereto have executed this Agreement as of the year
and date set forth above, and by so signing this Agreement, certify that they have been duly and
properly authorized by their respective boards and councils to make the commitments contained
herein, intending them to be binding upon their respective entities and to execute this Agreement
on their behalf.

Purchase of the Fire Inspector Vehicle and Car‐21 Replacement
The Fire Inspector vehicle was budgeted and approved at $25,000 for 2016.
The replacement of Car‐21 was budgeted and approved at $39,000 for 2016.
The total cost for both vehicles is $64,000 for 2016.
After getting (3) bids for each vehicle, it became clear that the figure for the Inspector vehicle was low.
We are opting for a full size truck for the inspector so that it has a potential dual purpose to haul
supplies, put frozen gear into it from fire scenes and tow the fire safety house. The best bid that we
received was for $31,000.
We are opting for a Ford Explorer (police interceptor) for the replacement of Car‐21. They are purpose
built for police and fire department use. They also offer a substantial discount. This vehicle would cost
$30,000.
Total proposed project cost of: $62,000
The proposal is to use the savings from the replacement of Car‐21 to add to the increased cost of the
Fire Inspector vehicle.
This does not include the trade in price of either the vehicle that our inspector is driving now or the
trade in on the current Car‐21. That would offset the cost of emergency lighting and lettering.

FEMA Grant
SAFER is finishing up a grant to replace all (6) of the current ageing Defibs and add 5 hands free CPR
devices. The Defibs come with a maintaince contract for 6 years so there would not be any additional
maintance cost for SAFER. Hands free CPR devices alleviate the need for a care provider to be standing
in the back of an ambulance while performing CPR. It also frees up that additional provider to perform
other skills during a cardiac arrest call. We have three different Defib models currently at SAFER and
this would provide for a single make and model Defib in all the ambulances.
The total project cost of this grant is approx. $325,000 for all this equipment. There is a 10% match for
this grant that SAFER would be required to cover for approx. $33,000.
This was not taken into account during the budget process and we are requesting to continue with this
project. The 10% match would be the equivalent of purchasing (1) Defib.
Approx cost for Weston is $21,450
Approx cost for Rib Mountain is $11,550
I did not remember to include that into the budget if we were awarded this grant. This is, however, a
great project and would benefit SAFER for the next 10 years.
Actions:
Approve applying for the 2016 Fire Act Grant from FEMA.
Reject the application based on limited funding or other issues.
