Smayda A Special Meeting of the Common Council held Monday, November 13, 2017 called for five thirty o'clock in the evening in the Mayor's Conference Room. Mayor Roach presiding and the following members present: Mrs. Hunt Robinson, Mr. Kirkpatrick, Mrs. Lecuona, Mr. Martin and Mrs. Smayda. Absent: Mr. Krolian. This Special Meeting was for the purpose of considering an ordinance amending an ordinance authorizing the Mayor to enter into a tax abatement agreement pursuant to Private Housing Finance Law Section 577, in connection with a project of the DeKalb Housing Development Fund Corporation and Schuyler-DeKalb LLC. To the Honorable Mayor and Members of the Common Council of The City of White Plains On June 5, 2017, The Common Council authorized a tax abatement agreement for property presently owned by the White Plains Housing Authority ("WPHA") at 86 DeKalb Avenue (also known as Section 131.29, Block 3, Lot 1) ("the Project"). In order to be eligible for the United States Department of Housing and Urban Development's Rental Assistance Demonstration program, the WPHA is planning to give DeKalb Housing Development Fund Corporation ("the HDFC") a ground lease for the land and a deed to the improvements for the Project. The HDFC will hold the Project as nominee for Schuyler-DeKalb LLC ("the Company"). WP Housing Company, Inc. ("WPHC"), a non-for-profit corporation and an affiliate of the WPHA, will be the sole managing member of the Company. Subsequent to that authorization, the State of New York rejected the name of the HDFC and required that the name be changed to Schuyler-DeKalb Housing Development Fund Corporation. In addition, instead of WP Housing Company, Inc. being the managing member of Schuyler-DeKalb LLC, WPHC created an affiliated company WP DeKalb LLC to be the managing member of the Company. This change in the structure of the transaction requires that the authority to execute the tax abatement agreement be amended in order to properly name the parties involved. Submitted for your consideration is an ordinance which amends the June 5, 2017 ordinance in order to correctly name the parties involved in the transac- tion. _____________________________________ John G.
