NOTICE AND CALL OF PUBLIC MEETING Government Body: Winterset Municipal Utilities Date of Meeting: February 19th, 2024 Time of Meeting: 8:30 A.M. Place of Meeting: Electric Generation Plant, 321 N. 1st St. PUBLIC NOTICE IS HEREBY GIVEN the above-mentioned governmental body will meet at the date, time and place above set out. Claims Added items for discussion… The Board of Trustees of the Winterset Municipal Utilities, Winterset, Iowa, met on February 19th, 2024, in accordance with the above Notice & Call of Public Meeting. Chairman Wendy Frost called the meeting to order with the following members of the Board in attendance. PRESENT: Steve Montross, Wendy Frost ABSENT: Gary Emmert Others in attendance, Mike Ham, Utility Water Superintendent, Chuck Johnson, Utility Electric Superintendent, Ryan Marquardt, Tim Palmer, Tom Leners. Chairman Frost asked for approval of the agenda. Trustee Montross moved the agenda be approved. Seconded by Trustee Frost. On a voice vote the motion carried. Chairman Frost stated the minutes from the January 15th, 2024, meetings had been provided to the Board. Trustee Montross moved to approve the minutes. Seconded by Trustee Frost. On a voice vote the motion carried. Mr. Benshoof was asked to give his report to the Board. Mr. Benshoof stated that union negotiations have been settled, with the union receiving 7% raise in year 1 and 6% raise in year 2. Mr. Benshoof reported that he has sent out another letter to the energy assistance customers reminding them of the program requirements. Mr. Benshoof stated that he is starting to see some money come in from the State of Iowa Setoff Program. Mr. Benshoof discussed renewing a CD for the Electric Dept. Chairman Frost asked for a report on the MCDG. Mr. Marquardt reported on his monthly activities and discussed possible development opportunities with the Board. Chairman Frost asked for a report on the watershed. Mr. Palmer presented a written report to the Board and discussed possible future projects in the watershed.  Chairman Frost asked Mr. Benshoof to address the next agenda item, Resolution #2192024 approving membership in Iowa Area Development Group. Following discussion, Trustee Montross introduced the Resolution APPROVING MEMBERSHIP AND PARTICIPATION IN IOWA AREA DEVELOPMENT GROUP, L.C. and moved for its adoption. Trustee Frost seconded the motion. On roll vote: AYES: Montross, Frost NAYS: None RESOLUTION # 2192024 RESOLUTION APPROVING MEMBERSHIP AND PARTICIPATION IN IOWA AREA DEVELOPMENT GROUP, L.C. WHEREAS, Winterset Municipal Utilities (hereinafter “WMU”) is a participating member of the South Iowa Municipal Electric Cooperative Association (hereinafter “SIMECA”); WHEREAS, SIMECA, on behalf of all of its participating members, desires to join the Iowa Area Development Group, L.C. (hereinafter “IADG”); WHEREAS, SIMECA would join IADG as a Class B (non-voting) member; WHEREAS, SIMECA’S Class B membership in IADG would entitle all of SIMECA’s participating members, including WMU, to receive services and utilize the resources of IADG; WHEREAS, the services and resources of IADG that are available to its members, including Class B members, include but are not limited to: a. Promote the common business interests of the rural electric cooperatives that serve rural areas in Iowa; b. Actively engage in efforts to grow and develop the economic vitality of the areas served by the rural electric cooperatives; c. Promote and participate in activities to enhance the quality of life in the rural areas and communities served by the rural electric cooperatives; d. Assist the rural electric cooperatives in participating in economic development programs administered by the USDA, the State of Iowa, or other governmental or private entities; e. Educate and train employees of rural electric cooperatives on ways to grow their rural communities and service areas; and, f. To participate in trade shows and other activities to attract commercial, industrial, and agricultural enterprises to the State of Iowa, and in particular the rural areas of the State served by the rural electric cooperatives. WHEREAS, each member of IADG is required to annually pay a fair and equitable portion of the financial requirements of IADG, as determined and approved by the IADG Board of Managers; WHEREAS, the annual financial obligation of SIMECA for its IADG membership will be proportionately divided between its participating members, including WMU, as determined and approved by the SIMECA Board of Directors; WHEREAS, the proportionate share of SIMECA’s financial obligation attributable to WMU for the current year is $13,908.00; WHEREAS, the membership of SIMECA in IADG will be continuous until terminated by action of SIMECA’s Board of Directors; and,  WHEREAS, it is beneficial to WMU to avail itself of the services and resources available through IADG by SIMECA, on behalf of its participating members, joining IADG. NOW, THEREFORE BE IT RESOLVED, Winterset Municipal Utilities, as a participating member of SIMECA, hereby approves SIMECA joining IADG as a Class B (non-voting) member; BE IT FURTHER RESOLVED that Steve Benshoof, General Manager, is authorized to execute any necessary participation agreements, or other forms, required by SIMECA related to membership in IADG. BE IT FURTHER RESOLVED that Steve Benshoof, General Manager, is authorized and directed to make payment of the annual financial obligation assessed to WMU by SIMECA for its initial and continued participation and membership in IADG on behalf of its participating members. Mr. Ham stated that they had replaced a few frozen meters. Mr. Ham reported that they repaired a water main break. Mr. Ham stated that he is continuing to work on lead & copper inventory. Mr. Ham reported that he has ordered 2 new chlorine analyzers and 2 ph probes for the Water Treatment Plant. Mr. Johnson was asked to give his report on the Electric Department. Mr. Johnson stated a portion of the fence at the Light Plant is being replaced. Mr. Johnson stated that the bids came in for the alley project behind City Hall. Murphy Tower Service, LLC submitted the low bid of $155,400. Dig America’s bid was $176,677 and CDB Utility’s bid was $ 176,922. Mr. Johnson stated that he has been ordering material for the underground projects. Mr. Johnson stated that they changed out 160 meters to radio read. Mr. Johnson reported that he has met with the RAGBRAI committee to prepare for the event this summer. Chairman Frost stated that she had reviewed the claims.
