THE WOODWARD MUNICIPAL AUTHORITY OF THE CITY OF WOODWARD, WOODWARD COUNTY, OKLAHOMA, MET IN REGULAR SESSION IN THE COMMISSION CHAMBERS OF CITY HALL ON MONDAY, MARCH 21, 2022, AT 7:00 P.M. (As prescribed by law, meeting notice and agenda were filed with the Office of the City Clerk at 9:00 a.m. and posted at City Hall at 9:15 a.m. on March 18, 2022.) Chairman Bogdahn called the meeting to order, declaring a quorum present. PRESENT: Steve Bogdahn Chairman Sandi Liles Trustee John Brown Trustee Tom Fisher Trustee Shaun Barnett City Manager Aaron Sims City Attorney Michelle Scott Acting Secretary ABSENT: Andrea Murlin Secretary John Meinders Trustee The Consent Docket was presented to the Authority for approval. Items on the Consent Docket were as follows: A. Approve minutes of the regular meeting of March 7, 2022. B. Approve Financial Reports for the month of February 2022. There being no items removed, Trustee Fisher made a motion, seconded by Trustee Liles, to approve the Consent Docket as presented. ROLL CALL AYES: Fisher, Liles, Bogdahn, Brown NAYS: None ABSENT: Meinders The motion carried. Item three on the agenda is to consider and take action with respect to adoption of Ordinance No. 1715 amending the Employee Retirement System, Defined Contribution Plan for the City of Woodward and Woodward Municipal Authority, Oklahoma by adopting a revised and restated retirement plan; providing retirement benefits for eligible employees of the City of Woodward and Woodward Municipal Authority, Oklahoma; providing for purpose and organization; providing for definitions; providing for eligibility and participation; providing for non-alienation of benefits; providing for employer and employee contributions; providing for accounting, allocation, and valuation; providing benefits; providing for required notice; providing for amendments and termination; providing for transfer to and from other plans; creating a retirement committee and providing for powers, duties, and rights of retirement committee; providing for payment of certain obligations; providing for duration and payment of expenses; providing for effective date; providing for vesting schedules; providing for a fund to finance the system to be pooled with other incorporated cities, towns and their agencies and instrumentalities for purposes of administration, management, and investment as part of the Oklahoma Municipal Retirement Fund; providing for payment of all contributions under the system to the Oklahoma Municipal Retirement Fund for management and investment; providing for repealer and severability; adopting those amendments mandated by the Internal Revenue Code; and declaring an emergency. City Attorney Sims stated this is identical to item three on the City Commission side. Trustee Brown made a motion, seconded by Trustee Liles, to adopt Ordinance No. 1715 as presented. ROLL CALL AYES: Brown, Liles, Bogdahn, Fisher NAYS: None ABSENT: Meinders The motion carried. Thereupon, Trustee Brown made a motion to attach the Emergency Clause to Ordinance No. 1715. Thereupon, Trustee Liles made a motion to attach the Emergency Clause to Ordinance No. 1716. Item five on the agenda was to consider and take action with respect Amendment No. 1 to Lease Agreement between Air Evac EMS, Inc., and Woodward Municipal Authority. City Manager Barnett stated this is for the Lease Agreement for the property where Air Evac houses their operation. He further stated this is a renewal for an additional 5 years expiring in March 2027. Following discussion Trustee Brown made a motion, seconded by Trustee Liles, to approve the amendment as presented. ROLL CALL AYES: Brown, Liles, Bogdahn, Fisher NAYS: None ABSENT: Meinders The motion carried. Item six on the agenda was to consider and take action with respect to approval or disapproval of participation in “Trash Off Day” by allowing customers free landfill privileges on April 30, 2022. City Manager Barnett stated this is the annual trash off day. Trustee Brown made a motion, seconded by Trustee Fisher, to approve “Trash Off Day”. ROLL CALL AYES: Brown, Fisher, Bogdahn, Liles NAYS: None ABSENT: Meinders The motion carried. Item seven on the agenda was to consider and take action with respect to approval or disapproval of Aquatics Center Management Agreement between the City of Woodward, Woodward Municipal Authority, and K&T Catering, L.L.C. Trustee Fisher made a motion, seconded by Trustee Liles, to approve the agreement as presented. ROLL CALL AYES: Fisher, Liles, Brown, Bogdahn NAYS: None ABSENT: Meinders The motion carried. Item eight on the agenda was to consider and take action with respect to approval or disapproval of Miniature Golf and Paddle Boat Management Agreement between the City of Woodward, Woodward Municipal Authority and K&T Catering, L.L.C. Trustee Brown made a motion, seconded by Trustee Fisher, to approve the agreement as presented. ROLL CALL AYES: Brown, Fisher, Bogdahn, Liles NAYS: None ABSENT: Meinders The motion carried.
