EMPLOYEE LEASING AGREEMENT This Employee Leasing Agreement ("Agreement") is made and entered into as of the _ day of ___, 2023, ("Effective Date") by and between St. Clair County Road Commission ("Road Commission") 21 Airport Drive, St. Clair, MI 48079 and the Southwater Municipal Utility Authority ("Authority") 451 State Street, Algonac, MI 48001. RECITALS A. Pursuant to the terms of this Agreement, the Road Commission shall lease certain employees of the Road Commission to the Authority for the purpose of the operation of certain wastewater equipment and performing operations of the Authority. B. As a result, the parties are entering into this Agreement. NOW, THEREFORE, for and in consideration of the premises and the mutual covenants hereinafter set forth, it is hereby agreed as follows: AGREEMENT 1. Lease. Authority hereby leases from the Road Commission the following Road Commission employees: Brian Roy ("Supervisory Employee"); and David Bekes, Robert Wagner and Eric Barnowski (the "Staff Employees") (together and collectively the "Leased Employees"). Brian Roy will be a Leased Employee for the duration of his employment with the Road Commission, unless the Authority chooses to reject Mr. Roy as provided herein or unless Mr. Roy terminates his work assignment as Waste Water Treatment Plant Operator. David Bekes, Robert Wagner and Eric Barnowski will be leased employees until February 29, 2024, unless one or more of them are rejected as provided herein. 2. Scope of the Work. The Authority owns and operates certain wastewater treatment facilities. Through this Agreement, the Leased Employees shall operate and manage the facilities ("Work") for the Authority in compliance with generally accepted standards and legal requirements. The Authority shall provide general direction and control of the Work. The Authority shall not assign the Leased Employees to any work not included in this Agreement. The Authority shall provide working conditions within its facilities that do not violate any local, state, or federal law, ordinance, statute, regulation, or Executive Order, including but not limited to workplace safety or discrimination laws. The day-to-day activities of the Supervisory Employee shall be determined by the Supervisory Employee in consultation with the Authority. The Supervisory Employee shall provide reports on the status of the Work at least bi-weekly and as otherwise may be necessary in
