CALL TO ORDER Chair Traini convened the Special Assembly Meeting of December 7, 2017 at 11:02 a.m . 2. ROLL CALL PRESENT: Dick Traini, Forrest Dunbar, Christopher Constant, Eric Croft, Amy Demboski, Fred Dyson, Suzanne LaFrance, Pete Petersen, Felix Rivera, Tim Steele ABSENT: John Weddleton A quorum was achieved with 10 Assembly members present. Clerk's Note: Assembly Member Weddleton joined the meeting at 11:04 a.m. PRESENT: Dick Traini, Forrest Dunbar, Christopher Constant, Eric Croft, Amy Demboski, Fred Dyson, Suzanne LaFrance, Pete Petersen, Felix Rivera, Tim Steele, John Weddleton EXCUSED: None A quorum was achieved with 11 Assembly members present. 3. PLEDGE OF ALLEGIANCE Assembly Member Constant led the pledge. 4. ITEMS OF BUSINESS 4.A. Proposed Municipal Light & Power Transactions BECKY WINDT PEARSON, Municipal Attorney, spoke. Amy Demboski moved . to go into executive session under the authority of AMC Eric Croft seconded, 1.25.005 with the following statement made by the Municipal Manager: "The Administration is seeking today to apprise the Assembly of a possible transaction involving ML&P. Public disclosure of the anticipated terms and possible benefits of the transaction would at this time undermine the Municipality's bargaining position and likely cause an adverse effect on the Municipality's finances. The matter also involves confidential documents that by law are not subject to public disclosure." and this motion PASSED 11-0. PRESENT: Dick Traini, Forrest Dunbar, Christopher Constant, Eric Croft, Amy Demboski, Fred Dyson, Suzanne LaFrance, Pete Petersen, Felix Rivera, Tim Steele, John Weddleton EXCUSED: None BILL FALSEY, Municipal Manager, spoke. 5. EXECUTIVE SESSION Assembly Member Demboski declared a potential conflict of interest on the matter which is the subject of the executive session. Based on review by the Body, Chair Traini ruled that Assembly Member Demboski did not have a conflict of interest. Forrest Dunbar moved, to extend the Special Assembly Meeting of December Tim Steele seconded, 7, 2017 until1 :00 p.m. and this motion PASSED 11 -0.
