CITY OF BLUE SPRINGS, MISSOURI MINUTES OF LAND BANK MEETING MARCH 18, 2019 A meeting of the Land Bank of Blue Springs, Missouri was held on Monday, March 18, 2019 at 3:00 p.m. in the Council Executive Conference Room of the Howard L Brown Public Safety Building, 1100 SW Smith Street, Blue Springs, Missouri with Chairman Johnson presiding. CALL TO ORDER Chairman Johnson called the Land Bank meeting to order at 3:00 p.m. APPROVE BOARD Commissioner May moved to approve the minutes of the February 19, MINUTES 2019 meeting of the Land Bank of Blue Springs. Motion S'econded by Commissioner White-Baldridge and carried unanimously. BOARD DISCUSSION - Board Secretary Julia Porter presented the results of the 2019 Farm 2019 FARM LEASE BID Lease Bid Opening held on Thursday, March 14, 2019 at 2:00 p.m. RESPONSES The bid responses are attached to these minutes. APPROVAL OF FARM Commissioner Fairbanks moved to approve a Farm Lease with LLS LEASE FOR PARCELS Chapman Farms, LLC in the amount of$ 10,087.00 for the following 2017-03, 2017-04, parcels: 2017-05, AND 2017-06 • 2017-03-41-700-03-03-00-0-00-000 • 2017-04-54-100-02-03-00-0-00-000 • 2017-05-54-200-01-08-00-0-00-000 • 2017-06-54-200-04-10-00-0-00-000 Motion seconded by Commissioner May and carried unanimously. A copy of the Lease is attached to these minutes. APPROVAL OF FARM Commissioner May moved to approve a Farm Lease with LLS LEASE FOR PARCEL Chapman Farms, LLC in the amount of$ 181.00 for the following 2014-05 parcel: • 2014-05-54-420-98-03-01-0-00-000 Motion seconded by Commissioner Fairbanks and carried unanimously. A copy of the Lease is attached to these minutes. LAND BANK REPORT Board Secretary Julia Porter presented The Land Bank Report 2013- 2013-2018 2018. The Land Bank Report 2013-2018 is attached to these minutes and is posted on the Land Bank's webpage. EXECUTIVE SESSION At 3:14 p.m. , Commissioner May moved that the Land Bank go into executive session pursuant to Section 610.021, subparagraph (2), Revised Statues of Missouri, for the purpose of privileged communications between a governmental body or its representative and legal counsel relating to real estate, and that any minutes, documents, and other records discussed or taken during the executive session remain closed, and at the conclusion of the executive session the Board shall stand adjourned. CALL TO ORDER Chairman Johnson called the Land Bank meeting to order at 3:21 p.m. APPROVE BOARD Commissioner Sampson moved to approve the minutes of the January MINUTES 22, 2019 meeting of the Land Bank of Blue Springs. Motion seconded by Commissioner May and carried unanimously. AUTHORITY TO Commissioner May moved to authorize the Chairman of the Land NEGOTIATE AND Bank to negotiate and execute amendments or addendums to any real EXECUTE LISTING estate listing agreement or listing contract approved by the Land Bank, AGREEMENTS that are not a substantial or material change to the contract or a change to any listing or sale price for property. Motion seconded by Commissioner Sampson and carried unanimously. AMEND POLICIES AND Commissioner Sampson moved to approve the amendment to the PROCEDURES Policies and Procedures for the Acquisition and Disposal of Properties. Motion seconded by Commissioner May and carried unanimously. A redlined copy of the Policies and Procedures is attached to these minutes. The Conflict of Interest Policy is attached to these minutes. The Land Bank of Blue Springs, Missouri reserves the right, if mutually agreed by the contractor, to extend this lease or a portion thereof for one additional period ending on December 31, 2020, and the rental to be paid for the additional year shall be the same as for the first period, adjusted proportionately for any changes to the leased land. EFFECTIVE DATE. The provisions of this Agreement shall be effective immediately and shall terminate on December 31, 2019, unless previously terminated as provided herein. 2. DESCRIPTION OF REAL ESTATE. Lessor hereby leases to Lessee and Lessee hereby takes from Lessor the real estate set forth above, located in Jackson County, Missouri, for the purpose of planting row crops on approximately 123+/- tillable acres of the premises. 3. RENT. As rent for the premises through December 31, 2019, Lessor shall receive the sum of $~1oo/~--to be paid upon execution of this Lease. 4. POSSESSION. Lessee shall be entitled to possession immediately, and shall yield possession to Lessor on December 31, 2019 or upon termination of this lease, whichever occurs first. 5. OPTION TO RENEW. The Land Bank of Blue Springs and Lessee may mutually agree to extend this Lease or a portion of this Lease for one year, terminating on December 31, 2020. The rent for the extended term will be the same as the original term, adjusted proportionately for changes to the leased land, due to Land Bank of Blue Springs on January 1, 2020. 6. CONVEYANCE OF REAL ESTATE. Nothing herein contained shall prevent Lessor from conveying real estate to any other person and thereby modifying this Lease. It is agreed that any sale will be contingent on either buyer honoring the terms of this Lease or at a minimum allowing Lessee to remove any crops planted at the proper time to market them and to receive the money they bring when sold. 7. LAND USE. It is particularly understood and agreed between the parties that this Lease shall only authorize Lessee to plant row crops on approximately 123+/- acres of the premises at the sole cost of Lessee. Further, Lessor and Lessee agree that Lessee shall not be authorized to run cattle on the premises; shall not be authorized to hunt game; and shall not be authorized to cut live trees for sale or personal use. Lessee agrees to commit no waste or damage on said premises and to permit none to be committed including but not limited to fencing, timber, nor damage to any building or structure thereon, natural wear and tear or damage by the elements excepted. 8. RIGHT TO RE-ENTER. The Lessor reserves the right for itself, its agents or employees or its assigns to enter the real estate at any reasonable time to: a. Consult with the Lessee; and b. Make repairs, improvements and inspections. 9. NO RIGHT TO SUB-LEASE. The Lessor does not convey to the Lessee the right to lease or sublet any part of the premises or to assign the Lease to any person or persons whomsoever. Lessee shall not allow any other persons or entities to possess or use the premises or to remove from the premises any trees, dirt, fixtures, or any other thing, living or not, without Lessor's express written consent. 10. DUTY OF LESSEE. The Lessee agrees to comply with all rules, conditions and provisions as set forth by the Natural Resources Conservation Service of the U.S. Department of Agriculture in order to keep "qualified" all land rented under this contract and thereby said land will continue to meet any and all requirements set as a condition for various crop and insurance programs. 11. AMENDMENT AND ALTERATIONS. Amendment and alterations of this Lease shall be in writing and shall be signed by both the Lessor and Lessee. 12. LIABILITY AND INSURANCE. Lessor will not be liable for personal injury or for damage to or loss of Lessee's machinery or other personal property of Lessee, unless such injury or damage Is by willful or intentional acts of Lessor. Lessee shall indemnify and hold Lessor and Its property, including the premises, free and harmless from all obligations and liabilities incurred by Lessee in conducting farming or other operations on the premises, whether under this lease or otherwise. Should any other party recover or seek to recover any damages for injury described in this paragraph, except those resulting from the willful and Intentional acts of the Lessor, Lessee shall Indemnify and hold the Lessor harmless concerning any amounts recovered and Lessor's reasonable attorney's fees In defending any such action. Lessee agrees to maintain Comprehensive General Liability Insurance with a minimum limit $2,000,000 combined single limit for bodily injury and property damage per occurrence with Land Bank of Blue Springs named as an additional insured on the policy. 13. TERMINATION. Failure of Lessee to fulfill its obligations under this Lease shall constitute a breach of the Lease, and Lessor shall thereupon have the right to terminate the contract by giving thirty (30) days' notice In writing by U.S. Postal Service Mall to Lessee at the address above. 14. BINDING EFFECT. This Lease shall be binding upon the parties thereto, their heirs, personal representatives, successors and assigns. The land bank agency is composed of a Board of Commissioners consisting of 5 members, all of whom are residents of Blue Springs. Three commissioners are appointed by the Mayor of Blue Springs, one commissioner is appointed by Jackson County, and the other commissioner is appointed by the School District. Missouri Land Bank Legislation, which became effective August 28, 2012, authorized any municipality located within a county that had a land trust operating on January 1, 2012, to create a land bank agency. That legislation also provided that any property owned by the county’s land trust would be transferred to the newly created land bank agency as soon as possible after its formation. On March 4, 2013, the City of Blue Springs passed Ordinance No. 4429 creating the Land Bank of Blue Springs. Properties in Blue Springs held by the Jackson County Land Trust due to non- payment of back taxes were transferred to the Land Bank of Blue Springs. All properties sold for back taxes where the bid was not sufficient to pay the judgment are transferred to the Land Bank rather than the Jackson County Land Trust. The Board adopted Policies and Procedures for the Acquisition and Disposal of properties. These guidelines are used to determine which properties are offered for sale, the requirements for offers and how offers are evaluated. Each year, a budget is prepared and presented to the Board for adoption. Throughout the year, quarterly financial statements are reviewed by the Board and included on the meeting agendas for discussion. Properties that are transferred to the Land Bank from Jackson County are recorded at the market value the county has listed at the time of the transfer. The gain or loss on sale of property is calculated as the difference between the property’s sales price and the market value of the property as determined by the county. SOUTH AREA SEWER NEIGHBORHOOD IMPROVEMENT DISTRICT The Land Bank of Blue Springs has acquired a total of 14 properties in the boundary of the South Area Sewer Neighborhood Improvement District (NID), totaling approximately 430 acres. The NID was formed after the annexation of approximately 1,500 acres of undeveloped property into the corporate limits of the City of Blue Springs. The purpose of the NID is to provide funding to build sewer infrastructure that would enable the area to be developed. The City issued 20- year NID Bonds in 2009 to be repaid through special assessments on the properties. Growth and development in the NID decreased significantly when the recession started in 2008. In some cases, the taxes and NID special assessments went unpaid and the properties were transferred to the Land Bank. The proceeds of sales of property located within the Neighborhood Improvement District are transferred to the City’s Sewer Fund to cover special assessments previously not collected on the property. The total unpaid NID assessments on property held by the Land Bank as of September 30, 2018, are $2,819,133. EASEMENT WITH TRI-COUNTY WATER SUPPLY The Land Bank sold temporary and permanent easements on a portion of Parcel 2015-04-54- 330-98-02-01-0-00-000 on March 3, 2016 for $6,270.00 to Tri-County Water Authority. EASEMENTS WITH CITY OF BLUE SPRINGS • The Land Bank dedicated a Permanent Easement and Temporary Construction Easement to the City of Blue Springs on a portion of Parcel 2014-05-54-420-98-03-01-0- 00-000 on April 13, 2017. The easements were needed to expand a stormwater detention basin located on the development neighboring the parcel on the west. • The Land Bank dedicated a Permanent Sanitary Sewer Easement to the City of Blue Springs on a portion of 2016-03-41-800-03-02-01-5-00-000 on June 8, 2017. AGREEMENT TO HAUL DIRT OFF OF PARCEL 2014-03 The Land Bank entered into a Hold Harmless Agreement with Ken Soule Trucking on May 17, 2018 to cover the Land Bank in case of any injury on the property. The Land Bank has a verbal agreement with Ken Soule Trucking to haul most of the dirt and debris off of Parcel 2014-03-54- 410-99-10-00-0-00-000.
