CONFERENCE WITH REAL PROPERTY NEGOTIATOR A closed session will be held, pursuant to Government Code § 54956.8, to enable the Housing Authority to consider negotiations with R44 Lending Group, LLC, Peter Starflinger, with whom the Housing Authority is negotiating, and to give direction to its negotiators Cecil Rhambo, Acting Executive Director and Barry Waite, Acting Community Development Director regarding that certain real property known as 218 W. Carson St., Carson, CA 90745. The Authority's real property negotiator will seek direction from the Authority Board regarding the price, conditions and terms of payment for the property. Item No. 2. CONSENT to the transfer of the Del Amo Parcel, and the Partial Assumption and Assignment Agreement, between Marketplace as Assignor and Carson Holdings as Assignee, subject to approval as to form by the City attorney and approval by City staff that the improvements listed in Exhibit B to the Partial Assumption and Assignment Agreement are correct. THIS ACTION TO BE TAKEN BY CITY COUNCIL ONLY; b. AUTHORIZE the Mayor to execute the consent to the Partial Assumption and Assignment Agreement in form approved by the City Attorney [Exhibit C]. THIS ACTION TO BE TAKEN BY CITY COUNCIL ONLY; c. CONSENT to "Partial Termination of Regulatory Agreement and Declaration of Covenants, Conditions and Restrictions" [Exhibit F]. The Mayor to execute on behalf of the City of Carson and Board Chair to execute on behalf of the Successor Agency a consent to Partial Termination of Regulatory Agreement and Declaration of Covenants, Conditions and Restrictions. THIS ACTION TO BE TAKEN JOINTLY BY CITY COUNCIL AND SUCCESSOR AGENCY BOARD, with Successor Agency action to be FORWARDED TO OVERSIGHT BOARD for Oversight Board and State Department of Finance approval/ratification; d. APPROVE the form of the revised Declaration of Covenants, Conditions and Restrictions to be recorded on the Del Amo Parcel subject to approval as to form by City Attorney [Exhibit D]. THIS ACTION TO BE TAKEN BY CITY COUNCIL ONLY; and e. APPROVE the form of a "Termination of Declaration of Substandard Property" relating to substandard condition of the Property [Exhibit E]. APPROVE a contract serves agreement with Mr. Charles Davis in an amount not to exceed $7,000, together with reasonable out of pocket expenses, following APPROVAL of the same as to form by the City Attorney. 3. APPROVE an amendment to the November 3, 2014 contract services agreement with Mr. Charles Davis in the amount of $13,000 for additional services performed for the March 3, 2015 general municipal election.
