ADJOURNMENT  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #135-25 RESOLUTION AUTHORIZING THE EXECUTION OF A WATER AGREEMENT FOR CLINTON MOEBUS 34, LLC (Block 14, Lot 32, Town of Clinton) WHEREAS, Developer is the owner of certain property that is known and designated as Block 14, Lot 32 on the Tax Maps of the Town of Clinton (the “Property”); and WHEREAS, the Developer received approval from the Town of Clinton Land Use Board to develop the Property with fifty-six (56) three-bedroom residential townhomes, one (1) food market; one (1) gas station, and one (1) restaurant (the “Project”); and WHEREAS, on September 25, 2024, pursuant to Resolution #123-24 the Town approved Water Reservation Application #L24-05, submitted by the Developer, to supply 18,162.25 GPD; and WHEREAS, Developer has requested that the Town endorse a New Jersey Department of Environmental Protection (NJDEP) Bureau of Water System Engineering (BWSE) permit application; and WHEREAS, the Town is willing to supply potable water to the property in accordance with the terms of a Water Agreement (attached hereto), subject to available capacity; and WHEREAS, Developer is willing to install certain water system improvements subject to the terms of this Agreement because it recognizes that upgrades to the infrastructure servicing the Property are required to meet the New Jersey Administrative Code (N.J.A.C.) Residential Site Improvement Standards, (N.J.A.C. 5:21-5.3), Safe Drinking Water Act (N.J.A.C. 7:10-11.10), and Insurance Services Office (ISO) Standards regarding fire protection; WHEREAS, the parties hereto wish to set forth their agreement in writing in a form substantially similar to that attached hereto; NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Town of Clinton, Hunterdon County, New Jersey, as follows: 1. The Mayor and Clerk are hereby authorized to execute the Water Agreement between the Town of Clinton and the Developer in a form substantially similar as attached hereto as Exhibit A. 2. This Resolution shall take effect immediately. I hereby certify the foregoing to be a true copy of a Resolution adopted by the Town of Clinton Council at a meeting held on September 10, 2025. _________________________ ________________________ Suzannah Givone, RMC, CMR Janice Kovach, Mayor Town Clerk Adopted: September 10, 2025  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #136-35 RESOLUTION REJECTING BIDS RECEIVED FOR THE 43 LEIGH STREET STORAGE BARN STRUCTURAL REPAIR PROJECT WHEREAS, the Town of Clinton publicly advertised, and subsequently received bids for the 43 Leigh Street Storage Bard Structural Repair Project on August 6, 2025; and WHEREAS, three (3) bids were received as follows: • Charles Mann General Contracting o $394,681.00 • Force Concrete & Masonry Corporation o $504,013.00 • Pax Mundus Enterprises, LLC o $931, 440.00 WHEREAS, all of the bids submitted substantially exceed the cost estimates for the project, which is cause for rejection in accordance with NJSA 11-13.2a; and WHEREAS, all of the bids submitted substantially exceed the Town of Clinton’s budgetary appropriation for the project, which is cause for rejection in accordance with NJSA 11-13.2a; and WHEREAS, the bids were reviewed by the Town Administrator, Chief Financial Officer and Town Attorney who confirmed the above reasons for rejection. NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Town of Clinton, County of Hunterdon, State of New Jersey, hereby reject all bid submissions. Resolution #136-25 BE IT FURTHER RESOLVED, that copies of the resolution are forwarded to all bidders. NOW, THEREFORE, BE IT RESOLVED, that the Mayor and Council of the Town of Clinton, County of Hunterdon, state of New Jersey have agreed to reside the conditional offer to hire Tucker Brown to fill the open position at the Town of Clinton Police Department effective August 18, 2025. ____________________________ Janice Kovach Mayor Adopted: September 10, 2025 Attest: Suzannah Givone, RMC, CMR Town Clerk  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #138-25 RESOLUTION AUTHORIZING REFUND OF REVENUE WHEREAS, on July 7, 2025, the Chief Financial Officer received two checks from Spruce Run LIHTC 2, LLC (Ingerman); and WHEREAS, a check in the amount of $388,500.00 was deposited in the Town of Clinton Sewer Utility and a check in the amount of $399,000.00 was deposited in the Town of Clinton Water Utility, each stated for water and sewer allocation; WHEREAS, the Chief Financial Officer was contacted on August 19, 2025 by a representative of Spruce Run LIHTC 2, LLC (Ingerman) to inform her that the checks were sent to the Town of Clinton in error; and WHEREAS, the Chief Financial Officer verified with the Business Administrator that the checks were indeed not intended for the Town of Clinton; and WHEREAS, the Chief Financial Officer contacted the Town’s auditor to confirm that the funds should be returned by check under the account title of Refund of Revenue. NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Town of Clinton, County of Hunterdon, State of New Jersey to authorize the Chief Financial Officer to issue checks to Spruce Run LIHTC 2, LLC in the amounts of $388,500.00 and $399,000.00 on the bill list of August 27, 2025. _________________________ Janice Kovach, Mayor Adopted: September 10, 2025 Attest: _____________________ _ Suzannah Givone, RMC, CMR  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #139-25 RESOLUTION APPROVING WATER CAPACITY RESERVATION APPLICATION # L23-05 WHEREAS, on March 24, 2015, the Mayor and Council of the Town of Clinton adopted Ordinance 15-1, which amended Chapter 142 of the General Ordinances of the Town of Clinton by creating procedures for applying for and receiving approval for water reservations; and WHEREAS, the Town has received the original Water Reservation Application # L23-05, dated June 7, 2023, submitted in the name of Ingerman Development Company, LLC (Township of Clinton Block 70, Lots 6 & 6.01, Tax Map Page 13, located at 1726-1730 Route 31 North); and WHEREAS, the Town has received the original Water Reservation Extension Application # L23-05, dated August 12, 2024, submitted in the name of Spruce Run Properties, LLC (Township of Clinton Block 70, Lots 6 & 6.01, Tax Map Page 13, located at 1726-1730 Route 31 North); and WHEREAS, the Town has received the original second (and final) Water Reservation Extension Application # L23-05, dated July 21, 2025, submitted in the name of Ingerman Development Company, LLC (Township of Clinton Block 70, Lots 6 & 6.01, Tax Map Page 13, located at 1726-1730 Route 31 North); and WHEREAS, this project is part of the Township of Clinton’s Affordable Housing Plan and there was a previous water reservation approved/assigned for these properties held by the Township of Clinton for their affordable housing plan, L20-06, in the amount of 14,052 GPD, and this supplemental application being sought by Ingerman Development Company, LLC is only seeking the balance of the GPD needed to complete the project; and WHEREAS, on August 7, 2025, the Town’s Water Consulting Engineer, Suburban Consulting Engineers, informed the Town of Clinton Water Committee of their recommendation of approval of the afore-mentioned application which proposes development of 96 affordable residential dwellings with a resident-only clubhouse and leasing office; and WHEREAS, on August 20, 2025 the Town’s Water Committee held their monthly meeting in which they have reviewed and approved said application and deemed it complete. NOW, THEREFORE BE IT RESOLVED, that in accordance with Chapter 142, Section 1, Sub-section J(3) of the Town’s Ordinances, the Mayor and Council hereby approved the second and final extension for Water Reservation Application # L23-05 in the amount of 854 GPD. BE IT FURTHER RESOLVED, that this permit approval will be valid for twelve (12) months and will expire on July 26, 2026. BE IT FURTHER RESOLVED, that in accordance with Chapter 142, Section E, the water reservation under Application L23-05 may be only be renewed for a total of two one-year periods. (i.e. with extensions, a water reservation may be valid for up to three years), to which this approval serves as the second of two extensions permitted, and after the expiration date noted above, this water reservation permit will no longer be valid. Resolution #139-25 BE IT FURTHER RESOLVED, that certified copies of this resolution be provided to the Applicant, Suburban Consulting Engineers, and the Town of Clinton Superintendent of Water. ____________________________________ Mayor Janice Kovach Adopted: September 10, 2025 Attest: Suzannah Givone, RMC, CMR Town Clerk  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #140-25 RESOLUTION APPROVING WATER CAPACITY RESERVATION APPLICATION # L23-07 WHEREAS, on March 24, 2015, the Mayor and Council of the Town of Clinton adopted Ordinance 15-1, which amended Chapter 142 of the General Ordinances of the Town of Clinton by creating procedures for applying for and receiving approval for water reservations; and WHEREAS, the Town has received original Water Reservation Application # L23-07, dated June 9, 2023, submitted in the name of American Baptist Churches of New Jersey (Township of Clinton Block 33, Lot 13, Tax Map Page 1, located at 79 Blossom Hill Road); and WHEREAS, the Town has received the original Water Reservation Extension Application # L23- 07, dated July 24, submitted in the name of American Baptist Churches of New Jersey (Township of Clinton Block 33, Lot 13, Tax Map Page 1, located at 79 Blossom Hill Road); and WHEREAS, the Town has received the original second (and final) Water Reservation Extension Application # L23-05, dated August 7, 2025, submitted in the name of American Baptist Churches of New Jersey (Township of Clinton Block 33, Lot 13, Tax Map Page 1, located at 79 Blossom Hill Road); and WHEREAS, on August 13, 2025, the Town’s Water Consulting Engineer, Suburban Consulting Engineers, informed the Town of Clinton Water Committee of their recommendation of approval of the afore-mentioned application which proposes which proposes the installation of a dedicated fire service line only with no anticipated daily water usage; and WHEREAS, on August 20, 2025 the Town’s Water Committee held their monthly meeting in which they have reviewed and approved said application and deemed it complete. NOW, THEREFORE BE IT RESOLVED, that in accordance with Chapter 142, Section 1, Sub- section J(3) of the Town’s Ordinances, the Mayor and Council hereby approved Water Reservation Application # L23-07 for the installation of a fire service line with no daily water use. BE IT FURTHER RESOLVED, that this permit approval will be valid for twelve (12) months and will expire on July 26, 2026. BE IT FURTHER RESOLVED, that in accordance with Chapter 142, Section E, the water reservation under Application L23-05 may be only be renewed for a total of two one-year periods. (i.e. with extensions, a water reservation may be valid for up to three years), to which this approval serves as the second of two extensions permitted, and after the expiration date noted above, this water reservation permit will no longer be valid. Resolution# 140-25 BE IT FURTHER RESOLVED, that certified copies of this resolution be provided to the Applicant, Suburban Consulting Engineers, and the Town of Clinton Superintendent of Water. Janice Kovach, Mayor Adopted: September 14, 2025 Suzannah Givone, RMC, CMR Town Clerk  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #141-25 RESOLUTION APPROVING WATER CAPACITY RESERVATION APPLICATION # L23-08 WHEREAS, on March 24, 2015, the Mayor and Council of the Town of Clinton adopted Ordinance 15-1, which amended Chapter 142 of the General Ordinances of the Town of Clinton by creating procedures for applying for and receiving approval for water reservations; and WHEREAS, the Town has received original Water Reservation Application # L23-08, dated June 9, 2023, submitted in the name of South Ridge Community Church, (Franklin Township, Block 5, Lot 25, Tax Map Page 1); and WHEREAS, the Town has received the original request for Water Reservation Extension Application Extension # L23-08, dated August 7, 2024, submitted in the name of South Ridge Community Church, (Franklin Township, Block 5, Lot 25, Tax Map Page 1); and WHEREAS, the Town has received the original second (and final) Water Reservation Extension Application # L23-08, dated July 31, 2025, submitted in the name of South Ridge Community Church, (Franklin Township, Block 5, Lot 25, Tax Map Page 1); and WHEREAS, on August 15, 2025, the Town’s Water Consulting Engineer, Suburban Consulting Engineers, informed the Town of Clinton Water Committee of their recommendation of approval of the afore-mentioned application which proposes to connect their existing facility that is current served by a private well to the public water system; and WHEREAS, on August 20, 2025 the Town’s Water Committee held their monthly meeting in which they have reviewed and approved said application and deemed it complete. NOW, THEREFORE BE IT RESOLVED, that in accordance with Chapter 142, Section 1, Sub- section J(3) of the Town’s Ordinances, the Mayor and Council hereby approved Water Reservation Application # L23-08 in the amount of 870 GPD. BE IT FURTHER RESOLVED, that this permit approval will be valid for twelve (12) months and will expire on August 23, 2026. BE IT FURTHER RESOLVED, that in accordance with Chapter 142, Section E, the water reservation under Application L23-08 may be only be renewed for a total of two one-year periods. NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Town of Clinton, County of Hunterdon, State of New Jersey that Change Order Number 1 for the Town of Clinton Police Department Renovation Project be approved with a zero-dollar change in the contract amount. BE IT FURTHER RESOLVED, that certified copies of this resolution be provided to the Applicant, Nader House of Design, and S. Houran USA Contractors. Janice Kovach, Mayor Adopted: September 10, 2025 Attest: Suzannah Givone, RMC, CMR Town Clerk  TOWN OF CLINTON COUNTY OF HUNTERDON RESOLUTION #145-25 RESOLUTION AUTHORIZING THE ADMINISTRATOR TO EXECUTE THE STATEMENTS OF CONSENT AND TREATMENT WORKS APPROVAL APPLICATION TO THE STATE OF NEW JERSEY DEPARTMENT OF ENVIRONMENTAL PROTECTION WITH REGARDS TO CLINTON MOEBUS 34, LLC, CLINTON, NJ 08809 – TOWN OF CLINTON BLOCK 14, LOT 32 WHEREAS, there is a need by Clinton Moebus 34, LLC to apply for Treatment Works Approval from the State of New Jersey Department of Environmental Protection Division of Water Quality in connection with the sanitary sewer main extension required for their residential and non- residential development on Block 14, Lot 32 in the Town of Clinton (the “Project”); and WHEREAS, the Town of Clinton, as owner/operator of the Waste Water Treatment Facility, is required to consent to the filing of the Treatment Works Approval Permit Application for the Project; and WHEREAS, by letter dated August 27, 2025, the Town’s Sewer Consulting Engineer, Suburban Consulting Engineers, has received sufficient information from the applicant to recommend the Town endorse the Treatment Works Approval Permit Application. NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Town of Clinton, County of Hunterdon, State of New Jersey that the Administrator is authorized to sign for the Governing Body at appropriate locations on the NJDEP WQM-003 Statements of Consent Form and TWA-1 Treatment Works Approval Permit Application to be filed in connection with the Project. BE IT FURTHER RESOLVED, that a certified copy of this resolution be sent to Clinton Moebus 34, LLC, and Suburban Consulting Engineers. _______________________________________ Janice Kovach, Mayor Adopted: September 10, 2025 Attest: _______________________________ Suzannah Givone, RMC, CMR Town Clerk  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #146-28 RESOLUTION AUTHORIZING MEMBER PARTICIPATION IN A COOPERATIVE PRICING SYSTEM AND ENTERING INTO A COOPERATIVE PRICING AGREEMENT, SAVVIK BUYING GROUP, LLC WHEREAS, N.J.S.A. 40A:11-11(5) authorizes contracting units to establish a Cooperative Pricing System and to enter into Cooperative Pricing Agreements for its administration; and WHEREAS, Savvik Buying Group, LLC, hereinafter referred to as the “Lead Agency” has offered voluntary participation in a Cooperative Pricing System for the purchase of goods and services; and WHEREAS, the Town’s emergency medical services provider, South Branch Emergency Services, has recommended participation in such Cooperative Pricing System; and WHEREAS, on September 10, 2025 the governing body of the Town of Clinton duly considered participation in a Cooperative Pricing System for the provision and performance of goods and services. NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Town of Clinton, Hunterdon County, New Jersey, as follows: 1. Pursuant to the provisions of N.J.S.A. 40A:11-11(5), the Mayor and Council of the Town of Clinton hereby authorized to enter into a Cooperative Pricing Agreement with the Lead Agency. 2. The Lead Agency shall be responsible for complying with the provisions of the Local Public Contracts Law (N.J.S.A. 40A:11-1, et seq.) and all other provisions of the revised statutes of the State of New Jersey. 3. This Resolution shall take effect immediately. I hereby certify the foregoing to be a true copy of a Resolution adopted by the Town of Clinton Council at a meeting held on September 10, 2025. _________________________ ________________________ Suzannah Givone, RMC, CMR Janice Kovach, Mayor Town Clerk  TOWN OF CLINTON HUNTERDON COUNTY, NEW JERSEY RESOLUTION #147-2025 A RESOLUTION AUTHORIZING THE HIRING OF A FINANICAL EXPERT WHEREAS, pursuant to Resolution #55-24, adopted on February 14, 2024, the Town Council designated a portion of Block 3, Lot 2 (i.e. the former Holiday Inn site) (the “Property”) as an area in need of redevelopment pursuant to the Local Redevelopment and Housing Law, N.J.S.A. 40A:12A-1 et seq.; and WHEREAS, the Town has not yet adopted a redevelopment plan pertaining to the Property or entered into a Redevelopment Agreement with the owner of the Property; and WHEREAS, the owner of the Property intends to make an application to the Town under the Long-Term Tax Exemption Law for approval of an agreement for payment in lieu of taxes, (hereinafter referred to as a “Financial Agreement”); and WHEREAS, the Town requires specialized advice from an expert on the terms of such Financial Agreement; and WHEREAS, funds are or will be made available, up to, but not to exceed $7,000, for this purpose to be certified by the Treasurer; and WHEREAS, the Local Public Contracts Law (N.J.S.A. 40A:11-1 et seq.) authorizes the hiring of a professional without competitive bidding providing that the resolution authorizing the award of contracts for “Professional Services” without competitive bidding and the contract itself be made available for public inspection. Resolution #147-25 NOW, THEREFORE, BE IT RESOLVED by the Town Council of the Town of Clinton, County of Hunterdon, State of New Jersey as follows: 1. The Mayor and Clerk are authorized to execute a contract with Richard Reading in a form acceptable to the Town Attorney and in an amount not to exceed $10,000. 2. This contract is awarded without competitive bidding as a “Professional Service” under the provisions of the Local Public contracts Law, subject to N.J.S.A. 40A:5-11, which states that “No local unit shall be required to advertise for bids for any of the work performed pursuant to 40A:5-4.” 3.
