Tax Increment Reinvestment Zone (TIRZ) No. 1 & No. 2 Board Regular Meeting Minutes December 3 , 2018 at 4:00 p.m. A Regular Meeting of the TIRZ No. 1 & No. 2 Board was held Monday, December3, 2018 beginning at 4:00 p.m. in in the City Hall Council Chambers located at 511 Mercer Street, Dripping Springs, Texas. I. CALL TO ORDER AND ROLL CALL Board Members present were: Dave Edwards, Chair Mim James, Vice Chair Mike Figer Dr. Bruce Gearing John McIntosh Bob Richardson (Advisory Board Member) Board Members absent were: Missy Atwood Ray Whisenant Ron Jones (Advisory Board Member) City Staff/Appointed Officials present were: Michelle Fischer, City Administrator Laura Mueller, City Attorney Keenan Smith, TIRZ Projects Manager Council Member John Kroll Council Member Taline Manassian Darren Smith, Economic and Planning Systems, Inc (via Teleconference) Jim Adams, McCann Adams Studio (via Teleconference) With a quorum of the Board present, Chair Edwards called the meeting to order at 4:08 p.m. II. PRESENTATION OF CITIZENS Floor open to discussion on any subject. No action may be taken by law. Citizens wishing to speak shall do so after being recognized by the Chair. The Chair may establish a time limit as necessary. No one spoke during Presentation of Citizens. III. MINUTES A. Discuss and consider approval of the TIRZ No. 1 & No. 2 Board regular meeting minutes of October 1, 2018. TIRZ No. 1 & No. 2 Board December 3, 2018 Regular Meeting Minutes Page 1 of 4  A motion was made by Chair James to approve the TIRZ No. 1 & No. 2 Board regular meeting minutes of October 1, 2018. Board Member McIntosh seconded the motion which carried unanimously 5 to 0. IV. BUSINESS A. Update and discussion regarding the TIRZ Town Center Project Dripping Springs Community Library and Dripping Springs ISD Bi-Lateral Agreement Board Member Dr. Gearing gave an update on the agreement, which will be on the December 17, 2018 DSISD Board Meeting Agenda for action. B. Update and discussion regarding the TIRZ Town Center Project P3 Implementation Strategies Darren Smith gave an update on the progress of the P3 Implementation Strategies and provided the board with developer feedback. C. Discuss and consider recommendation on Amendment to Interlocal Agreement regarding a request for a time extension for the final draft Interlocal Agreement between the City of Dripping Springs, Dripping Springs Independent School District, Dripping Springs Community Library District, and Tax Increment Reinvestment Zone #1 and Tax Increment Reinvestment Zone #2 related to the Town Center Project Laura Mueller presented the staff report. The extension is for six (6) months and extends the date for final draft to June 20, 2019. Board Member Dr. Gearing asked if the DSISD and Library District Bi-Lateral Agreement will affect the extension. Laura Mueller explained that while it will not affect the extension, and that the extension does need to be approved by City Council, Library District and DSISD. A motion was made by Board Member Figer to recommend City Council approval of an Amendment to Interlocal Agreement regarding a request for a time extension for the final draft Interlocal Agreement between the City of Dripping Springs, Dripping Springs Independent School District, Dripping Springs Community Library District, and Tax Increment Reinvestment Zone #1 and Tax Increment Reinvestment Zone #2 related to the Town Center Project. Chair James seconded the motion which carried unanimously 5 to 0. D. Update and discussion regarding TIRZ Priority Projects 1. FY 2019 Project Activities Task Order No. 2 Keenan Smith provided an update on FY 2019 TIRZ Project Activities and reviewed budget requests for Task Order No. 2. 2. Old Fitzhugh Road Development Project Coordination TIRZ No. 1 & No. 2 Board December 3, 2018 Regular Meeting Minutes Page 2 of 4  Keenan Smith provided an update on the project. Currently the project is working on the drainage easement and coordination with development applicant on the street. E. Update and discussion regarding TIRZ Cost Participation & Cost Allocation Agreement 1. Taussig Coordination Workshop Vice Chair James provided the update and the workshop is scheduled for December 20, 2018 and will include representatives from Taussig & Associates, City Treasurer Gina Gillis, City Administrator Michelle Fisher, TIRZ Project Manager Keenan Smith, Chair Dave Edwards and Board Member Dr. Gearing. Vice Chair James will let the participants know what time the meeting will be. 2. Current Project Cost Analysis and Summary Vice Chair James provided the update on project cost analysis which is on file. F. Update and discussion regarding TIRZ Administrator Taussig & Associates Vice Chair James provided an update. G. Discussion regarding the Appointment of TIRZ Board Members The Board discussed appointments to the TRIZ Board. All members will expire on December 31, 2018, and all members expressed interest in reappointment. Michelle Fischer explained that there are two seats reserved for appointments by the Hays County Commissioner. H. Discuss and consider approval of the 2019 TIRZ No. 1 & No. 2 Board Meeting Calendar A motion was made by Chair Edwards to approve the 2019 TIRZ No. 1 & No. 2 Board Meeting Calendar with the September meeting changed to September 9, 2019. Board Member McIntosh seconded the motion which carried unanimously 5 to 0. V. EXECUTIVE SESSION The TIRZ No. 1 & No. 2 Board for the City of Dripping Springs has the right to adjourn into executive session at any time during the course of this meeting to discuss any matter as authorized by Texas Government Code Sections 551.071 (Consultation with Attorney), 551.072 (Deliberations about Real Property), 551.073 (Deliberations about Gifts and Donations), 551.074 (Personnel Matters), 551.076 (Deliberations about Security Devices), and 551.086 (Economic Development). The TIRZ No. 1 & No. 2 Board for the City of Dripping Springs may act on any item listed in Executive Session in Open Session or move any item from Executive Session to Open Session for action.
