Tax Increment Reinvestment Zone (TIRZ) No.1 & No. 2 Board Workshop & Special Meeting Minutes December 12, 2019 at 9:00 a.m. A Workshop & Special Meeting of the Tax Increment Reinvestment Zone (TIRZ) No. 1 & No. 2 Board was held Thursday, December 12, 2019 beginning at 9:00 a.m. in the City Hall Council Chambers located at 511 Mercer Street, Dripping Springs, Texas. I. CALL TO ORDER AND ROLL CALL Board Members present were: Dave Edwards, Chair Mim James, Vice Chair Missy Atwood Walt Smith Bob Richardson (Advisory Board Member) Board Members absent were: Mike Figer John McIntosh Ron Jones (Advisory Board Member) City Staff/Appointed Officials present were: City Secretary Andrea Cunningham City Counsel Alessandra Gad Council Member John Kroll Council Member Taline Manassian TIRZ Projects Manager Keenan Smith TIRZ Consultant Darin Smith With a quorum of the Board present, Chair Edwards called the meeting to order at 9:09 a.m. A motion was made by Vice Chair James to hear Minutes Agenda Item A first. Board Member Atwood seconded the motion which carried unanimously 4 to 0. Via unanimous consent, Chair Edwards opened the meeting to Presentation of Citizens. PRESENTATION OF CITIZENS No one spoke during Presentation of Citizens. Minutes Agenda Item A A. Discuss and consider approval of the November 12, 2019 TIRZ No. 1 & No. 2 Board Regular Meeting Minutes. TIRZ No. 1 & No. 2 Board December 12, 2019 Workshop & Special Meeting Minutes Page 1 of 3 A motion was made by Vice Chair James to approve the November 12, 2019 TIRZ No. 1 & No. 2 Board Regular Meeting Minutes with the following corrections: • Strike October in Minutes heading and replace with November. • Insert “item” after “the” on Business Agenda Item B(2). Board Member Atwood seconded the motion which carried unanimously 4 to 0. A motion was made by Vice Chair James to adjourn into Executive Session under Texas Government Code Section 551.071, Consultation with City Attorney and 551.072, Deliberation of Real Property and regarding Executive Session Agenda Item A. Board Member Atwood seconded the motion which carried unanimously 4 to 0. A motion was made by Vice Chair James to not meet in Executive Session at this time and wait until after the Workshop Presentation. Board Member Atwood seconded the motion which carried unanimously 4 to 0. II. WORKSHOP No action will be taken during the Workshop. A. Presentation regarding P3 Implementation Strategy and related to the Town Center Project. 1. Roles & Responsibilities 2. Funding Sources & Uses 3. Land Disposition 4. Terms Darin Smith and Keenan Smith presented the item which is on file. III. MINUTES A. Discuss and consider approval of the November 12, 2019 TIRZ No. 1 & No. 2 Board Regular Meeting Minutes. Action was taken on this item previously in the meeting. IV. BUSINESS A. Discussion and possible action regarding P3 Implementation Strategy and related to the Town Center Project. 1. Roles & Responsibilities 2. Funding Sources & Uses 3. Land Disposition 4. Terms No discussion or action was taken on this item. A motion was made by Board Member Atwood to adjourn into Executive Session under Texas Government Code Section 551.071, Consultation with City Attorney and 551.072, Deliberation of Real Property and TIRZ No. 1 & No. 2 Board December 12, 2019 Workshop & Special Meeting Minutes Page 2 of 3 regarding Executive Session Agenda Item A. Vice Chair James seconded the motion which carried unanimously 4 to 0. V. EXECUTIVE SESSION The TIRZ No. 1 & No. 2 Board for the City of Dripping Springs has the right to adjourn into executive session at any time during the course of this meeting to discuss any matter as authorized by Texas Government Code Sections 551.071 (Consultation with Attorney), 551.072 (Deliberations about Real Property), 551.073 (Deliberations about Gifts and Donations), 551.074 (Personnel Matters), 551.076 (Deliberations about Security Devices), and 551.086 (Economic Development). The TIRZ No. 1 & No. 2 Board for the City of Dripping Springs may act on any item listed in Executive Session in Open Session or move any item from Executive Session to Open Session for action. A. Consultation with City Attorney and Deliberation of Real Property regarding the TIRZ Town Center. Consultation with City Attorney, 551.071; Deliberation of Real Property 551.072 The Board met in Executive Session from 11:03 a.m. – 11:24 a.m. No vote or action was taken during Executive Session. Chair Edwards returned the meeting to Open Session at 11:24 a.m. VI. UPCOMING MEETINGS A.
