EVANSTON CITY COUNCIL Special Meeting April 26th, 2022 The official record of proceedings for a special meeting of the Evanston City Council was held in the Council Chambers of City Hall on the above date. These proceedings were video recorded and streamed live. Mayor Williams led those in attendance in the Pledge of Allegiance to the Flag. The roll was called and with a quorum being present, Mayor Kent Williams called the meeting to order at 5:30 p.m. and welcomed everyone present. Those present from the governing body at the start of meeting were: Mayor Williams; Council members; Tim Lynch, Tib Ottley, Evan Perkes, David Welling, Mike Sellers and Mikal Welling Staff members present were City Attorney, Dennis Boal; City Clerk, Diane Harris; City Treasurer, Trudy Lym; Police Lieutenant, Ken Pearson; Parks & Recreation Director, Scott Ehlers; Community Development Director, Rocco O’Neil; Public Works Director, Gordon Robinson; Director of Engineering & Planning, Dean Barker; Main Street Coordinator/Grant Writer, Mieke Madrid and Information Technology Coordinator, Preston Sheets. Police Chief Mike Vranish was excused. A group of interested citizens was also present. Approve Agenda Council member Welling moved, Council member Ottley seconded, to approve the agenda. The motion passed unanimously with 7 yes votes: Williams, Lynch, Ottley, Perkes, Welling, Sellers and M. Welling. RESOLUTION 22-30 Council member Sellers introduced Resolution 22-30. Council member Sellers moved, Council member Perkes seconded, to adopt Resolution 22-30. A RESOLUTION OF THE GOVERNING BODY OF THE CITY OF EVANSTON, WYOMING AUTHORIZING THE EXECUTION OF THE FIRST AMENDMENT OF THE DEVELOPMENT AGREEMENT WITH AVALON INTERNATIONAL ALUMINUM MFG. INC FOR THE CONSTRUCTION AND DEVELOPMENT OF A LIGHT MANUFACTURING FACILITY. WHEREAS, the City and Avalon entered into a Development Agreement on or about July 31, 2020, (the “Development Agreement”), to facilitate and bring about the construction and development of a light manufacturing facility (the “Project”), which is to be used, leased and perhaps purchased by Avalon; and WHEREAS, the location and operation of such a manufacturing facility in the City of Evanston will bring about significant economic benefits for the City, Uinta County and State of Wyoming; and WHEREAS, in the Development Agreement, the Parties estimated the cost of constructing the Project to be $4,609,000.00 which was to be funded by the City obtaining a grant of $3,000,000.00 and a loan for $1,109,000.00 and a cash match of $500,000.00 from Avalon; and WHEREAS, the Parties have completed the bidding process for two phases of the Project and have learned the Project will cost substantially more than was estimated in the Development Agreement: and WHEREAS, the Parties recognize and agree that each will have to increase their financial contribution if the Project is to be completed; NOW, THEREFORE, BE IT RESOLVED by the governing body of the City of Evanston, Wyoming as follows: Section 1. The City of Evanston hereby approves and authorizes the execution of the attached First Amendment to the Development Agreement with Avalon International Aluminum MFG. Inc, a Wyoming corporation, for the construction and development of a light manufacturing facility. Section 2. The Mayor and City Clerk are authorized to sign and attest the First Amendment to the Development Agreement on behalf of the City of Evanston, Wyoming.
