AIRPORT ADVISORY COMMITTEE
Meeting Minutes: May 19th, 2023
1. Meeting called to order with Open Meetings Act announcement
Meeting was called to order at 8:16 A.M. Open Meeting Act is posted on the wall of
the Airport Terminal, the Act Poster was pointed out to those in attendance.
2. Roll call.
Board Members Present: Bill Dugan Sr., Dave Monke, Robert Steenblock, Eric
Johnson, Alison Adams, and Jeff Peterson.
3. Approval of the April 21st, 2023 meeting minutes
Motion by Dave Monke, and seconded by Alison Adams to approve, motion passed
by vote of members: Dave Monke, Alison Adams, Bill Dugan Sr., Robert
Steenblock, Eric Johnson, and Jeff Peterson.
4. Update on Terminal Warranty work
a. Working on sidewalk with contractors
b. Ronco is working on the backflow device with a local plumber.
5. Update on Runway Rehab Project-Runway Construction Contract
a. Recommendation from the Board on bid from Paulsen. Paulsen is the lowest
bid, which came in May 1st, 2023 and $700,000 lower with a start in 2024.
Waiting for discretionary grant funding in August 2023.
-Motion by Jeff Peterson and seconded by Eric Johnson to approve. Motion
passed by vote of members: Dave Monke, Alison Adams, Bill Dugan Sr., Robert
Steenblock, Eric Johnson, and Jeff Peterson.
b. As the bid came in under the original estimate, there is the ability to add any
other areas needing repair to maximize grant money available. Looking at
possible taxiway repairs.
c. Discuss chemicals to be used for taxiway.
d. Discuss completing a parallel taxiway and repairs.
e. Jeff Peterson discussed offering a discount on hangar leases during
construction. Will follow up in further meetings.
6. Update on Hangar Lease renewal
a. Proposed lease will have no changes in rent for the next 2 years. Escalation of
2.5% after construction is completed in 2025.
-Include clause to give current hangar tenants the option to leave without
penalty after 2 years.
b. Discuss proper use of hangar space and assess fees for non-aircraft. If it is not
aeronautical there will be increased rent.
-Storage is allowed but cannot impede aircraft.
c. Schedule maintenance inspection to catalog repairs needed and ensure hangar
is properly being used.
d. Recommendation to City Council to approve lease updates.
-Motion by Dave Monke and seconded by Alison Adams to approve. Motion
passed by vote of members: Dave Monke, Alison Adams, Bill Dugan Sr., Robert
Steenblock, Eric Johnson, and Jeff Peterson.
7. Action Items to Discuss – None
a. Jeff Peterson discussed LB 727, which could bring sales tax for aircraft to improve
airports.
-Send link to Senator Lynne Walz. The state may use it to pay 5% of the 10% grant
match.
8. Discussion of Maintenance Items
a. Still waiting for update on apron lighting and outlets from Olssen.
b. Update on lawn/sprinklers
-Discuss replacing shrubs and brush.
c. Hangar walk-thru and repair list.
-Moving monument and will coordinate relocating it to near the flagpole.
9. Adjournment

The agenda was distributed to the Mayor, City Council, and Advisory Committee members on May 17th,
2023. The official current copy is available at City Hall, 400 East Military, Public Works Department Office.
The Advisory Committee reserves the right to go into Executive Session when necessary. A copy of the
Open Meeting Law is posted at the Airport terminal building for review by the public. The Board reserves
the right to adjust the order of items on this agenda.

Recommend that the City Council approve Resolution 2023-### to
award the project to Paulsen, Inc., and authorize the Mayor to sign and
Recommendation:
execute the contract with Paulsen, Inc. upon the City being awarded the
FAA Airport Improvement Grant.
Background:
On May 10, 2023 at 1:00 p.m., bids were accepted and opened for the Reconstruct Runway
14/32 project at the Fremont Airport. There were eight (8) bid proposals received. The
project consists of the removal and reconstruction of a section of the Fremont Airport that is
roughly 2,300 feet x 100 feet. These improvements will also involve minor utility relocations
and regrading of the 400’ runway safety zone to meet FAA standards and improve drainage.
Bids received are as follows.

Engineer’s Estimate $4,889,593.00
The contract for this project cannot be signed and executed until such time as the FAA
officially awards the Airport Improvement Grant to the City of Fremont. Due to the condition
of this section of the runway and the quality bids that were received, the City has been told
that they have a very competitive project to receive this discretionary grant.
Reconstruction of Runway 14/32
Fiscal Impact:
The grant that the City of Fremont has applied for requires the City to pay a 10% local share
of the overall project cost. For the construction portion of this project, based upon the bid
received, the City’s contribution will be roughly $420,000. This is roughly $70,000 dollars
below what was expected based upon the engineer’s estimate.

No errors in calculations were found in the bid proposals.
Paulsen, Inc. was the low bidder. Their bid amount was 14.8% less than the engineer’s
estimate.
Paulsen, Inc. provided a 5% bid bond as a bid guaranty in accordance with the contract
documents.
Paulsen, Inc. met the Bidder Qualification requirements listed in the Instructions to Bidders,
page IB-5, since they are prequalified with the Nebraska Department of Transportation as
“General” and are on NDOT’s current bidder’s list as of the bid date.
All bidders acknowledged Addendums No.1 and 2.
Paulsen Inc. is committed to a minimum of 0.67% DBE utilization, which meets the contract goal
of 0.67%. Their proposed DBE subcontractor is All Roads Barricades, who are certified by the
Nebraska Department of Transportation (NDOT).

Paulsen Inc.’s Buy American Certification indicated their full compliance and no waiver was
requested. See attached forms.
The low bidder was not found on the Debarred Prime or Subcontractors List, found at:
www.sam.gov
A list of subcontractors was provided in the bid proposal. Paulsen, Inc. proposed the use of the
following contractors for their associated work:
• Sawyer Construction – Removals, Base, Dirt and Utility
• JB Holland Construction – Cement Treated Subgrade
• Todco, LLC – Pavement Marking
• Green Thumb – Erosion control and Seeding
• Richard’s Electric – Electrical
• All Roads Barricades – Temporary Safety and Phasing
This company has constructed concrete pavement on several Nebraska airports, and they are
qualified to do the work. Following a review of the bids, Olsson recommends that the contract
be awarded to Paulsen, Inc.
We understand that the City has thoroughly evaluated the bids and has determined Paulsen,
Inc. to be responsive and responsible and that the contract price is considered fair and
reasonable. The City intends to award the contract to Paulsen, Inc., upon FAA and NDOT
concurrence.

AIRCRAFT HANGAR LEASE
This Aircraft Hangar Lease (“Lease”) is made and entered into by and between the City
of Fremont, Nebraska, a Municipal Corporation, (“City”) and __________________________
(“Lessee”, whether one or more) according to the terms set forth herein:
1. Lease. The City hereby leases to Lessee a City-owned aircraft storage hangar #___ (the
“Hangar”) located at the Fremont Municipal Airport (“Airport”) subject to the terms and
conditions of this Lease. The Hangar shall be used, subject to the Fremont Airport Hangar
Rules and Regulations attached hereto as Exhibit “A” (“Airport Rules and Regulations”),
primarily for aeronautical purposes including the storage of active aircraft and incidental
uses permitted herein that do not interfere with the aeronautical use of the hangar. All
aircraft and hangar contents shall either be owned or leased by Lessee or City permitted
sub-Lessees or licensees of the Lessee.
2. Aircraft. This Lease is for the storage of the following aircraft:

Lessee, whether one or more, shall maintain a majority legal ownership or majority
leasehold interest in the above-described aircraft during the entire term of this Lease.
Appropriate documentation of the Lessee(s) ownership or leasehold interest shall be
presented upon execution of this Lease and within thirty (30) days following any change in
Lessee’s ownership or leasehold interest in any aircraft.
3. Term. This lease shall be for a term of five (5) years beginning on the 1st day of June 2023,
and ending on the 31st day of May 2028, unless extended or terminated as herein provided.
Upon the expiration of the initial term, this Lease shall automatically renew for one
additional five (5) year term year term unless Lessee gives notice to the City of its intent
not to renew which notice must be provided not less than 60 days before the end of the
current term. However, the City reserves the right to increase the rent for the second term
in which event written notice the amount of such increase shall be given to Lessee not
later than 120 days prior to the expiration of the initial lease term. The Lessee shall have
the one-time option to terminate the lease at the end of the second lease year prior to the
escalation of the rent in years three, four and five. To do so, notice must be provided not
less than 60 days before the end of year two of the lease.
4. Rent. Lessee agrees to pay annual rent for the use of the Hangar during the term of this
Lease in the sum of Two Thousand, One Hundred and Seventy-Eight Dollars
($2,178.00))payable in no less than monthly installments of One Hundred Eighty One and
One Half Dollars ($181.50). Commencing on the first day of the third Lease Year (as
hereinafter defined) and on the first day of each Lease Year thereafter during the Lease Term
(each an “Adjustment Date”), the rent for the Hangar shall escalate at the rate of 2.507%
(Two and Five Hundred and Seven Thousandth Percent).
5. Regulations. In addition to the terms of this Lease, Lessee agrees to abide by applicable
local ordinances, fire codes and building codes. Furthermore, Lessee agrees to abide by
the Airport Rules and Regulations. The City may amend the Airport Rules and Regulations
from time to time as may be required by governmental rule or regulation or best airport
management practices. However, any proposed amendments shall be first presented and
discussed in open session at a regular or special meeting of the Fremont Airport Advisory
Board at which time good faith discussions concerning such proposed amendments will take
place between City, Fremont Airport Advisory Board, participating hangar owners and
members of the public. The City may thereafter proceed to adopt, or decline to adopt, such
proposed regulation(s) or amended versions of the same. In the event Lessee determines
that any newly adopted regulation materially interferes with the Lessee’s use of the Hangar,
then Lessee shall have the option to terminate this Lease which must be exercised within 90
days of the adoption of the new regulation(s) by the City.
6. Use and Care of Hangar. In addition to the Airport Rules and Regulations:
A. Lessee shall continuously use and occupy the Hangar primarily for aeronautical
purposes including the storage of active aircraft and incidental uses that do not
interfere with the aeronautical use of the hangar as described in 14 CFR 1-Policy on
the Non-Aeronautical Use of Airport Hangars;
B. Lessee shall promptly comply at Lessee’s cost with all laws, ordinances and regulations
promulgated by duly constituted governmental authorities affecting the cleanliness,
safety, use and occupation of the Hangar;
C. Lessee shall perform no acts nor carry on any practices which may damage the Hangar
or constitute a nuisance or menace to other Hangars, aircraft or Lessees;
D. Lessee shall keep the Hangar area under its control, clean and free from dirt, debris and
rubbish at all times;
E. The Hangar shall not be used for any form of aeronautical commercial activity, including,
but not necessarily limited to, maintenance and repair of aircraft (other than cleaning
and light maintenance of stored aircraft), offering of flight services, flight training or other
related activity in the absence of consent by the City; and,
F. Lessee shall keep the Hangar door closed at all times other than during the times that
Lessee is moving aircraft in and out of the Hangar space or is physically present at the
Airport.
7. Assignment or Sublease. Lessee shall not assign this Lease or sublet any part of the Hangar
without the previous written consent of the City, which consent shall not be unreasonably
withheld. Further, any sub-lessee shall execute a sub-lease agreement that requires the sub-
lessee to abide by the terms and conditions of this Lease including all Airport Rules and
Regulations pursuant to a written sub-lease agreement form that is acceptable to the City.
Notwithstanding the foregoing, this Lease is assignable to the Lessee’s spouse, members of
Lessee’s immediate family, an entity controlled by one or more members of Lessee’s
immediate family.

8. Repairs and Alterations.
A. City Repairs. City shall keep the foundations, structural columns, beams, exterior walls,
roof, Hangar doors and motors, fixtures and hard surfaced Hangar apron in good repair
and, if necessary or required by proper governmental authority, make modifications or
replacements thereof. In accordance with the stipulations defined in Part 9 of the lease,
the City shall have the right of entry to the leasehold to conduct maintenance and repair
activities. The City shall further provide all snow removal for all hard-surfaced areas at
the Airport.
B. Lessee's Repairs. Except as provided in Section A of this paragraph, Lessee agrees,
at Lessee's expense, to at all times maintain and keep the Hangar clean, safe and in
good order, condition and repair.
C. Alterations. Lessee shall not make any alterations, additions, improvements or changes
affecting the building or the premises without in each instance being subject to a review
through 14 CFR Part 77 and obtaining the prior written consent therefore from the City,
which shall not be unreasonably withheld. If such consent is obtained, Lessee shall
furnish indemnification against liens, costs, damages and expenses as may be required
by the City. All alterations, additions and improvements (other than trade fixtures or
other fixtures that can be removed without material damage to the Hangar) which may
be made or installed upon the premises shall remain upon and be surrendered with
them as a part thereof at the termination of this Lease. Lessee shall repair and restore
any damage resulting from the removal of any fixture.
9. Access. The City or its authorized representatives shall have the right to inspect the
premises at any time upon providing not less than a 24-hour advance notice to the Lessee
in the absence of an emergency and shall have immediate right of access in the event of an
emergency or exigent circumstance. The City shall at all times shall have working keys or
other means of access to the Hangar.
10. Utilities. Lessee agrees to pay all charges for all utilities serving the Hangar.
11. Taxes. Lessee shall pay all personal property taxes levied or assessed against Lessee’s
aircraft and other property placed in the Hangar.
12. Insurance. Lessee agrees to procure and maintain continuously during the term of this
Lease, and any extension thereof, premises liability insurance, at Lessee’s cost, insuring the
City as an additional insured and Lessee against claims, demands, or actions for injuries to,
or death of, any person per accident in the amount of One Hundred Thousand Dollars
($100,000) per person and Five Hundred Thousand ($500,000.00) aggregate; coverage for
damage to property in an amount not less than Two Hundred Fifty Thousand Dollars
($250,000) per accident; and, insurance to cover the leased hangar and contents in an
amount not less than Twenty-Five Thousand Dollars ($25,000.00) per accident, all made by
or on behalf of any person or persons, firm or corporation, arising out of the ownership, use
or maintenance of the Lessee’s aircraft. The City shall be added as an additional insured
under such policy and Lessee shall provide proof of such coverage at the inception of the
Lease.

14. Waiver of Claims and Indemnity. All personal property on the premises shall be at the risk
of the Lessee, and City shall not be liable for any damages to Lessee’s personal property,
except loss caused by City's negligence or breach of this Lease.
Lessee covenants to indemnify and hold Lessor harmless from all claims, demands or actions
for injury to, or death of, any person or loss of, or damage to, property in or about the Hangar,
including the person and property of Lessee, its employees, agents, invitees, licensees, or
business visitors, caused or asserted by reason of the breach or violation of the provisions of
this Lease by Lessee or any negligent act or omission of Lessee, such indemnity to include
the cost, expense and attorney's fees reasonably incurred by Lessor but shall not include
indemnity for any negligent act or omission of the City or of City’s breach of this Lease.
Nothing in this paragraph shall inure to the benefit of a third party.
15. Subrogation. Lessee and City each hereby mutually release and relieve the other from all
claims and liabilities arising from or caused by any hazard or loss covered by insurance
in connection with the performance of this Agreement, regardless of the cause of the
damage or loss; provided that this release shall apply only to the extent that such loss is
covered by insurance.
16. Default and Remedies.
A. Event of Default. If any one or more of the following events shall occur and be
continuing beyond the period set forth in any default notice provided to be given, an
Event or Events of Default shall have occurred under this Lease:
a. Non-Payment. If Lessee shall fail to pay any installment of rent under this
Lease within ten (10) days after delivery of notice from City to Lessee that the
same is past due and payable; or
b. Non-Performance. If Lessee shall fail to comply with any of the other terms,
covenants, conditions or obligations of this Lease and such failure in
compliance shall continue for thirty (30) days after the giving of notice by City
to Lessee specifying the failure; or
c. Vacation or Abandonment. If Lessee shall vacate or abandon the active use
of the Hangar.
B. Right to Terminate Lease and Re-Enter. If there shall occur an uncured Event of
Default following proper notice of such Event of Default, then City may, in addition to
any other remedy available to City under this Lease or under Nebraska law, declare
this Lease terminated and Lessee shall quit and surrender possession of the
Premises. However, Lessee shall remain liable to City under the terms of this Lease,
and upon Lessee’s failure to surrender of possession, City may re-enter the Hangar
by forcible entry and detainer proceeding proceedings or pursuant to paragraph 9
hereof.

17. Notices. Any and all notices or demand required or permitted to be given hereunder shall be
deemed to be properly served if sent by registered or certified mail, postage prepaid, as
follows:

the other. Any notice or demand so mailed shall be effective for all purposes at the time of
deposit thereof in the United States Mail.
18. Federal Aviation Administration Provisions.
A. Landing Area – The City reserves the right (but shall not be obligated to the Lessee) to
maintain and keep in repair the landing area of the Airport and all publicly owned
facilities of the Airport, together with the right to reasonably direct and control all activities
of the Lessee in this regard.
B. Improvements – The City reserves the right further to develop or improve the landing
area and all publicly owned air navigation facilities of the Airport as it sees fit.
C. No Interference – It is understood and agreed that the rights granted by this Lease will
not be exercised in such a way as to interfere with or adversely affect the use, operation,
maintenance or development of the Airport.
D. Wildlife – The Lessee shall not engage in any activities that have the potential to attract
wildlife to the Airport.
E. Subordination of Lease – This Lease shall be subordinate to the provisions of any
existing or future agreement between the City and the United States of America, the
Nebraska Department of Transportation – Division of Aviation or any agency thereof
relative to the operation, development or maintenance of the Airport, the execution of
which has been or may be required as a condition precedent to the expenditure of
Federal funds for the development of the Airport. The City will make reasonable efforts
to ensure that no such agreement shall unreasonably interfere with the Lessee’s use
and occupancy of the Airport under this Lease.

F. Non-Discrimination - Lessee agrees that, (i) No person on the grounds of race, creed,
color, sex, disability or national origin shall be subjected to discrimination in the use
of the facilities; and, (ii) Lessee shall use the Hangar in compliance with all other
requirements imposed pursuant to 49 CFR Part 21, Nondiscrimination in Federally
Assisted Program of the Department of Transportation, as such regulations may be
amended.
G. Exclusive Right – It is hereby understood and agreed that nothing contained in this
Lease shall be construed to grant or authorize any exclusive right within the meaning
of Section 308 of the Federal Aviation Act of 1958, as amended.
H. Federal Aviation Act – The Lessee agrees to comply with the provisions of the Federal
Aviation Act of 1958 (40 U.S.C. 1349 (a)), and any future amendments or revisions
thereof, any rules or regulations promulgated thereunder and any provisions of any
agreements providing federal assistance for development of the Airport entered into by
the City and the United States of America or its agencies.
I. This lease is subject to immediate cancellation in the event of repossession by the
Department of Aeronautics, State of Nebraska, or the FAA.
19. Miscellaneous.
A. This lease shall be governed by Nebraska law and any unresolved disputes shall be
subject to the exclusive jurisdiction of the County or District Courts of Dodge County,
NE.
B. This Lease contains the entire agreement of the parties and, with the exception of the
Airport Rules and Regulations, may not be amended in the absence of further written
agreement of the parties.

Recommendation: Recommend approval of updated Hangar Lease language
Background:
On June 1st, the current hangar leases automatically renew. As has been discussed in the
Airport Advisory Committee’s meetings, hangar rates need to increase as a means of
providing additional funding due to inflation and future on property projects. The main update
in the lease is the addition of an escalation clause of roughly 2.5% annually starting in the
third year of the lease period. For a $181.50 monthly lease, the third year will now cost
$186.05/mo., the fourth year will cost $190.71/mo. and the fifth year $195.50/mo. The
escalation rate can then be revisited in 2028.
Given the timing of this update, the lease has an added clause allowing someone to end their
lease early, after the 2nd year, before the 3rd year begins and the increase in cost comes into
effect on June 1, 2025.
Other changes:
Section 8-A – Language was updated to provide the City right of entry to conduct
maintenance and repair activity.
Section 18, formerly Non-Discrimination was expanded to better account for and
address the various grant assurances that the City must comply with in order to
receive FAA grants for airport improvements.
Most importantly, additional space was given for filling out the aircraft information in
Section 2.
Fiscal Impact:
Over the term of the new lease there will be an increase in revenue due to escalation clause.
