BUSINESS DISCUSSION ITEMS 1 Page 4 of 30 Downtown Advisory Board 1. 2026-375 Downtown Advisory Board Budget Data Survey Results (B) Daniel Blumberg presented the proposed budget via video, as his last day with the City of Gainesville was on Friday, May 29, 2026. One idea was to merge the programming for the Streatery with the Downtown Events. Member Larson suggested that the business along the Streatery receive assistance in FY 27, post-completion, via the BIG for facade improvements. Following this, for FY 28 & 29, BIG funding would be rolled into the rest of the budget. An RFP to replace the current contract with a company based in Tallahassee is being prepared. The goal is to award the current service area to a different vendor. Recommendation: The Downtown Advisory Board hears the presentation and makes a recommendation. H. PUBLIC COMMENT A community member spoke about the impediments caused by the fencing placed around the Streatery construction and the lack of circulation patterns. Parking is also a limitation for downtown patrons. Rick stated that staff can discuss this with SCORPIO. I. COMMUNICATIONS J. BOARD MEMBER COMMENT K. This annual review provides an opportunity to ensure that the Rules and Procedures remain current, effective, and aligned with the Board's responsibilities, practices, and City policies. Any recommended revisions identified during the review may be considered by the Board for approval and inclusion in the updated Rules and Procedures. Page 6 of 30 Downtown Advisory Board 2026-462A RULES OF THE GAINESVILLE DOWNTOWN ADVISORY DAB CITY OF GAINESVILLE, FLORIDA RULES AND PROCEDURES ARTICLE I Establishment and Purpose The Downtown Advisory Board (DAB) is hereby created to provide recommendations on implementing the "Downtown Gainesville Strategic Plan (1126)" ("Downtown Plan") adopted by the Gainesville City Commission on October 20, 2022. The DAB shall have the following duties: A. Annual GCRA Budget and Amendment. The City Commission will approve the annual appropriation to the "Downtown Strategic Plan" line item in the GCRA's budget each fiscal year. The DAB will recommend to the City Commission how the appropriation will be allocated across various programs and projects such as public improvements, cleanup, downtown ambassadors, event programming, and marketing and promotion. The DAB will also recommend any budget amendments that may be proposed during the fiscal year. B. Amendments to the Downtown Plan. The DAB may recommend amendments to the City Commission to the Downtown Plan that add projects and programs not identified in the Downtown Plan or cannot be derived from its vision and goals. In addition, the DAB may recommend amendments to the City Commission that modify the boundaries of the Downtown Plan Focus Area and the Greater Study Area (see Exhibit A for delineation of boundaries). C. GCRA Program Development. Implementation of the Downtown Plan will require GCRA to provide incentives and funding to downtown businesses, stakeholders, event planners, and others to create a dynamic environment that attracts residents of Alachua County and visitors. These programs may already exist within the GCRA's portfolio or will need to be created. The DAB may recommend to the City Commission amendments to existing programs or the creation of new programs to effectuate these purposes. D. Bylaws and Internal Governance. The DAB may formulate rules of procedure and written bylaws that are consistent with and in addition to those provided in Resolution No. 2024-244 that created the DAB, subject to approval by the City Commission. E. Annual Report. The GCRA shall prepare an annual report documenting the activities undertaken to implement the Downtown Plan during the prior fiscal year. The report shall be completed by March 31st and presented to the DAB at a public meeting in a timely manner ARTICLE II Composition A. Membership. The DAB will consist of seven (7) members appointed by the City Commission to serve at the will of the City Commission. The initial DAB will be appointed to staggered terms in the following manner: three members for a 3-year term, two members for a 2-year term, and two members for a 1-year term. Thereafter, member appointments will be for 3-year terms. The DAB may consist of downtown property owners or tenants, city residents, and applicable stakeholders. Page 1 of 4 Page 7 of 30 Downtown Advisory Board Stakeholders may include non-profit agencies, educational institutions, and governmental agencies that either own or occupy property located in or that provide services to downtown Gainesville. B. Non-Voting Advisory Members. The City of Gainesville and Alachua County may, at their discretion, appoint non-voting advisory members to the DAB that are in addition to the voting members. C. Downtown Advisory Board Liaison. The City Manager or designee shall assign a City employee to serve as the DAB Liaison, which position shall ensure proper public notice and operation of DAB meetings including the recordation and retention of all meeting minutes and applicable public records. D. Downtown Advisory Board Committees. The DAB may create committees to research and provide information on downtown issues as it sees fit to assist the DAB in developing policy. All committees must comply with Sunshine Law requirements. E. City Employment Prohibited. DAB members may not be employees of the City of Gainesville or entitled to any compensation, pension, or other retirement benefits on account of service on the DAB. F. Vacancies. If an appointed member cannot continue to serve, the Mayor shall appoint a member to fill the vacancy. G. Vacancies. Vacancies shall be filled by appointment of the City Commission for the unexpired term of any member whose office becomes vacant. ARTICLE III Rules of Procedures and Applicable Provisions A. Number of Members; Quorum. The DAB shall consist of seven (7) members. A quorum will consist of four (4) members. A majority vote of the quorum present is required for all business transactions. B. Meetings. The DAB shall hold a minimum of one regular monthly public meeting, and more often as the DAB deems necessary, at such times and places as it may designate in accordance with Florida's Government in the Sunshine Law. C. Election of Officers. The members of the DAB shall elect a Chair and Vice-Chair among the regular members and may create and fill other offices as the DAB deems necessary. D. Chair. The Chair shall preside at all meetings of the DAB and shall decide all points of order and procedure. The Chair shall have the privilege of discussing all matters before the DAB and voting thereon. E. Vice-Chair. The Vice-Chair shall act for the Chair in the Chair’s absence. In the absence of the Chair and Vice-Chair, the quorum present shall select a Chair for the meeting. F. Public Comment. Any members of the public may speak during the allotted time. G. Non-final Advisory Decision. All actions and decisions of the Downtown Advisory DAB are non- final and advisory to the City Commission and do not obligate the City. H. Attendance. Any appointee to the DAB shall be automatically removed upon a filing with the Clerk of the Commission of an attendance record that indicates the DAB member’s overall attendance record is less than 50% for the six most recent DAB meetings at which voting occurred. Attendance means presence at a meeting for a duration of at least 50% of the entire meeting time. DAB members may be granted two excused absences per calendar year for a medical reason or Page 2 of 4 Page 8 of 30 Downtown Advisory Board professional/educational obligation. DAB members shall notify the DAB Secretary of an excused absence prior to the meeting, if practicable. I. Applicable Florida Laws. The Downtown Advisory DAB and its members are subject to the provisions of Florida's Government in the Sunshine Law (Section 286.012, Fla. Stat:), Florida's Public Records Law (Chapter 119, Fla. Stat.), and Florida's Code of Ethics for Public Officers and Employees (Part Ill, Chapter 112, Fla. Stat.), all as may be amended from time to time ARTICLE IV Secretary Secretary. The City Manager or designee shall appoint a city employee to serve as Secretary to the DAB. The Secretary shall provide notice of each DAB meeting to the Clerk of the Commission at least seven calendar days prior to the meeting, shall prepare meeting agendas, shall make or cause to be made the minutes of each meeting, shall verify the attendance of DAB members at each meeting and file the attendance record with the Clerk of the Commission as soon as practicable, and shall attend to correspondence of the DAB. ARTICLE V Meetings A. Regular Meetings. The DAB shall meet once per month, generally on the second Tuesday of every month at 9:00 AM and at such additional times as deemed necessary to properly perform its duties. Monthly meetings may be canceled in advance for lack of quorum and when DAB-training opportunities could replace the meeting. B. Special Meetings. Special meetings may be called by the Chair upon the written request of at least four DAB members. C. Voting. Voting shall be by voice unless a member of the public requests a roll call. Roll call votes shall be in alphabetical order, with the first name called rotating with each roll call vote made. The Chair shall vote last. A record of the roll call vote shall be kept as part of the minutes. ARTICLE VI Order of Business The order of business at regular meetings shall be: A. Call to Order B. Roll Call C. Adjournment Page 3 of 4 Page 9 of 30 Downtown Advisory Board ARTICLE VII Parliamentary Procedure The latest edition of Robert’s Rules of Order, so far as it is applicable and does not conflict with these DAB rules or city ordinances, shall act as a guide for the administration of DAB meetings. The Chair shall preside at all meetings, and shall decide all points of order and procedure and may choose to deviate from Robert’s Rules of Order. ARTICLE VIII Amendment to DAB Rules These rules may be amended by a favorable vote of the DAB, subject to review and approval of the City Commission. Page 4 of 4 Page 10 of 30 Downtown Advisory Board r RESOLUTION NO. 2024-244 A resolution of the City of Gainesville, Florida, creating a Downtown Advisory Board; providing for its composition; establishing responsibilities and use of City resources; establishing provisions for operation; and providing an immediate effective date. WHEREAS, the City of Gainesville has supported downtown revitalization since establishing the Gainesville Community Redevelopment Agency and several community redevelopment areas, including the Downtown Community Redevelopment Area in 1979 under the provisions of the "Community Redevelopment Act of 1969" (s.163.330 et seq.) and creating the Downtown Redevelopment Advisory Board to advise the Gainesville City Commission on its redevelopment investment decisions; and WHEREAS, on October 1, 2019, the City of Gainesville and Alachua County dissolved the Gainesville Community Redevelopment Agency, including the Downtown Community Redevelopment Area and three other community redevelopment areas (CRAs) approved under the "Community Redevelopment Act of 1969" but continued their support for revitalizing these CRAs by subsuming them within the Gainesville Community Reinvestment Area (GCRA) and approving a total budget of $72 million to invest in the GCRA between FY 2019 and FY 2029; and WHEREAS, on March 5, 2020, the Gainesville City Commission approved the "Gainesville Community Reinvestment Area 10-Year Reinvestment Plan" that identified revitalization initiatives that would be undertaken between FY 2019 and FY 2029 within the GCRA; and WHEREAS, the GCRA "10-Year Reinvestment Plan" included a "Downtown Master Plan" as one of its major transformational projects, recognizing that a downtown plan is necessary to have a coherent vision of desired investments, improvements and enhancements to the quality of life for the community....and the vision developed will affect continuing investment and fulfillment of the GCRA's objectives"; and WHEREAS, the City of Gainesville contracted with MKSK to develop a "Downtown Master Plan" (later renamed "Downtown Gainesville Strategic Plan") in spring 2021; and WHEREAS, after more than a year of public and stakeholder engagement, the Gainesville City Commission adopted the "Downtown Gainesville Strategic Plan" ("Downtown Plan") on October 20, 2022; and WHEREAS, the Downtown Plan subsequently received a "Downtown Achievement Award of Excellence" in the summer of 2023 from the International Downtown Association for "Planning, Design and Infrastructure"; and Page 11 of 30 Downtown Advisory Board r WHEREAS, the GCRA "10-Year Reinvestment Plan" specified that upon creation of the "Downtown Plan", the next steps for the GCRA to take would be to "develop a scope, identify partners, develop a budget and to ensure the GCRA programs work in conjunction with the plan"; and WHEREAS, on January 18, 2024, upon recommendation by the GCRA, the Gainesville City Commission approved an amendment to the Gainesville Community Reinvestment Area's FY24 budget to make available more than $12.2 million for the implementation of the award-winning Downtown Plan from FY 2024 through FY 2029; and WHEREAS, the City Commission is authorized by Section 4.01 of the City's Charter to create advisory boards to perform all duties and powers prescribed by ordinance or resolution; and WHEREAS, the City Commission has determined that it wishes to create a Downtown Advisory Board to perform all duties and powers as described in this resolution. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF GAINESVILLE, FLORIDA: SECTION 1. Establishment and Purpose.
