Greenville Sanitary Authority 3-25-21 GREENVILLE SANITARY AUTHORITY GREENVILLE, PENNSYLVANIA SPECIAL MEETING MINUTES Thursday, March 25, 2021, ~ 6:50 p.m. CALL TO ORDER Mr. Bailey called the meeting to order at 6:50 PM ROLL CALL: Jonathan Bailey, Chairperson Anne Butcher Robin Douglas, Vice-Chairperson Paul Hamill, Secretary Vacancy OTHERS PRESENT: Jasson Urey, Town Manager Lyle Huffman, Assistant Town Manager - EXCUSED James Douglas, Solicitor John Mowry, KLH Engineers – EXCUSED Dr. Mary Jane Hirt - ZOOM Chris Brewer, Dinsmore & Shohl, LLP – ZOOM PUBLIC: None 1. NEW BUSINESS A. Motion by Mrs. Butcher, second by Mr. Hamill to adopt Resolution 2021-02, authorizing the Bridge Loan Funding for the Sewer Plant Upgrade Project. The Board held discussions. Motion carried 4-0. B. Motion by Mr. Hamill, seconded by Mrs. Butcher to authorize the Chair of the Sanitary Authority to sign the loan agreement between the Greenville Sanitary Authority and First National Bank of Pennsylvania. Motion carried 4-0. C. Motin by Mr. Hamill, seconded by Mrs. Butcher to execute the Supplemental Lease and Guaranty Agreement between the Borough of Greenville and the Greenville Sanitary Authority. The Board held discussions. Motion carried 4-0. D. Motion by Mr. Hamill, seconded by Mrs. Butcher to authorize the Chair of the Sanitary Authority to sign the Gauranteed Sewer Revenue Note, Series of 2021. The Board held discussions. Motion carried 4-0. E. The Board then yielded the floor for the Town Council to conduct their business at 6:57pm. F. Chairman, Mr. Bailey, called for an executive session to discuss legal matters at 7:12pm. G. Chairman, Mr. Bailey, called for the Board to reconviened from executive session at 7:40pm 2.
