Greenville Sanitary Authority 12-15-22 GREENVILLE SANITARY AUTHORITY GREENVILLE, PENNSYLVANIA SPECIAL SESSION MINUTES Thursday, December 15, 2022, ~ 6:00 p.m. CALL TO ORDER Mr. Bailey called the meeting to order at 6:00 pm ROLL CALL: Jonathan Bailey, Chairperson Chad Bromley Anne Butcher Robin Douglas – via Teams Paul Hamill OTHERS PRESENT: Jasson Urey, Town Manager Rosalynn Reagle, Assistant Town Manager James Douglas, Solicitor – via Teams Rob Horvat, KLH Engineers PUBLIC: Tom Rafferty, Aqua Pennsylvania, Inc. – via Teams Fran Orth, Aqua Pennsylvania, Inc. – via Teams Caleb Stright, Record Argus Ellen Pardee 1. INFORMATIONAL – None 2. PUBLIC COMMENTS – None 3. NEW BUSINESS A. The Board along with Attorney Douglas, Mr. Rafferty and Ms. Orth discussed various sections of the draft Asset Purchase Agreement between the Greenville Sanitary Authority and Aqua Pennsylvania Wastewater, Inc. Attorney Douglas asked for clarification on several sections that were included and ones that were not included that are typical to the transfer of real estate. There were also brief discussions regarding which vehicles would be transferred and which ones would not, along with the Town subdividing and retaining a piece of property located outside the fenced area of the Treatment Plant. This may require some additional right of way access being drafted and incorporated. There were discussions regarding the current right of way document availability along with where what the Town constitutes as the lateral. Mr. Rafferty has asked that an Ordinance be passed changing the property owner’s lateral responsibility from the connection at the main to the curb line. Mr. Rafferty also discussed the Town passing an Ordinance addressing the Fats, Oils & Greases issues if there is not one already adopted. Mr. Urey announced that he had made contact with ScottMadden, Inc. in regard to conducting the required valuation study and report and to obtain a quote, but he had not heard back from them yet. Discussions were held regarding who is responsible for payment for the original valuation report that had been completed by KLH prior to Aqua presenting the Board with an offer. That valuation was originally paid for by Aqua, but PAPUC requires that Page 1 of 2 Greenville Sanitary Authority 12-15-22 this valuation be split between the buyer and the seller. There were discussions regarding how that would be addressed so that both parties have paid their appropriate fees. It was discussed what the next step would be in the process. The list of assets that will be included and/or excluded from the transfer will need to be created and added as an exhibit. The Asset Purchase Agreement will need to be updated with the changes and then adopted. The subdivisions can be completed after the APA has been acted upon. The next meeting is scheduled for January 26, 2023, and that should be a reasonable amount of time to have those items ready. The ordinances addressing the lateral ownership change and the Fats, Oils and Greases will need to be completed and adopted by February 2023. 4.
